This Affiliate Program Agreement (the "Agreement") is made between Scottish Kilt ("Company", "we", "us", "our") and the Affiliate ("you", "your"), collectively referred to as the "Parties."
1. Acceptance and Program Participation:
By signing up for the BSource Affiliate Program, you agree to be bound by the terms and conditions of this Agreement.
All affiliates are also bound by the ShareASale Terms of Use.
2. Program Restrictions:
Affiliates are prohibited from using spam or unethical marketing techniques.
Use of unauthorized or trademarked content in promotions is forbidden.
Affiliates may not bid on trademarked terms or our brand name for paid advertising campaigns.
Cookie stuffing, fraudulent transactions and false advertising are strictly prohibited.
3. Commission Structure:
Commissions are earned on qualifying sales as defined in the Program Details.
Commission rates are subject to change with notice.
4. Payment Terms:
Payments will be made through the ShareASale platform according to their payment schedule and terms.
5. Termination:
Either party may terminate this Agreement at any time with written notice.
Upon termination, all outstanding commissions will be paid out during the next billing cycle, provided the conditions of this Agreement were met.
6. Liability and Indemnification:
The Affiliate shall indemnify and hold harmless the Company from any claims arising from the
Affiliate's actions or promotions.
The Company is not liable for indirect or accidental damages resulting from affiliate participation.
7. Modification of Terms:
The Company reserves the right to modify any of the terms and conditions within this Agreement at any time and at our sole discretion. Affiliates will be notified of any changes and will be required to comply with the updated terms.
This Agreement outlines the complete understanding between the Parties regarding the Affiliate Program and supersedes all prior agreements and discussions.
Affiliate Acknowledgment:
By participating in the BSource Affiliate Program, I acknowledge that I have read, understood, and agree to the above terms and conditions.
