You may print this page for your records. This is a legal agreement between you and Good Organics, LLC. By submitting the online application, you acknowledge that you have read and understand the terms and conditions of this Agreement and that you agree to be legally bound by each and every term and condition.

This Agreement contains the complete terms and conditions for becoming an affiliate in the Good Organics Affiliate Program. The purpose of this Agreement is to allow linking between your website and promotional channels and Good Organics.

2.1 Enrollment

To begin the enrollment process, you must submit the online affiliate application through the designated affiliate platform. We carefully review each application and aim to respond within 48 hours, excluding weekends and holidays. We may decline your application at our sole discretion.

We may remove you from our program if we determine that your site, promotional channels, or linked properties are not suitable for our brand, including but not limited to content that:

2.1.1

Promotes sexually explicit materials.

2.1.2

Promotes violence.

2.1.3

Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

2.1.4

Promotes illegal activities.

2.1.5

Incorporates materials that infringe or assist others in infringing any copyright, trademark, or other intellectual property rights, or otherwise violate the law.

2.1.6

Includes “Good Organics,” “Good.,” or any variation, misspelling, or confusingly similar version thereof in its domain name, social handle, account name, or other identifying property.

2.1.7

Is otherwise unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically, or otherwise objectionable in our sole discretion.

2.1.8

Contains software or mechanisms that divert commissions from other affiliates in our program or cannibalize existing sales.

2.1.9

Misleads consumers through a website, landing page, account, design, or promotional property that closely resembles our website or branding, or otherwise leads customers to believe you are Good Organics.

2.2 Affiliate Platform Access

As a member of the Good Organics Affiliate Program, you will have access to the affiliate portal through the designated affiliate network or platform. There you may review program details, previously published affiliate communications, download code for links to pages within the Good Organics website, access banner creatives, and browse tracking links for current promotions and offers.

To allow us to accurately track visits and sales originating from your site or channels, you must use the tracking code, links, or tools we provide for each banner, text link, or other affiliate link, unless otherwise expressly approved in writing by Good Organics.

2.3 Placement Review

Good Organics reserves the right, at any time, to review your placement and use of our links, trademarks, and creatives, and to require that you change or remove such placement or use to comply with our guidelines.

2.4 Maintenance of Your Site

The maintenance and updating of your website and promotional channels are your responsibility. We may provide updates and may monitor affiliate compliance.

2.5 Compliance With Laws

It is your responsibility to comply with all applicable intellectual property and other laws relating to your website, channels, and content. You must have express permission to use any copyrighted material, images, names, likenesses, or other protected content belonging to any third party. Good Organics is not responsible for your unauthorized use of any third-party intellectual property.

2.6 FTC, Privacy, and Data Compliance

As a Good Organics affiliate, you are expected to comply with all applicable laws, rules, and regulations, including but not limited to FTC endorsement and disclosure requirements, CAN-SPAM requirements, privacy laws, and data protection laws such as GDPR and similar regulations where applicable. Failure to comply may result in immediate termination from the affiliate program.

3.1 Monitoring and Compliance

We have the right to monitor your site and promotional channels at any time to determine whether you are complying with this Agreement. We may notify you of changes we believe should be made to your content, placement, disclosures, or links to our website. If you do not make requested changes within the timeframe we specify, we reserve the right to terminate your participation in the Good Organics Affiliate Program.

3.2 Fraud and Brand Abuse

Good Organics reserves the right to terminate this Agreement and your participation in the Good Organics Affiliate Program immediately and without prior notice if you commit fraud, violate our program terms, misrepresent Good Organics, or otherwise abuse the program. If such fraud or abuse is detected, Good Organics shall not be liable for any commissions associated with such activity, and any related commissions may be reversed immediately.

3.3 Term of Agreement

This Agreement becomes effective upon acceptance of your affiliate application and will remain in effect unless terminated in accordance with this Agreement.

Either you or Good Organics may terminate this Agreement at any time, with or without cause, by providing notice through the affiliate platform or by email.

We may modify any of the terms and conditions in this Agreement at any time in our sole discretion. In such event, you will be notified by email and/or through the affiliate platform. Modifications may include, but are not limited to, changes in payment procedures, commission structure, promotional rules, and program guidelines. If any modification is unacceptable to you, your only option is to terminate this Agreement. Your continued participation in the Good Organics Affiliate Program following notice of any change will constitute your acceptance of the updated terms.

Good Organics uses the third-party affiliate platform or network (e.g. AWIN) to handle tracking and payment. Please refer to the platform’s payment terms and conditions for details regarding payment timing, minimum thresholds, and methods.

You will create login credentials through the affiliate platform’s secure affiliate account interface. Through that platform, you will be able to access reports regarding activity, performance, and commissions.

8.1 Unacceptable Advertising Practices

Certain forms of advertising are always prohibited by Good Organics. For example, advertising commonly referred to as “spamming” is unacceptable and could cause damage to our brand. Other prohibited forms of advertising include unsolicited commercial email, posts to non-commercial newsgroups, or cross-posting to multiple groups at once.

You may not advertise in any way that conceals or misrepresents your identity, domain name, affiliation, or return email address. You may use mailings to subscribed recipients in compliance with applicable law, including CAN-SPAM, provided recipients have the opportunity to opt out of future mailings.

At all times, you must clearly represent yourself and your websites, channels, and promotional properties as independent from Good Organics. Spamming is grounds for immediate termination.

8.2 Paid Search / Trademark Bidding Restrictions

Affiliates may not bid in Pay-Per-Click campaigns or otherwise purchase traffic using any branded or trademark-related keywords, including but not limited to:

• Good Organics
• Good.
• good-organics.com
• Good Organics coupons
• Good Organics discount
• Good Organics promo code
• Any product names owned by Good Organics
• Any misspellings, variations, or confusingly similar alterations of the above

Violations may result in immediate removal from the program, with or without prior notice.

8.3 Prohibited Software and Interference

Affiliate shall not transmit, install, or use any interstitials, parasiteware, parasitic marketing applications, shopping assistance applications, toolbar installations, browser add-ons, shopping wallets, deceptive pop-ups, pop-unders, or any software or code that interferes with tracking, redirects traffic, overwrites cookies, loads our site invisibly, or otherwise manipulates affiliate attribution in a deceptive or unauthorized manner.

For purposes of this Agreement, prohibited conduct includes, without limitation:

8.3.1

Overwriting affiliate or non-affiliate tracking cookies without a genuine, customer-initiated click on a qualifying link.

8.3.2

Intercepting searches to redirect traffic through installed software in a manner that replaces or alters attribution.

8.3.3

Setting tracking cookies by loading the Good Organics website in hidden frames, hidden links, auto-opened popups, or similar methods.

8.3.4

Targeting text on third-party websites you do not own for contextual marketing that inserts, replaces, or overlays affiliate links.

8.3.5

Removing, replacing, or blocking the visibility of approved affiliate banners or content with other advertising materials.

9.1 Limited License

We grant to you a non-exclusive, non-transferable, revocable right to:

1. Access our site through affiliate links solely in accordance with the terms of this Agreement; and
2. Solely in connection with such links, use our logos, trade names, trademarks, and similar identifying materials that we provide to you or authorize for that purpose.

You are only entitled to use such licensed materials while you remain an affiliate in good standing with the Good Organics Affiliate Program. You agree that all use of the licensed materials will be on behalf of Good Organics, and any goodwill arising therefrom will inure solely to Good Organics.

9.2 Restrictions on Use

Each party agrees not to use the other’s proprietary materials in any manner that is disparaging, misleading, obscene, unauthorized, or that otherwise portrays the other party in a negative light. Other than the limited license granted in this Agreement, each party retains all right, title, and interest in and to its respective intellectual property and proprietary materials.

GOOD ORGANICS, LLC MAKES NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES REGARDING THE GOOD ORGANICS AFFILIATE PROGRAM, WEBSITE, PLATFORM, SERVICES, OR PRODUCTS. ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT ARE EXPRESSLY DISCLAIMED AND EXCLUDED. IN ADDITION, WE MAKE NO REPRESENTATION THAT THE OPERATION OF OUR WEBSITE OR THE AFFILIATE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.

You represent and warrant that:

11.1

This Agreement has been duly and validly executed and delivered by you and constitutes your legal, valid, and binding obligation, enforceable against you in accordance with its terms.

11.2

You have the full right, power, and authority to enter into and be bound by the terms and conditions of this Agreement and to perform your obligations under this Agreement without the approval or consent of any other party.

11.3

You have sufficient right, title, and interest in and to the rights granted to us in this Agreement.

GOOD ORGANICS, LLC WILL NOT BE LIABLE TO YOU WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY, OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF REVENUE, GOODWILL, PROFITS, OR BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT, THE CUMULATIVE LIABILITY OF GOOD ORGANICS, LLC ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Good Organics, LLC, its affiliates, subsidiaries, and each of their respective directors, officers, employees, agents, shareholders, members, managers, successors, and assigns from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

13.1

Any claim that your website, content, or promotional materials infringe any trademark, copyright, license, intellectual property right, privacy right, publicity right, or other proprietary right of any third party;

13.2

Any breach by you of any representation, warranty, covenant, or obligation under this Agreement;

13.3

Any claim related to your website, social channels, promotional channels, emails, content, or business practices, including content not provided by Good Organics;

13.4

Any violation by you of applicable laws, regulations, or platform rules.

All confidential information disclosed by one party to the other, including but not limited to business, technical, financial, customer, marketing, promotional, or strategic information, that is marked confidential or that reasonably should be understood to be confidential, shall remain the sole property of the disclosing party. Each party agrees to keep such information confidential and not to use or disclose it without the prior written consent of the disclosing party, except as required by law.

15.1 Independent Contractor

You agree that you are an independent contractor, and nothing in this Agreement shall create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Good Organics, LLC. You have no authority to make or accept offers or representations on our behalf.

15.2 Assignment

You may not assign your rights or obligations under this Agreement without our prior written consent. Good Organics, LLC may assign this Agreement in connection with a merger, acquisition, sale of assets, reorganization, or similar transaction.

15.3 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of laws principles.

15.4 Amendments and Waivers

You may not amend or waive any provision of this Agreement unless in writing and signed by an authorized representative of Good Organics, LLC.

15.5 Entire Agreement

This Agreement constitutes the entire agreement between you and Good Organics, LLC with respect to the affiliate relationship and supersedes all prior and contemporaneous agreements, communications, and understandings, whether oral or written.

15.6 Headings

The headings and titles contained in this Agreement are for convenience only and shall not affect the interpretation of any provision.

15.7 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.
