AFFILIATE AGREEMENT

This is a legal agreement between you and Nutrabolt. By submitting the online application, you confirm that you have read and understood the terms and conditions of this Agreement and agree to be legally responsible for each term and condition.
1. Overview
This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in the Nutrabolt Affiliate Program. The purpose is to allow HTML linking between your website and the Nutrabolt website: Cellucor.com. "We," "us," and "our" refer to Nutrabolt; "you" and "your" refer to the affiliate.
2. Affiliate Obligations
2.1 To begin enrollment, submit the online application through the Awin network. We may reject or cancel your application at our sole discretion if your site:
- Promotes sexually explicit material, violence, discrimination, or illegal activities
- Infringes on intellectual property rights
- Contains domain names with Nutrabolt brand terms or misspellings
- Is solely a coupon aggregator/deal site
- Is objectionable or harmful in any way
- Uses software to divert commissions
- Imitates Nutrabolt websites
2.2 You will access your Affiliate Account Manager to view program details, access creatives and tracking links, and review reports. You must use the HTML code we provide.
2.3 Nutrabolt may review your site and require changes to placement or use of affiliate links.
2.4 You are responsible for updating and maintaining your site. We may request changes to enhance performance.
2.5 You are solely responsible for complying with intellectual property laws.
2.6 If you operate a sub-affiliate network, you must disclose all sub-affiliates and ensure they comply with these terms. You are fully responsible for the actions of all sub-affiliates, including any violations of program policies.
3. Nutrabolt Rights and Obligations
3.1 We may monitor your site at any time and require changes or terminate your participation if necessary.
3.2 We may terminate this Agreement immediately if you commit fraud or abuse the program.
3.3 Product prices are at our sole discretion and may change.
3.4 Sales agreements are between Nutrabolt and the customer.
3.5 This Agreement continues until terminated.
4. Termination
Either party may terminate this Agreement at any time with or without cause via written notice (email or mail). Breach of terms results in immediate termination.
5. Modification
We may modify this Agreement at any time. You will be notified by email. Continued participation indicates acceptance.
6. Payment
Nutrabolt uses the Awin affiliate network to handle tracking and payments. Commissions apply only to qualifying sales that are paid, shipped, and not returned. Sales taxes, shipping, and returned goods are excluded. No commissions are paid for referrals prior to approval or after removal.
7. Returns and Reversals
We reserve the right to reverse orders due to cancellations, duplicate tracking, returns, or program violations. Failure to respond to inquiries about questionable activity may result in commission reversals or removal. Nutrabolt reserves the right to forfeit all prior and pending commissions if we have a reasonable belief that violations of program terms have occurred, even if individual transactions cannot be directly linked to those violations.
8. Promotion Restrictions
8.1 No spamming, unsolicited messages, or deceptive advertising. Emails must comply with CAN-SPAM, CASL, and other laws. You must clearly identify yourself and provide opt-out options.
8.2 Paid Search Restrictions:
- No bidding on trademarked terms or variations (e.g., Nutrabolt, C4, XTEND)
- Must negative match trademark terms
- No use of brand names or URLs in display ads
- No claiming to be an official site
- Absolutely no linking directly to the brand site through any method without prior permission.
8.3 Coupon & Deal Restrictions:
- Only promote coupons provided via Awin
- No scraped or user-submitted deals
- No misleading text or "click to reveal" language
- No bidding on coupon-related brand terms
- Affiliates may not post their assigned vanity or exclusive coupon codes to third-party coupon or deal websites without prior written approval
8.4 Non-Commission Promotional Activity:
Nutrabolt may engage in additional promotional opportunities with affiliates on a case-by-case basis, but no obligation exists without a written agreement. No reselling or giveaways without consent.
8.5 Technology Restrictions:
Affiliates may not use software that redirects traffic, overwrites cookies, triggers pop-ups, or targets on-page text, among other behaviors. Prohibited tech includes interstitials, toolbars, shopping wallets, browser helper objects, and similar.
8.6 FTC Compliance:
- Disclose affiliate relationships clearly and conspicuously
- If compensated with samples or commissions, this must be disclosed
8.7 Failure to comply with Section 8 may result in forfeited payments and termination. We may also deny commissions for deal/coupon sites under certain conditions.
8.8 Browser Extension Restrictions:
Affiliates may not use browser extensions, toolbars, or similar technologies that auto-redirect, auto-activate offers, or overwrite existing tracking cookies. Extensions must only activate with a clear user click. Violations may result in commission reversal and program removal.
8.9 Traffic Source Transparency: Affiliates must disclose all traffic sources used to drive clicks or conversions. Nutrabolt reserves the right to restrict or ban specific traffic types at its sole discretion.
8.10 Cloaking and Referrer Obfuscation: Use of cloaking, link obfuscation, or technologies that hide the referrer or origin of traffic is strictly prohibited.
8.11 Brand Asset Usage: Affiliates may not alter, recreate, or misrepresent brand assets or messaging. All marketing materials must reflect official brand tone and claims.
8.12 Redirects and Interstitials: Affiliates may not use redirects or interstitials that mimic, hijack, or impersonate official brand properties in paid or organic traffic.
9. Grant of Licenses
9.1 You are granted a non-exclusive, revocable license to use our affiliate links and approved brand assets solely for promoting Nutrabolt products. All goodwill from this use benefits Nutrabolt.
9.2 Neither party may use the other's proprietary material in a misleading, disparaging, or obscene way.
10. Disclaimer
Nutrabolt provides no warranties and is not liable for site interruptions or errors.
11. Representations and Warranties
You warrant that:
- This Agreement is valid and binding
- You have the authority to enter this Agreement
- You have the rights to all materials used
12. Limitations of Liability
We are not liable for indirect, special, or consequential damages. Our total liability will never exceed commissions paid to you.
13. Indemnification
You agree to indemnify Nutrabolt for losses resulting from your site content, trademark misuse, or Agreement breaches.
14. Confidentiality
All confidential information shared between parties must remain confidential and not be disclosed without written consent.
15. Miscellaneous
15.1 You are an independent contractor.
15.2 Rights may not be assigned unless through business acquisition.
15.3 Governed by Texas law and jurisdiction.
15.4 No amendments unless signed in writing.
15.5 This is the full and final Agreement.
15.6 Headings are for convenience only.
15.7 If any term is invalid, the rest of the Agreement remains in effect.
