Program Terms

About Lucy & Yak

Lucy & Yak is an independent clothing brand offering colourful, comfortable clothing and accessories. Approved publishers may promote Lucy & Yak through the Awin affiliate programme in accordance with these Programme Terms, the Awin platform terms, and any written instructions issued by Lucy & Yak or its appointed programme contact.

Definitions

In these Programme Terms:

  • Lucy & Yak means Lucy & Yak and its authorised representatives.
  • Publisher means any affiliate or partner approved to promote Lucy & Yak through Awin.
  • Programme means the Lucy & Yak affiliate programme operated through Awin.
  • Brand Assets means Lucy & Yak logos, trade marks, imagery, product copy, banners, text links, product feeds and other brand materials.
  • Prior Written Approval means express written approval from Lucy & Yak, its appointed programme manager, or via Awin.

Programme Closure Notice

This Programme operates with a 14-day closure notice period.

Cookie Period

The Programme operates on a 30-day cookie window, unless otherwise agreed in writing.

Commission

Commission will be awarded in accordance with Awin’s tracking and attribution rules and the commission rates shown in Awin.

Commission is not paid on:

  • VAT or sales tax;
  • delivery or shipping charges;
  • gift cards or gift vouchers;
  • Pre-Loved items;
  • cancelled, returned, refunded, duplicated, fraudulent or invalid orders;
  • orders generated in breach of these Programme Terms;
  • orders using unauthorised, expired or exclusive voucher codes; or
  • any other excluded product or category notified in Awin or in writing.

Lucy & Yak may decline, reverse, reduce or withhold commission where a transaction is invalid, non-compliant, fraudulent, duplicated, cancelled, returned, or generated in breach of these Programme Terms.

Additional PPC Terms

Publishers must not, without Prior Written Approval:

  • bid on Lucy & Yak brand terms, variants, misspellings, domain names or brand-plus terms;
  • bid on searches such as “Lucy & Yak discount code”, “Lucy & Yak voucher”, “Lucy & Yak sale” or similar;
  • use Lucy & Yak trade marks in paid search ad copy, headlines, descriptions, display URLs, destination URLs or ad extensions;
  • direct link to Lucy & Yak from paid search, paid social, display, shopping ads or any other paid media using affiliate tracking links.

Unauthorised PPC activity may result in commission being declined, reversed or set to zero.

Voucher Codes and Promotions

Publishers may only promote voucher codes, discount codes and promotional offers that are:

  • provided through Awin; or
  • provided directly by Lucy & Yak in writing.

Publishers must not promote unauthorised, expired, exclusive, staff, student, customer service, CRM, influencer, social, app-only or third-party codes unless expressly approved in writing.

Lucy & Yak may decline commission where an unauthorised, expired or exclusive code has been used. Publishers displaying unauthorised codes may have their commission set to zero until the code is removed and may be suspended or removed from the Programme.

Activities Requiring Prior Approval

Publishers must obtain Prior Written Approval before undertaking:

  • email marketing;
  • paid search activity;
  • paid social activity;
  • display advertising;
  • shopping ads or comparison shopping activity;
  • downloadable software, browser extension, toolbar or app-based activity;
  • behavioural retargeting or remarketing;
  • use of Lucy & Yak Brand Assets other than as supplied through Awin;
  • competitions, prize draws or giveaways involving Lucy & Yak;
  • PR or public announcements referring to Lucy & Yak;
  • sub-network activity or use of third-party traffic sources.

Approval may be withheld, granted conditionally or withdrawn at Lucy & Yak’s discretion.

Email Marketing

Email marketing is permitted only with Prior Written Approval.

Before sending any email activity, the Publisher must provide Lucy & Yak with details of the proposed campaign, including the sending entity, audience source, proposed send date, subject line, creative, offer and evidence of compliance with applicable marketing and data protection laws.

Publishers must comply with all applicable privacy, data protection and direct marketing laws, including, where applicable, UK GDPR, the Data Protection Act 2018, PECR, EU GDPR, CAN-SPAM and equivalent local laws.

Publishers must use any suppression lists provided by Lucy & Yak and must not contact any person who has opted out or withdrawn consent.

Any Publisher that runs email marketing without Prior Written Approval will be in breach of these Programme Terms.

Downloadable Software and Technology Partners

Downloadable software, browser extension, toolbar, app-based and similar technology partners are permitted only with Prior Written Approval.

Such Publishers must fully disclose how their technology works, including when affiliate links are triggered, how users are notified, how consent is obtained, and whether the technology redirects, overlays, injects, prompts or modifies the user journey.

Downloadable software and technology partners must not:

  • force clicks;
  • auto-redirect users;
  • drop cookies without a genuine user action;
  • overwrite another Publisher’s tracking without clear user intent;
  • interfere with the customer journey in a misleading way;
  • obscure the Publisher’s identity; or
  • use any technology that is misleading, non-consensual or non-compliant.

Compliance and Prohibited Activity

Publishers are responsible for ensuring that all promotional activity complies with applicable laws, regulations, platform rules, advertising standards and these Programme Terms.

Publishers must not:

  • use misleading consent mechanisms;
  • send unsolicited marketing;
  • misrepresent Lucy & Yak as the sender of communications;
  • process personal data without a lawful basis;
  • use cookies, pixels or tracking technologies unlawfully;
  • engage in fraud, cookie stuffing, forced clicks, click spamming, adware abuse or misleading redirects;
  • use bots, artificial traffic or fake transactions;
  • promote Lucy & Yak in illegal, obscene, sexually explicit, violent, discriminatory, defamatory, abusive, malware, file-sharing, peer-to-peer or IP-infringing environments;
  • suggest they are “in partnership with”, “sponsored by” or “endorsed by” Lucy & Yak unless approved in writing.

Consequences of Breach

If a Publisher breaches these Programme Terms, Lucy & Yak may:

  • decline, reverse, reduce or withhold commission;
  • set commission to zero;
  • require immediate removal or correction of non-compliant content;
  • suspend or remove the Publisher from the Programme;
  • withdraw approval for specific activity;
  • report the breach to Awin; and/or
  • take any other action available under applicable contract or law.
