Program Terms

1. General

About Lucy & Yak

Lucy & Yak is an independent clothing brand offering colourful, comfortable clothing and accessories. Approved Publishers may promote Lucy & Yak through the Awin affiliate programme in accordance with these Programme Terms, the Awin platform terms, and any written instructions issued by Lucy & Yak or its appointed programme contact.

Programme Closure Notice

This Programme operates with a 14-day closure notice period.

Cookie Period

The Programme operates on a 30-day cookie window, unless otherwise agreed in writing.

Commission

Commission will be awarded in accordance with Awin’s tracking and attribution rules and the commission rates shown in Awin.

The standard commission rate is 5%, unless a higher rate is negotiated or agreed with a Publisher and reflected in Awin.

Commission is not paid on:

  • VAT or sales tax;
  • delivery or shipping charges;
  • gift cards or gift vouchers;
  • Pre-Loved items;
  • cancelled, returned, refunded, duplicated, fraudulent or invalid orders;
  • orders generated in breach of these Programme Terms; or
  • orders using unauthorised, expired or exclusive voucher codes.

Lucy & Yak may decline, reverse, reduce or withhold commission where a transaction is invalid, non-compliant, fraudulent, duplicated, cancelled, returned, or generated in breach of these Programme Terms.

Voucher Codes and Promotions

Publishers may only promote voucher codes, discount codes and promotional offers that are provided through Awin or directly by Lucy & Yak in writing.

Publishers must not promote unauthorised, expired, exclusive, staff, student, customer service, CRM, influencer, social, app-only or third-party codes unless expressly approved in writing.

Lucy & Yak may decline commission where an unauthorised, expired or exclusive code has been used. Publishers displaying unauthorised codes may have their commission set to zero until the code is removed and may be suspended or removed from the Programme.

Approval Requirements

Publishers must obtain prior written approval before undertaking:

  • email marketing;
  • paid search, paid social, display, shopping ads or comparison shopping activity;
  • downloadable software, browser extension, toolbar or app-based activity;
  • behavioural retargeting or remarketing;
  • use of Lucy & Yak Brand Assets other than as supplied through Awin;
  • competitions, prize draws, giveaways, PR or public announcements involving Lucy & Yak;
  • sub-network activity or use of third-party traffic sources.

Approval may be withheld, granted conditionally or withdrawn at Lucy & Yak’s discretion.

Email Marketing

Email marketing is permitted only with prior written approval. Publishers must provide campaign details before sending, including audience source, proposed send date, subject line, offer and confirmation of legal compliance.

Publishers must comply with all applicable privacy, data protection and direct marketing laws, including, where applicable, UK GDPR, the Data Protection Act 2018, PECR, EU GDPR, CAN-SPAM and equivalent local laws.

Publishers must use any suppression lists provided by Lucy & Yak and must not contact anyone who has opted out or withdrawn consent.

Downloadable Software and Technology Partners

Downloadable software, browser extension, toolbar, app-based and similar technology partners are permitted only with prior written approval and full disclosure of how the technology works.

Such Publishers must not force clicks, auto-redirect users, drop cookies without genuine user action, overwrite another Publisher’s tracking without clear user intent, or interfere with the customer journey in a misleading way.

Additional Publisher Terms

Publishers must disclose their promotional methods when applying to the Programme and must notify Lucy & Yak before materially changing those methods.

Publishers must not use undisclosed sub-networks, sub-Publishers, media buyers, traffic sources or technology providers without prior written approval.

Lucy & Yak may reject, suspend or remove any Publisher whose activity is inconsistent with these Programme Terms, Lucy & Yak’s brand standards or applicable laws

Compliance and Prohibited Activity

Publishers must ensure that all promotional activity complies with applicable laws, regulations, platform rules, advertising standards and these Programme Terms.

Publishers must not:

  • send unsolicited marketing or process personal data without a lawful basis;
  • use cookies, pixels or tracking technologies unlawfully;
  • engage in fraud, cookie stuffing, forced clicks, click spamming, adware abuse, misleading redirects, bots, artificial traffic or fake transactions;
  • promote Lucy & Yak in illegal, obscene, sexually explicit, violent, discriminatory, defamatory, abusive, malware, file-sharing, peer-to-peer or IP-infringing environments;
  • suggest they are “in partnership with”, “sponsored by” or “endorsed by” Lucy & Yak unless approved in writing.

Consequences of Breach

If a Publisher breaches these Programme Terms, misuses Lucy & Yak’s brand assets or intellectual property, disparages Lucy & Yak, or engages in activity which causes or is reasonably likely to cause reputational harm, Lucy & Yak may decline, reverse, reduce or withhold commission, set commission to zero, require removal or correction of non-compliant content, withdraw approval for specific activity, report the breach to Awin, suspend or remove the Publisher from the Programme immediately or on notice in accordance with the applicable Awin notice period, and/or take any other action available under applicable contract or law.

Governing Law

Subject to Awin’s applicable terms, these Programme Terms are governed by the laws of England and Wales and the courts of England and Wales shall have jurisdiction in relation to any dispute arising under them.
