CordBrick LLC Affiliate Program Agreement
1. Introduction: This Agreement outlines the terms and conditions under which affiliates may participate in the CordBrick LLC Affiliate Program. By registering for the CordBrick LLC Affiliate Program on ShareASale, you agree to be bound by these terms, along with ShareASale's Terms of Use.
2. Program Participation: Participation in the CordBrick LLC Affiliate Program is subject to approval by CordBrick LLC. We reserve the right to reject any application that we determine, at our sole discretion, to be unsuitable for our Program. Unsuitable sites include, but are not limited to, those that: Promote sexually explicit material, violence, discrimination, or illegal activities. Violate intellectual property rights or other legal rights. Are otherwise incompatible with our values and objectives.
3. Affiliate Obligations: As an affiliate, you agree to:Conduct yourself with integrity and in a manner that reflects positively on CordBrick LLC. Use promotional materials provided by CordBrick LLC for any affiliate-related links or references. Accurately represent our products without misleading potential customers. Comply with all legal requirements and applicable laws.
4. Prohibited Activities: Affiliates are prohibited from: Using spam or other unsolicited emails to seek sales. Bidding on any keywords containing the "CordBrick" trademark or misspellings thereof in any paid search campaigns on any platform. Altering any of the creative and text materials provided by CordBrick LLC without prior written consent. Creating websites or advertisements that mimic or resemble our website to imply an official relationship or mislead customers. Utilizing any form of software downloads that potentially enable diversions of commission from other affiliates in our program.
5. Commission Structure: Commissions are paid on net sales (excluding returns and cancellations), with the rate determined by the type and quantity of sale, as detailed in your affiliate account. CordBrick LLC reserves the right to adjust the commission structure as necessary.
6. Payment Terms: Payments will be processed by ShareASale and are subject to the terms outlined in ShareASale’s Terms of Use. Affiliates must maintain their account in good standing to receive payments.
7. Intellectual Property: All marketing materials, including trademarks, imagery, and logos provided by CordBrick LLC, are our sole property and must be used as directed within the guidelines stipulated in this agreement.
8. Term and Termination: The term of this Agreement will begin upon your acceptance in the Program and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination.
9. Modification: We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. Modifications may include, but are not limited to, changes in the payment procedures and the CordBrick LLC Affiliate Program rules.
10. Limitation of Liability: CordBrick LLC will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).
11. Disclaimer: CordBrick LLC makes no express or implied warranties or representations with respect to the Program or an affiliate’s potential to earn income from the Program.
12. Legal Compliance: Affiliates are responsible for their adherence to all national and local laws including regulations as set by any governing agency or authority.
