GameU Affiliate Agreement

GameU (hereinafter referred to as "GameU" or "The Company") Affiliate Agreement.
This Agreement contains the complete terms and conditions that apply to your participation as an affiliate in the Affiliate Program of GameU, and the establishment of links from your affiliate website to our website https://www.game-u.com.
Definitions
Customer: The user sent to GameU's site via affiliate link. Affiliate / You: The publisher advertising links or promotions of GameU. Program: The GameU Affiliate Program operated through the Awin network.
1. Enrollment in the Affiliate Program
First, you need to submit a complete Affiliate Program Application. We will evaluate your application and will notify you of your acceptance or rejection in 1 to 2 business days. We may reject your application if we determine (at our sole discretion) that your site is unsuitable for the Affiliate Program for any reason. If we reject your application, you are welcome to reapply to the Affiliate Program at any time.
2. Promoted Product and Commission
The Program currently promotes Orbit Self-Paced, GameU's STEAM-based virtual learning program for children, priced at $25/month following a 7-day free trial. Additional products may be added to the Program at GameU's discretion with updated terms.
Affiliates earn a commission of 25% of first-month revenue ($6.25 USD per converted paid signup) on a CPA basis. Commission is earned only when a Customer's 7-day free trial converts to a first paid month. Trial signups that do not convert to paid will result in declined transactions during validation. Commissions on subsequent monthly subscription renewals are not paid.
3. Attribution and Validation
- Cookie window: 45 days, last-click attribution.
- Auto-validation period: 50 days. GameU reserves the right to manually decline any transaction within this period for any reason described in this Agreement, including but not limited to trial cancellation, refund, fraud, or violation of these Terms.
4. Region
The Program currently accepts traffic from English-speaking markets, including the United States, United Kingdom, Canada, Australia, Ireland, and New Zealand. Conversions from non-English-speaking markets may be declined.
5. Prohibited Sites and Audiences
The following sites or promotional activities are prohibited:
- Sites that promote sexually explicit material or violence.
- Sites that promote discrimination based on race, sex, religion, national origin, or physical disability.
- Sites that promote illegal activities.
- Sites or verbiage making medical claims regarding our products or services (e.g., the curing or recession of an ailment).
Children's Audience (COPPA Compliance): GameU is a children's education product. Affiliates must not market the Program directly to children under 13. All promotional content must be directed at parents, guardians, educators, or other adults responsible for selecting educational programs for children. Affiliates must comply with the Children's Online Privacy Protection Act (COPPA) and any analogous state or international laws. Violation of this section is grounds for immediate termination and forfeiture of accrued commission.
6. Spam
Affiliate agrees not to utilize SPAM in promoting GameU. This action will result in the immediate termination of the Affiliate account with a cancellation of any pending commissions. Affiliate will also be in violation of GameU's Affiliate Agreement and subject to legal action and held liable for any financial loss incurred by GameU. Any service interruptions to GameU's website as a result of Affiliate spamming will be billed to Affiliate at 500 U.S. dollars per hour until service is restored.
For the purpose of this Agreement, SPAM is defined as emailing ANYONE, in bulk or by single mailing, about GameU, who has not specifically requested the information directly from Affiliate. The ONLY exceptions to this are:
- Mailing to APPROPRIATE OPT-IN mailing lists where the source does the mailing on Affiliate's behalf. Use extreme caution when choosing an opt-in mailing list company; using anything but the most reputable sources could generate spam complaints against Affiliate resulting in suspension or termination.
- Including information about GameU in email Acknowledgement Messages for orders and inquiries that you receive, so long as it is stated upfront that you will be sending them an acknowledgement.
GameU also considers ANY type of advertisement about GameU posted to a Newsgroup, Chat Room, or unsolicited social media channel to be spam.
7. PPC Bidding Rules
Affiliates may not bid on GameU's trademarks — including but not limited to "GameU," "Game-U," "Game U," "GameU Orbit," or any variant, misspelling, or compound including our trademarks — on any paid search platform (Google Ads, Microsoft Ads, or similar). This restriction applies to both pure-trademark and trademark-plus-keyword (TM + Keyword) bidding. Affiliates may not set the destination URL of any paid advertisement to https://www.game-u.com/ or any subdomain or path of game-u.com.
Affiliates are free to bid on generic keywords that do not include our trademarks. Any affiliate found bidding on our trademarks, including in TM + Keyword form, or direct-linking via paid search will be suspended without notice and all earned commission will be declined.
8. Coupon and Promotional Code Policy
Affiliates may only promote coupon codes that have been issued directly by GameU through this Awin program. At this time, the GameU Affiliate Program does not offer any public coupon codes. Affiliates promoting fabricated, expired, third-party, or unauthorized "discount," "promo," or "coupon" codes — including codes displayed on coupon sites without GameU's authorization — will have commission declined and may be suspended from the Program. Continued use of unauthorized codes will result in program termination.
9. Welcomed Promotional Methods and Prohibited Activities
The Program welcomes sub-affiliate networks, cashback, loyalty, and rewards publishers as valid promotional partners, provided they comply with all sections of this Agreement. Sub-network operators are responsible for the conduct and compliance of their downstream publishers, including the PPC (Section 7), Coupon (Section 8), and Children's Audience (Section 5) requirements of this Agreement.
In addition to spam (Section 6), trademark bidding (Section 7), and unauthorized coupon promotion (Section 8), the following activities are strictly prohibited and grounds for immediate suspension and commission forfeiture:
- Cookie stuffing, forced clicks, iframe injection, or any technical practice that places attribution cookies without genuine user intent.
- Adware, malware, browser hijackers, or toolbar injection.
- Misrepresentation of GameU, the Orbit product, pricing, the free-trial terms, or any other material fact.
- Promotion through Google Shopping or Product Listing Ads (see Section 18).
10. Promotion of Our Affiliate Relationship
As an Affiliate, we will make available to you Links (each of these links sometimes being referred to herein as "Links" or, individually, as a "Link") and banners, which, subject to the terms and conditions hereof, you may display as often and in as many areas on your site as you desire. The Links will serve to identify your site as a member of our Affiliate Network and will establish a link from your site to ours.
Links: We will provide you with Links, which will consist of graphic images or text provided by us (and subject to change from time to time in our sole discretion). These Links will connect your site directly to ours. By utilizing these Links, users of your site will be able to order, directly from us, any product(s) described or referenced on your site.
Agreements Regarding Links: In utilizing Links, you also agree that you will display on your site only those graphic images (indicating a Link) that are provided by us, and you will substitute such images with any new images provided by us from time to time throughout the term of this Agreement. All Links may be modified or expanded from time to time pursuant to the mutual agreement of the parties hereto. Each Link will in no way alter the look, feel, or functionality of our site. In addition, we encourage (but do not require) you to include a Link to the home page of our site.
11. Our Responsibilities
We will be responsible for providing all information necessary to allow you to make appropriate Links from your site to our site. We will be solely responsible for processing every order placed by a Customer following a Link from your site, for tracking the volume and amount of sales generated by your site, and for providing sales statistics through the Awin platform. We will be responsible for order processing, payment processing, subscription management, cancellations, refunds, and related customer service.
12. Your Responsibilities
You are solely responsible for ensuring that reviews, descriptions, and articles on your site comply with applicable copyright law, FTC disclosure guidelines, and other applicable laws. You must have express permission to use another party's copyrighted or proprietary material. We are not responsible for violations.
FTC disclosures must be clear and conspicuous on your site. For additional guidance, see:
To make a disclosure "clear and conspicuous," the Affiliate should use clear and unambiguous language and make the disclosure stand out. Customers should be able to notice the disclosure easily — they should not have to look for it. In general, disclosures should be:
- Close to the claims to which they relate;
- In a font that is easy to read;
- In a shade that stands out against the background;
- For video ads, on the screen long enough to be noticed, read, and understood;
- For audio disclosures, read at a cadence that is easy for consumers to follow and in words consumers will understand.
A disclosure that is made in both audio and video is more likely to be noticed by consumers. Disclosures should not be hidden or buried in footnotes, blocks of text people are not likely to read, or hyperlinks. If disclosures are hard to find, tough to understand, fleeting, buried in unrelated details, or obscured by other elements in the ad or message, they do not meet the "clear and conspicuous" standard.
13. Reports of Sales
Sales statistics are available to you through the Awin publisher platform. You are responsible for monitoring your own performance and validation status.
14. Policies and Pricing
Customers who purchase GameU's products through the Affiliate Program will be deemed Customers of GameU. Accordingly, all of our rules, policies, and operating procedures concerning Customer orders, customer service, and sales will apply to those Customers. We may change our policies and operating procedures at any time. We will determine the prices to be charged for our products sold under the Affiliate Program in accordance with our own pricing policies, and prices and product availability may change. Because price changes may affect products you already have listed on your site, you should update pricing often or not include price information in your product descriptions.
Customers sent to GameU must be the end user of the product or service. If Affiliate is placing an order on behalf of the Customer, approval of this promotional method must be explicitly provided by GameU.
15. Publicity
You shall not create, publish, distribute, or permit any written material that makes reference to GameU without first submitting such material to us and receiving our written consent, which we agree shall not be unreasonably withheld.
16. Licenses and Use of GameU's Logos and Trademarks
WE GRANT YOU A NON-EXCLUSIVE, NON-TRANSFERABLE, REVOCABLE RIGHT TO (i) ACCESS OUR SITE THROUGH THE LINKS IN ACCORDANCE WITH THE TERMS OF THIS AGREEMENT AND (ii) SOLELY IN CONNECTION WITH SUCH LINKS AND UNDER THE CONDITIONS PROVIDED FOR HEREIN, TO USE OUR LOGOS, TRADE NAMES, TRADEMARKS, AND SIMILAR IDENTIFYING MATERIAL RELATING TO US (COLLECTIVELY, THE "LICENSED MATERIALS"), FOR THE SOLE PURPOSE OF PROMOTING PRODUCTS ON YOUR SITE FOR GAMEU. YOU MAY NOT ALTER, MODIFY, OR CHANGE THE LICENSED MATERIALS IN ANY WAY WITHOUT WRITTEN PERMISSION. YOU ARE ONLY ENTITLED TO USE THE LICENSED MATERIALS WHILE YOU ARE A MEMBER IN GOOD STANDING OF THE AFFILIATE PROGRAM.
You shall not make any specific use of any Licensed Materials for purposes other than promoting products on your site for GameU, without first submitting a sample of such to us and obtaining the prior written consent of GameU's Affiliate Program Manager, which shall not be unreasonably withheld. We reserve all of our rights in the Licensed Materials and in our other proprietary rights. We may revoke your license at any time by giving you written notice.
17. Compliance Monitoring
We have the right in our sole discretion to monitor your site at any time and from time to time to determine whether you are in compliance with the terms of this Agreement.
18. Google Shopping / Product Listing Ads
Promotion through Google Shopping or Product Listing Ads is not allowed unless express written permission is provided by GameU.
19. Termination
GameU may terminate any Affiliate's participation in the Program at any time, with or without cause. Any accrued but unpaid commission earned prior to termination will be paid on Awin's next standard payment cycle, provided no violation of this Agreement has occurred. Commission earned through activities that violate this Agreement is forfeit.
Affiliates may terminate their participation at any time by withdrawing from the Program through the Awin platform.
20. Modification of Terms
GameU may modify these Terms — including commission rates — with at least 7 days' notice to Affiliates via the Awin platform. Continued participation in the Program after the effective date of any modification constitutes acceptance of the updated Terms.
21. Governing Law
These Terms are governed by the laws of [Governing Law / Jurisdiction], without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in [Governing Law / Jurisdiction].
