Affiliate Program Terms and Conditions for FlowerArchitect.com

These Affiliate Program Terms and Conditions (the "Agreement") govern your participation in the affiliate program (the "Program") offered by FlowerArchitect.com (the "Company," "we," "us," or "our") through the Awin affiliate network. By joining the Program and promoting our products or services, you (the "Affiliate," "you," or "your") agree to be bound by this Agreement. If you do not agree to these terms, do not participate in the Program.

1. Program Overview

The Program allows approved Affiliates to earn commissions by referring qualified customers to FlowerArchitect.com through unique tracking links provided via Awin. We offer digital products, services, or memberships related to floral architecture and design. Affiliates promote our offerings on their websites, social media, email lists, or other approved channels.

2. Eligibility and Enrollment

• Eligibility: To participate, you must be at least 18 years old (or the age of majority in your jurisdiction) and have a valid Awin publisher account. You must comply with all applicable laws, including but not limited to anti-spam regulations (e.g., CAN-SPAM Act) and data privacy laws (e.g., GDPR, CCPA).
• Application Process: Submit your application through Awin. We reserve the right to approve or reject applications at our sole discretion. Reasons for rejection may include, but are not limited to, inappropriate content, violation of our policies, or prior termination from similar programs.
• Approval: Upon approval, you will receive access to promotional materials and tracking links. You must disclose your affiliate relationship in all promotions as required by law (e.g., using #ad or similar tags).

Note on Our Commission: FlowerArchitect.com offers a flat commission of $5.00 USD per qualified paid membership purchase, applicable only to the first month’s payment completed by a referred customer. This commission structure is designed to reward affiliates for driving new subscribers to our exclusive floral design membership platform. Below are the details governing this structure:

• Commission Rate: You will earn $5.00 USD for each qualified paid membership referral where the referred customer successfully completes their first month’s membership payment.
• Qualified Referrals: A referral qualifies for a commission if:
  • The customer is a new user to FlowerArchitect.com, with no prior account or purchase history.
  • The customer signs up for a paid membership using your unique Awin tracking link.
  • The customer’s first month’s payment is successfully processed and not refunded, canceled, or disputed within the validation period.
• Exclusions: Commissions will not be paid for:
  • Free trials, membership renewals beyond the first month, upgrades, or purchases of non-membership products or services.
  • Purchases made by you, your employees, immediate family members, or other affiliates.
  • Transactions deemed fraudulent, invalid, or resulting in chargebacks or refunds.
  • Referrals from unapproved traffic sources or in violation of Awin’s or our terms.
• Tracking and Attribution:
  • Referrals are tracked using Awin’s tracking system, which employs cookies with a 30-day cookie duration.
  • We use a last-click attribution model, meaning the affiliate whose link is the last clicked before the purchase earns the commission.
  • Ensure your tracking links are correctly implemented as provided by Awin to avoid tracking issues.
• Validation Period: Commissions are subject to a 30-day validation period after the customer’s purchase to account for potential refunds, cancellations, or disputes. Only validated transactions will be paid.
• Commission Caps and Limits: There is no cap on the number of qualified referrals you can earn commissions for, provided they meet all criteria. However, we reserve the right to review high-volume transactions for compliance.
• Prohibited Practices: Commissions will not be paid for referrals generated through:
  • Paid search campaigns bidding on our brand terms (e.g., “FlowerArchitect,” “Flower Architect membership”) without prior approval.
  • Cookie stuffing, forced clicks, or other manipulative practices.
  • Promotions on unapproved sites (e.g., coupon or deal sites not authorized by us).
• Reporting: Commission data is available through your Awin publisher dashboard. Regularly review your performance to ensure accurate tracking. Contact Awin support or us at jenny@flowerarchitect.com if you suspect tracking issues.
• Commission Adjustments: We reserve the right to reverse or adjust commissions for transactions later found to be ineligible (e.g., due to fraud or cancellations). Adjustments will be reflected in your Awin account.

4. Payment Terms

• Payment Schedule: Commissions are paid monthly via Awin, net 30 days after the end of the validation period (i.e., approximately 60 days after the customer's purchase).
• Minimum Threshold: A minimum payout threshold of $50.00 USD applies. Unpaid amounts below this threshold will roll over to the next payment cycle.
• Taxes and Fees: You are responsible for all taxes, duties, and fees associated with your commissions. We may withhold payments if required by law. Awin's platform fees may apply as per their terms.
• Currency: All payments are in USD unless otherwise specified.
• Disputes: Any commission disputes must be raised within 60 days of the transaction date. Our decision on disputes is final.

5. Promotional Guidelines

• Approved Channels: You may promote via websites, blogs, social media, email, or other digital channels. Offline promotions require prior written approval.
• Content Requirements: All promotions must be accurate, truthful, and not misleading. You must not:
  • Make false claims about our products (e.g., guarantees of results).
  • Use spam, unsolicited emails, or automated bots.
  • Bid on our trademarks (e.g., "FlowerArchitect" or variations) in paid search campaigns.
  • Create fake reviews or endorsements.
• Disclosure: Clearly disclose your affiliate status in all promotions.
• Prohibited Activities: Violation of these may result in immediate termination and forfeiture of commissions:
  • Infringing on intellectual property rights.
  • Promoting via adult, gambling, or illegal content sites.
  • Using malware, adware, or deceptive practices.
  • Violating Awin's terms or any applicable laws.

6. Intellectual Property

• Limited License: We grant you a non-exclusive, revocable license to use approved logos, banners, and promotional materials solely for the Program.
• Restrictions: You may not alter materials without permission. All rights to our trademarks, copyrights, and content remain with us.
• Your Content: You grant us a non-exclusive license to use your promotional content for Program-related purposes.

7. Tracking and Reporting

• Awin Platform: All tracking, reporting, and payments are handled through Awin. You must maintain an active Awin account.
• Data Accuracy: We are not responsible for tracking failures due to your technical issues, cookie blocking, or user behavior.
• Audits: We reserve the right to audit your promotions and traffic sources.

8. Term and Termination

• Term: This Agreement begins upon approval and continues until terminated.
• Termination: Either party may terminate with 7 days' written notice. We may terminate immediately for breach (e.g., prohibited activities). Upon termination:
  • You must cease all promotions and remove our materials.
  • Pending commissions will be paid if qualified, minus any deductions for breaches.
• Survival: Sections on payments, liability, and confidentiality survive termination.

9. Representations and Warranties

You represent that:

• Your promotions comply with all laws.
• You have the right to enter this Agreement.
• Your sites and content do not infringe third-party rights.

We disclaim all warranties, express or implied, including merchantability or fitness for a particular purpose.

10. Limitation of Liability

In no event shall we be liable for indirect, consequential, or punitive damages arising from the Program. Our total liability shall not exceed the commissions paid to you in the prior 12 months.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your breach of this Agreement, your promotions, or violations of law.

12. Confidentiality

You must keep confidential any non-public information about our business, customers, or the Program.

13. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of California, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of San Francisco County, California.

14. Miscellaneous

• Amendments: We may update this Agreement with 30 days' notice via email or Awin. Continued participation constitutes acceptance.
• Entire Agreement: This supersedes all prior agreements.
• Severability: If any provision is invalid, the rest remains enforceable.
• No Waiver: Failure to enforce a right does not waive it.
• Assignment: You may not assign this Agreement without our consent.
