KNESKO SKIN × AWIN AFFILIATE PROGRAM AGREEMENT
Please read this Affiliate Program Agreement (“Agreement”) carefully before submitting your application to participate in the KNESKO Skin Affiliate Program (“Program”). By submitting an application, you accept and agree to be bound by this Agreement. “Company,” “we,” and “us” mean KNESKO Skin; “Affiliate,” “you,” and “your” mean the applicant.
1. ENROLLMENT
The Program is professionally managed by AWIN Inc. (“AWIN”). This Agreement becomes effective once AWIN accepts your merchant‑link sign‑up request and you begin linking or otherwise participating in the Program.
2. LINKING AND PARTICIPATION
To participate, you must hold an active AWIN affiliate account and request to join the KNESKO Skin merchant program. KNESKO Skin or AWIN may reject any application at their sole discretion, including sites containing unlawful, harmful, defamatory, obscene, or discriminatory content. For privately registered domains, the e‑mail domain must match the URL submitted.
3. AFFILIATE MARKETING ACTIVITIES
All images, trademarks, trade names, slogans, and designs provided via AWIN (“KNESKO Skin Materials”) are proprietary to KNESKO Skin and may be used only as permitted herein.
• **Paid Search:** Your ads must not link directly to knesko.com, even through AWIN links. No bidding on KNESKO trademarks or misspellings.
• **Email:** Do not email any promotion that references KNESKO Skin without prior written consent. If approved, copy info@kneskoskin.com and comply with CAN‑SPAM.
• **Trademark Usage:** Use KNESKO marks only on landing pages, not in ad titles or URLs, and only in fair‑use fashion.
4. LINKS & IMAGES
All banner and text links must be obtained from AWIN and must not be altered. KNESKO Skin or AWIN may monitor your site for compliance at any time.
5. AFFILIATE OBLIGATIONS
a. Place links on your site within 30 days of acceptance.
b. Actively maintain promotional links via AWIN.
c. Bear all costs of operating your site and ensure its content is lawful and non‑infringing.
d. Keep your AWIN profile current, with accurate WHOIS data.
e. Do not frame knesko.com or imply endorsement.
f. Follow FTC Endorsement Guidelines—clearly label posts “AD:” and disclose monetary compensation before any tracking link or banner.
6. SPYWARE / MALWARE
Participation in spyware, ad‑ware, or parasite‑ware is prohibited. Violators forfeit unpaid commissions and are terminated.
7. PUBLICITY
Except for AWIN‑supplied creatives, you may not publish material referencing KNESKO Skin without prior written consent.
8. POLICIES & PRICING
Customers who purchase via the Program are KNESKO Skin customers. All customer data belongs exclusively to KNESKO Skin. Affiliate may not quote prices without consent.
9. COMMISSION PAYMENT
All tracking and commission payments are handled solely by AWIN. See www.awin.com for payment schedules.
10. LICENSES & TRADEMARKS
KNESKO Skin grants a limited, revocable, non‑transferable license to display AWIN‑supplied links solely for Program participation. All goodwill in the marks inures to KNESKO Skin.
11. TERM & TERMINATION
This Agreement starts on AWIN’s acceptance date and remains in force while you participate. Either party may terminate at any time. Commissions accrue only on sales completed before termination and not cancelled or returned.
12. PROGRAM MODIFICATION
KNESKO Skin may modify the Program or this Agreement at any time upon email notice. Continued participation constitutes acceptance.
13. RELATIONSHIP
Affiliate and KNESKO Skin are independent contractors; neither may bind the other.
14. REPRESENTATIONS & WARRANTIES
Each party warrants authority to enter this Agreement. Affiliate warrants its site does not infringe, violate law, contain defamatory or obscene material, or malware, and that it maintains a compliant privacy policy. No other warranties are provided.
15. CONFIDENTIALITY
Business and customer information exchanged under this Agreement is confidential and may be used only for Program purposes or as required by law.
16. LIMITATION OF LIABILITY
KNESKO Skin shall not be liable for indirect, special, or consequential damages or lost profits. Affiliate’s sole remedy is to terminate participation.
17. INDEMNIFICATION
Affiliate will indemnify and hold harmless KNESKO Skin and its affiliates against third‑party claims arising from Affiliate’s breach of this Agreement.
18. JURISDICTION / VENUE
This Agreement is governed by California law. Any action shall be brought exclusively in the state or federal courts located in California, USA, and Affiliate consents to such venue.
19. REFERENCES / TESTIMONIALS
Affiliate agrees to cooperate with KNESKO Skin in developing testimonials and grants the right to reference Affiliate in marketing materials.

21. ACKNOWLEDGMENT & ACCEPTANCE
By submitting an AWIN application and clicking “Accept,” Affiliate certifies authorization to act on behalf of the applicant entity and acceptance of all terms above.
