PuppySpot, LLC (hereinafter referred to as “The Company”) Affiliate Agreement
This Agreement contains the complete terms and conditions that apply to your participation as an affiliate in the Affiliate Program of The Company, and the establishment of links from your affiliate website to our website www.puppyspot.com.
Definitions
Customer: The user sent to The Company site via affiliate link
Affiliate / You: The publisher advertising links/promotions of The Company
1. Enrollment in the Affiliate Program
First, you need to submit a complete Affiliate Program Application. We will evaluate your application and will notify you of your acceptance or rejection in 1 to 2 business days. We may reject your application if we determine (at our sole discretion) that your site is unsuitable for the Affiliate Program for any reason. If we reject your application, you are welcome to reapply to the Affiliate Program at any time.
2. Prohibited Sites / Verbiage
Sites that promote sexually explicit material or violence.
Sites that promote discrimination based on race, sex, religion, national origin, or physical disability.
Sites that promote illegal activities.
Sites or verbiage making medical claims in regards to our products/services (i.e. the curing or recession of an ailment).
Sites or verbiage that reference “adoption,” “adopt a puppy,” or similar language. Affiliates must use approved terminology such as “purchase,” “placement,” or “puppies for sale by breeder.”
3. Spam
Affiliate agrees to not utilize SPAM in promoting The Company. This action will result in the immediate termination of Affiliate account with a cancellation of any pending commissions. Affiliate will also be in violation of The Company’s Affiliate Agreement and subject to legal action and be held liable for any financial loss incurred by The Company. Any service interruptions to The Company’s website as a result of Affiliates spamming will be billed to Affiliate at 500 U.S. dollars per hour until service is restored.
For the purpose of this agreement SPAM is defined as emailing ANYONE, in bulk or by single mailing, about The Company, who has not specifically requested the information directly from Affiliate.
The ONLY exceptions to this are:
Mailing to appropriate opt-in mailing lists where the source does the mailing on Affiliate's behalf.
Including information on The Company in acknowledgement emails for orders and inquiries, provided this is disclosed upfront.
Any advertisement about The Company posted to a Newsgroup or Chat Room is considered spam.
4. Promotion of Our Affiliate Relationship
As an Affiliate Site, we will make available to you links and banners which you may display on your site.
Links will allow users to connect directly to our site and purchase a puppy from a breeder through PuppySpot’s platform. PuppySpot facilitates the placement and purchase process between customers and breeders and does not offer adoptions.
Affiliates may only use links, banners, and creative assets provided by The Company. All links must direct users to the appropriate area of the PuppySpot website and may not alter the look, feel, or functionality of the site.
5. PPC Bidding Rules
Publishers are prohibited from bidding on:
Branded or trademarked terms
Derivatives of branded or trademarked terms
Broad-match bidding on branded or trademarked terms
Paid Search publishers may not use the brand name PuppySpot or Puppy Spot in display URLs, titles, or ad copy.
Affiliates are not allowed to use TM+ bidding under any circumstance, including terms such as “PuppySpot coupon” or “PuppySpot voucher.”
Affiliates may only advertise coupon codes distributed by The Company or Purebred Marketing on behalf of The Company. Sales generated through unauthorized codes will be canceled.
Affiliates may bid on competitor branded terms and may link directly to www.puppyspot.com from paid search ads.
6. Our Responsibilities
We will provide all information necessary to allow you to create appropriate links to our site. We will be solely responsible for processing orders placed by customers, tracking sales, and providing performance reporting. We will also handle payment processing, customer service, cancellations, and refunds related to the purchase and placement of puppies through our breeder network.
7. Other Responsibilities and Opportunities of Affiliate Sites
Affiliates may participate in and promote sweepstakes, contests, and special promotions provided by The Company. Only offers and promotional tools explicitly provided by The Company may be used. Unauthorized use of offers from other sources may result in termination.
8. Compliance
The Company reserves the right to monitor affiliate sites at any time for compliance with this Agreement. Affiliates must comply with FTC disclosure requirements and approved language related to puppy purchases, placements, and breeder-facilitated sales.
9. Your Responsibilities
Affiliates are solely responsible for ensuring that content on their sites complies with applicable copyright, FTC disclosure, and other laws. All content must accurately reflect PuppySpot’s role in facilitating the purchase and placement of puppies from breeders and must not imply adoption.
10. Policies and Pricing
Customers purchasing through the Affiliate Program are deemed customers of The Company. All Company policies regarding pricing, availability, customer service, and sales apply. Prices and availability may change at any time, and affiliates are responsible for keeping content up to date.
11. Licenses and Use of The Company’s Logos and Trademarks
The Company grants affiliates a non-exclusive, non-transferable, revocable license to use approved logos, trade names, and trademarks solely for promoting PuppySpot through approved links. Licensed materials may not be altered and may only be used while the affiliate is in good standing.
12. Google Shopping / Product Listing Ads
Promotion through Google Shopping or Product Listing Ads is not permitted unless express written permission is provided by The Company.
