SPIEZ AFFILIATE PROGRAMME — TERMS & CONDITIONS

TAB 1 · GENERAL
━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━
ABOUT THIS PROGRAMME
SPIEZ grants publishers a non-exclusive, non-transferable, revocable right to promote SPIEZ products through approved publisher media in exchange for performance-based commissions. This arrangement does not create an employment, agency, partnership, joint venture, or franchise relationship between the parties.
APPROVED TERRITORIES
Publishers may promote SPIEZ products to audiences in approved countries including the United States, United Kingdom, Germany, France, and the Netherlands. Publishers must not actively target customers in countries where SPIEZ does not ship or where promotion of SPIEZ products is restricted.
CONTENT STANDARDS
Publisher media must not contain or be placed alongside:
- Illegal, sexually explicit, or pornographic content
- Hate speech or content promoting violence, discrimination, or self-harm
- Content targeting minors under 13 (or 16 in the EU/UK per applicable law)
- Content that infringes third-party intellectual property
- Misleading price comparisons or defamatory content targeting SPIEZ or competitors
DISCLOSURE REQUIREMENTS
Publishers must clearly and conspicuously disclose their commercial relationship with SPIEZ on all content containing affiliate links or SPIEZ brand mentions. Required disclosures by region:
- US (FTC): "#ad", "#sponsored", or "Paid partnership with SPIEZ" — visible before scrolling
- UK (CAP/ASA): "Ad" or "Advertising" prominently displayed
- EU (DSA Art. 26): Disclosure in the audience's local language
- Germany: "Werbung" or "Anzeige" clearly labeled
TRUTHFUL CLAIMS
All product claims must be truthful, non-misleading, and consistent with SPIEZ's official product documentation and certifications (EN ISO 20345, ASTM F2413/F2913). Publishers must not misrepresent certifications, country of origin, or warranty terms.
REPRESENTATIONS
By participating in the programme, publishers confirm that: (a) they have full legal authority to operate their media; (b) their content complies with applicable law; (c) they are not targeting sanctioned countries under US, EU, or Swiss law.
AGREEMENT UPDATES
SPIEZ may update these terms by posting changes on the AWIN platform. Continued participation 15 days after posting constitutes acceptance. Material adverse changes will be highlighted to publishers.

TAB 2 · PPC
━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━
BRAND KEYWORD BIDDING — STRICTLY PROHIBITED
Publishers are not permitted to bid on, target, or use the brand name "SPIEZ" or any brand-related variations in paid search or PPC advertising. This includes:
- Exact, phrase, or broad match variations of "SPIEZ"
- Misspellings and typo-variants of the brand name
- Brand + generic keyword combinations (e.g., "SPIEZ shoes", "SPIEZ work boots")
- Abbreviations or confusingly similar terms
Publishers must add all SPIEZ brand terms as negative keywords to all paid search campaigns.
ENFORCEMENT
SPIEZ monitors brand bidding activity via third-party tools (e.g., BrandVerity, Adthena). Any violation may result in: immediate reversal of all commissions earned during the violation period; immediate programme termination; and liquidated damages of the greater of (a) USD $5,000 or (b) three times the commissions earned during the violation period.
SHOPPING ADS
Publishers who place shopping ads on search engines linking directly to SPIEZ product pages must ensure ads comply with the brand bidding prohibition above and only feature officially approved product images and descriptions.
DOMAIN & HANDLE ABUSE
Publishers must not register, use, or redirect traffic from any domain, subdomain, or social handle that incorporates, imitates, or is confusingly similar to "SPIEZ" or any SPIEZ trademark — including typosquats and variant spellings. Any such domain must be transferred to SPIEZ at no cost upon request.

TAB 3 · TRANSACTIONS

QUALIFYING ORDERS
Commission is payable on completed purchases of SPIEZ products by an end customer clicking through a valid affiliate link, subject to the attribution and reversal rules below.
COMMISSION BASIS
Commission is calculated as a percentage of Net Sales, defined as gross merchandise value less: returns, refunds, chargebacks, cancelled orders, fraudulent orders, discounts, shipping fees, and applicable taxes.
NON-COMMISSIONABLE ORDERS
No commission is payable on:
- Orders attributable to brand keyword bidding or use of unauthorized promotional codes
- Orders placed by the publisher or any affiliated person for their own benefit
- Orders paid using SPIEZ employee discounts, gift cards, or non-public promotional credits
- Orders that are returned, refunded, cancelled, or charged back within the Reversal Window
- Orders where attribution is disputed or determined to result from technical manipulation
ATTRIBUTION MODEL
Commissions are awarded on a last paid click basis. Branded paid search clicks and direct-navigation traffic are not attributable to the affiliate channel.
COOKIE / ATTRIBUTION WINDOW
30 days from the end customer's last qualifying click on an affiliate link, or until the publisher's cookie is overwritten by a subsequent marketing touchpoint, whichever occurs first. SPIEZ may adjust the attribution window with 15 days' notice via the AWIN platform.
REVERSAL WINDOW
Commissions are subject to reversal for 60 days from the order date. Any order returned, refunded, cancelled, or charged back during this period will result in full commission clawback. SPIEZ may extend this window if a return has been initiated but not completed.
COOKIE INTEGRITY
Publishers must not engage in cookie stuffing, forced clicks, iframe manipulation, pop-under traffic, incentivized clicks without genuine purchase intent, toolbar/browser extension injection of affiliate links, or any other method of generating artificial clicks or cookie drops. Such conduct is grounds for immediate termination and forfeiture of all unpaid commissions.
PAYMENT TERMS
SPIEZ funds the network with approved commissions after the close of each calendar month, following expiry of the Reversal Window. The network pays publishers subject to its own minimum payout thresholds and schedules. Currency conversion and payment processor fees are borne by the publisher unless otherwise agreed.
DISPUTES
Transaction reports are deemed accepted unless a written dispute is submitted within 30 days of the reporting period close. SPIEZ reserves the right to audit attribution and traffic quality at any time and to reverse commissions for non-compliant or fraudulent traffic.

TAB 4 · BRANDING

BRAND NAME USAGE
Always write the brand name as SPIEZ in full uppercase. Do not abbreviate, misspell, alter, or use confusingly similar variants of the brand name in any content or advertising.
LOGO & CREATIVE ASSETS
Publishers are granted a limited, revocable, non-exclusive, royalty-free licence to use SPIEZ logos, product images, and approved copy solely for the purpose of promoting SPIEZ products. Brand assets must not be:
- Modified, recoloured, stretched, or distorted
- Overlaid with third-party text or combined with third-party logos without prior written approval
- Used in any manner suggesting the publisher is SPIEZ or an official SPIEZ spokesperson
- Used in paid media creative outside publisher-owned channels without written pre-approval
TONE OF VOICE
SPIEZ is a bold, grounded, and functional brand. The brand tagline is "BUILT FOR THE ONES WHO BUILD." Content should feel confident, practical, and professional. Avoid overtly casual, luxury-lifestyle, or humorous tones that conflict with the brand identity.
PROMOTIONS & DISCOUNT CODES
Publishers must only promote discount codes and offers officially supplied by SPIEZ through the AWIN programme. Expired, unauthorized, fabricated, or leaked codes must not be published. Stacking multiple unauthorized codes or fabricating "exclusive" deals is strictly prohibited. Without SPIEZ's prior written consent, publishers must not list SPIEZ on coupon aggregator sites or automated checkout-injection tools.
COMPETITOR PLACEMENT
Publishers must not promote SPIEZ products alongside directly competing brands in a manner designed to mislead end customers. Genuine, good-faith editorial comparisons are permitted.
ASSET REMOVAL ON TERMINATION
Upon termination of the programme or upon SPIEZ's written request, publishers must remove all brand assets and affiliate links from their media within 7 days.

TAB 5 · COMMISSION

BASE COMMISSION RATE
Publishers earn commission on each qualifying order calculated as a percentage of Net Sales. The applicable rate is set on the AWIN platform and may be updated by SPIEZ from time to time. Rates may vary by publisher category, product line, or campaign. Please refer to the Commission tab on AWIN for the current applicable rate.
PUBLISHER CATEGORIES & RATES
Approved publisher categories include: Content / Editorial, Influencer / Social, Email / Newsletter, Cashback / Loyalty, Coupon / Deal, and Sub-network / Sub-affiliate. Category-specific commission rates apply and are detailed in the AWIN platform.
COMMISSION EXCLUSIONS
Commission will not be paid on orders that involve: brand bidding violations; self-referral purchases; unauthorized discount codes; returns, refunds, or chargebacks within the 60-day Reversal Window; or traffic determined to be fraudulent or technically manipulated.
TAX & WITHHOLDING
All commissions are stated exclusive of applicable VAT, GST, or sales tax. Publishers are solely responsible for income taxes on commissions earned. Publishers must provide a completed W-9 (US persons) or W-8BEN / W-8BEN-E (non-US persons) within 30 days of onboarding. Failure to do so may result in SPIEZ withholding tax at the applicable statutory rate (e.g., 30% under US law) until valid documentation is received.

TAB 6 · NOTICE PERIODS

PROGRAMME TERMINATION — CONVENIENCE
Either party may terminate the programme for any reason upon 7 days' written notice via the AWIN platform or by email to the contact of record.
PROGRAMME TERMINATION — IMMEDIATE (FOR CAUSE)
SPIEZ may terminate immediately and without notice for material breaches, including but not limited to: brand keyword bidding violations; fraudulent traffic or cookie manipulation; breach of content standards; failure to make required advertising disclosures; violation of data protection laws; or publisher insolvency.
COMMISSION RATE & TERM CHANGES
SPIEZ may update commission rates and programme terms by posting changes on the AWIN platform. Changes take effect 15 days after posting. Material adverse changes will be highlighted to publishers in advance.
ATTRIBUTION WINDOW CHANGES
SPIEZ may adjust the 30-day attribution (cookie) window with 15 days' notice via the AWIN platform.

TAB 7 · PUBLISHERS

APPROVED PUBLISHER TYPES
SPIEZ welcomes the following publisher categories:
- Content / Editorial — Workwear, safety gear, footwear, occupational health, lifestyle, and EDC blogs and media
- Influencer / Social — Creators with engaged audiences in trades, healthcare, hospitality, logistics, or fashion-adjacent niches
- Email / Newsletter — Professional newsletters targeting working adults in relevant industries
- Cashback / Loyalty — Approved cashback and loyalty platforms
- Coupon / Deal — Approved deal and voucher sites operating within strict promotional code discipline
- Sub-network / Sub-affiliate — With prior SPIEZ written approval only
PROHIBITED PUBLISHER TYPES
The following publisher types are not accepted into the SPIEZ programme:
- Sites hosting illegal, sexually explicit, pornographic, or hate-related content
- Sites targeting children under 13 (or 16 in the EU/UK)
- Click-fraud, toolbar-injection, or cookie-stuffing operations
- Typosquatting or domain-abuse operations using SPIEZ brand terms
- Publishers engaging in incentivized traffic without genuine purchase intent
- Publishers located in or targeting audiences in sanctioned countries under US, EU, or Swiss law
- Publishers who self-refer purchases for personal commission gain
PUBLISHER OBLIGATIONS
- Comply with all applicable advertising, consumer protection, and data protection laws
- Maintain a compliant privacy notice and cookie consent mechanism covering affiliate tracking
- Not transfer end-customer personal data to SPIEZ beyond what is technically necessary for conversion tracking through the AWIN network
- Indemnify SPIEZ against regulatory fines or enforcement actions arising from the publisher's breach of disclosure obligations or unsubstantiated product claims

TAB 8 · DE-DUPLICATION

ATTRIBUTION MODEL
SPIEZ operates on a last paid click attribution model. Where multiple affiliate clicks occur within the attribution window, the most recent valid paid affiliate click at the time of purchase receives commission credit.
AFFILIATE VS. OTHER CHANNELS
The following channel types are not attributable to affiliate and will take precedence in de-duplication:
- Branded paid search (SEM) — Clicks via SPIEZ's own brand-term PPC campaigns are not affiliate-attributable
- Direct navigation — Orders from customers who navigate directly to SPIEZ's website are not affiliate-attributable
- SPIEZ email marketing — Conversions driven by SPIEZ's own CRM / email campaigns take precedence over affiliate
DISPUTE RESOLUTION
SPIEZ reserves the right to audit attribution and traffic quality at any time. Transaction reports are deemed accepted unless a written dispute is raised within 30 days of the reporting period close. Commission reversals for non-compliant or fraudulent traffic may be applied retroactively. In cases where attribution is disputed between the affiliate channel and another marketing channel, SPIEZ's determination is final, subject to the publisher's right to raise a formal dispute within the 30-day window.
