Program Terms

THE POWDER SHAMPOO® AFFILIATE PROGRAM - TERMS & CONDITIONS

1. PROGRAM OVERVIEW

These Terms and Conditions ("Terms") govern your participation in The Powder Shampoo® affiliate program ("Program") operated through the Awin network. By joining this Program, you ("Affiliate" or "Publisher") agree to comply with these Terms.

2. COMMISSION STRUCTURE

2.1 Commission Rate: 15% of net product value (excluding taxes, shipping fees, and other charges)

2.2 Cookie Duration: 30 days from initial click

2.3 Validation Period: Commissions are validated after the customer return period plus 7 days (maximum 67 days total)

2.4 Payment: Via Awin platform according to their standard payment schedule

2.5 Minimum Commission: Program maintains a floor of 10% commission

3. COMMISSION ELIGIBILITY

3.1 Qualifying Sales: Commission is earned on completed sales that meet all program requirements

3.2 Non-Qualifying Transactions:

  • - Cancelled orders
  • - Returned items (full or partial)
  • - Fraudulent or suspicious transactions
  • - Self-referral purchases
  • - Orders using unauthorized discount codes
  • - Duplicate orders
  • - Orders violating program terms
  • - Items out of stock at time of fulfillment

3.3 Attribution: Last-click attribution model applies. Sales will be de-duplicated against our own marketing channels including PPC (brand and generic), email advertising, display advertising, and direct partnerships.

4. PROMOTIONAL RESTRICTIONS

4.1 Prohibited PPC Activity:

  • - Bidding on brand terms: "The Powder Shampoo," "thepowdershampoo," "powder shampoo," or any variations/misspellings
  • - Using our brand name in ad titles, descriptions, or display URLs
  • - Placing shopping ads on search engines
  • - Bidding on brand + modifier terms (e.g., "The Powder Shampoo reviews")

4.2 Approved PPC Activity:

  • - Generic terms unrelated to our brand name
  • - Affiliates must add our brand terms to negative keyword lists
  • - Must comply with all search engine advertising policies

4.3 Prohibited Promotional Types:

  • - Cashback sites
  • - Coupon/deal sites (unless pre-approved)
  • - Loyalty programs (unless pre-approved)
  • - Behavioral retargeting
  • - Media brokers
  • - Spam or unsolicited email marketing

4.4 Approved Promotional Methods:

  • - Content marketing (blogs, reviews, articles)
  • - Email marketing to opted-in subscribers
  • - Social media and influencer marketing
  • - Community forums and groups
  • - Approved PPC campaigns following guidelines above

5. BRANDING & CONTENT GUIDELINES

5.1 Brand Name Usage:

  • - Always use "The Powder Shampoo®" with proper capitalization
  • - Never abbreviate or alter spelling
  • - Do not imply official partnership or endorsement without written permission

5.2 Visual Content Requirements:

  • - Use ONLY official product images from our media library OR your own original photos/videos
  • - PROHIBITED: AI-generated images, competitor brand visuals, generic stock photos
  • - Do not alter official product photos or brand colors
  • - Maintain adequate white space around logos

5.3 Messaging Guidelines:

  • - Approved: vegan, cruelty-free, sustainable, plastic-free, zero-waste, eco-conscious
  • - Educational tone preferred; avoid aggressive sales tactics
  • - No medical or therapeutic claims
  • - No unsubstantiated environmental claims beyond our certifications
  • - No direct comparison to competitor brands by name
  • - No before/after photos without prior approval

5.4 Content Restrictions:

  • - Must not promote alongside non-vegan or animal-tested products
  • Must not associate our brand with unsustainable brands or fast fashion
  • Must not appear on adult content websites
  • Marketing must target adults 18+ (products suitable for all ages)
  • Must not target children under 13

6. DISCOUNT CODES & PROMOTIONS

6.1 Custom discount codes may be provided upon approval 
6.2 Affiliates may not create or distribute unauthorized discount codes 
6.3 Affiliates may not misrepresent discount amounts or terms 
6.4 Promotional offers must be used only during specified campaign periods

7. TRADEMARK & INTELLECTUAL PROPERTY

7.1 All trademarks, logos, and content remain the exclusive property of The Powder Shampoo® 
7.2 License to use our intellectual property is non-exclusive and terminable 
7.3 Affiliates may not register domains containing our brand name 
7.4 Affiliates may not create social media accounts impersonating our brand

8. COMPLIANCE & LEGAL

8.1 Affiliates must comply with:

  • - All applicable laws and regulations
  • - FTC disclosure requirements and similar international regulations
  • - GDPR, CCPA, and other privacy regulations
  • - CAN-SPAM Act and anti-spam laws
  • - Platform-specific terms of service (Google, Facebook, Instagram, etc.)

8.2 Affiliates must clearly disclose affiliate relationships per FTC guidelines

8.3 Affiliates are independent contractors, not employees or representatives

9. PROGRAM MODIFICATIONS

9.1 Commission Changes:

  • - Maximum reduction: 5% per change
  • - Minimum notice: 30 days
  • - Minimum interval between reductions: 90 days
  • - Minimum commission floor: 10%

9.2 Terms Updates:

  • Changes to Terms will be communicated with 28 days notice where possible
  • Continued participation constitutes acceptance of updated Terms

9.3 Website Maintenance:

  • Planned maintenance will be communicated with 7 days notice where possible

10. TERMINATION

10.1 Immediate Termination Rights: We reserve the right to immediately terminate affiliate accounts for:

  • - Fraudulent activity
  • - Violation of program terms
  • - Spam or unethical marketing practices
  • - Brand misrepresentation
  • - Violation of PPC restrictions
  • - Generation of invalid clicks or sales
  • - Promotion on inappropriate websites

10.2 Standard Termination:

  • - Either party may terminate with 30 days written notice
  • - Pending commissions for valid sales will be honored per standard validation schedule
  • - All promotional materials and brand assets must be removed upon termination

10.3 Post-Termination:

  • - License to use trademarks and content immediately revokes
  • - Confidentiality obligations continue indefinitely

11. LIABILITY & INDEMNIFICATION

11.1 Affiliates agree to indemnify and hold harmless The Powder Shampoo®, its officers, employees, and agents from any claims arising from affiliate's promotional activities

11.2 We are not liable for:

  • - Technical failures affecting tracking
  • - Lost commissions due to cookie deletion or blocking
  • - Changes in commission structure per Section 9
  • - Termination of affiliate account per Section 10

11.3 Total liability limited to unpaid commissions on validated sales

12. CONFIDENTIALITY

12.1 Affiliates must maintain confidentiality of:

  • - Commission rates and payment terms
  • - Non-public promotional materials
  • - Strategic business information
  • - Customer data (if any access provided)

12.2 Confidentiality obligations survive termination

13. DATA & PRIVACY

13.1 Affiliates must comply with all applicable privacy laws 
13.2 Customer data must not be collected, stored, or shared without proper consent 
13.3 Tracking technologies must comply with cookie consent requirements

14. PROHIBITED ACTIVITIES - SUMMARY

Affiliates must NOT:

  • - Bid on our brand terms in paid search
  • - Use AI-generated or stock images
  • - Make false or misleading claims
  • - Engage in cookie stuffing or fraud
  • - Create unauthorized discount codes
  • - Self-refer or refer family members
  • - Impersonate our brand
  • - Use spam tactics
  • - Promote on adult content sites
  • - Associate with non-vegan brands in content

15.4 Response Time: We aim to respond within 2-3 business days

16. MISCELLANEOUS

16.1 Governing Law: These Terms are governed by the laws of Singapore 
16.2 Severability: If any provision is unenforceable, remaining provisions continue in effect 
16.3 Entire Agreement: These Terms constitute the entire agreement regarding Program participation 
16.4 Waiver: Failure to enforce any provision does not waive our right to enforce it later 
16.5 Assignment: Affiliates may not assign rights or obligations without written consent

17. ACKNOWLEDGMENT

By participating in this Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
