Affiliate Programme – Terms and Conditions

Background
We are Inclusive Finance Limited t/a ‘Creditspring’. We are authorised and regulated by the Financial Conduct Authority (Firm Reference Number: 786052), company number: 10522518, and registered office address: 86-90 Paul Street, London, England, EC2A 4NE.
These Terms. By joining the Creditspring Affiliate Programme, you accept the Terms set out below, which become effective from the date you accept the Programme offer (the Programme Commencement Date) via the Affiliate Network.
Publisher Goal. You, the Publisher, will market and promote the Creditspring Products by publishing the Content on your Website strictly and only in accordance with these Terms. For the avoidance of doubt, your role is strictly limited to the dissemination of approved financial promotions on a non-advised, non-intermediated basis.
Promotion Guidelines. In the Appendix to these Terms are a set of Promotion Guidelines which are mandatory and must be followed by the Publisher when promoting the Products. These Promotion Guidelines form part of the legally binding Terms between us.
Terms
1. Definitions
In these Terms, unless the context otherwise requires:
“Affiliate Network” or “Network” means AWIN Ltd.
“Affiliate Network Agreement” means the affiliate marketing advertiser contract between Creditspring and the Network from time to time.
“Campaign” means Creditspring's Product promotion and marketing activities, as communicated by Creditspring to the Publisher via the Network Interface or otherwise in writing (including via email) from time to time.
“Content” means all promotional, editorial, advertising or marketing content created by Creditspring (or created by Publisher and approved by Creditspring), which is published by the Publisher on the Publisher’s Website in connection with the Campaign.
“Customer” means an individual consumer residing in the UK who may view Content, and may or does apply for, and may be approved for, a Creditspring Product.
“Eligible Customer Actions” means the actions the Customer is required to take in order for the Marketing Fee to become payable, as such actions are defined in the Campaign and determined by the Affiliate Network Agreement.
“Marketing Fee” means the fees payable to the Publisher for sharing the Campaign with its Customers who subsequently complete and/or fulfill Eligible Customer Actions, as such fees are specified in the Campaign and on the Network Interface, and determined by the Affiliate Network Agreement.
“Network Interface” means the website or application hosted and provided by the Network which allows Creditspring and the Publisher to communicate in relation to the Campaign.
“Product” or “Creditspring Product” means a product, service or equivalent offered by Creditspring from time to time.
“Publisher” means any third‑party publisher, website operator, content creator or other marketing partner introduced to Creditspring via the Network who Creditspring approves to promote Creditspring’s Products under these Terms.
“Publisher(‘s) Website” means the Publisher’s website(s), application or service operated by a Publisher to market advertisers or their products, and on which it publishes the Content related to the Campaign for Creditspring.
“Regulatory Requirements” means all applicable laws and rules including but not limited to the Financial Services and Markets Act 2000 (FSMA), Consumer Credit Act 1974 (CCA), Financial Conduct Authority (FCA) Handbook (including CONC, PRIN and GEN), UK GDPR, Data Protection Act 2018 (DPA), and the Advertising Standards Authority (ASA) CAP Codes.
2. Publisher Appointment, Obligations & Restrictions
2.1 Creditspring appoints the Publisher, via the Network, as a non‑exclusive marketing affiliate, solely to promote Creditspring's Products using the approved Content in accordance with these Terms.
2.2 All Content must be approved by Creditspring before being shared and Content is only permitted to be shared by the Publisher where the location and/or method of sharing has been approved by Creditspring.
2.3 In accepting this appointment, you, the Publisher, agree to comply with all Regulatory Requirements applicable to your activities and obligations hereunder, including without limitation all rules that are relevant to a promoter of financial products, and identifying a legal basis for contacting potential Customers and promoting the Content.
2.4 Creditspring is authorised and regulated by the FCA and is permitted to carry on certain regulated activities in the UK. The Publisher is not permitted to undertake any regulated activities or provide financial advice to any Customer on Creditspring’s behalf.
2.5 The Publisher agrees to promote Creditspring’s Products to Customers for the purposes of Creditspring providing certain of its products and services to those Customers. To facilitate this, Creditspring shall provide the Publisher with Content to share with Customers, subject always to these Terms.
2.6 You warrant, represent and undertake that your appointment as a Publisher in the Campaign is limited to the provision of Content to your Customers.
2.7 Nothing in these Terms authorises you, and you agree not to:
(a) introduce, refer or direct any individual Customer to us (Customers shall only be directed to our website using the click-out link embedded in the website banner we provide to you);
(b) collect and/or transmit to us any data relating to Customers;
(c) engage directly with Customers about their personal financial circumstances, credit needs or eligibility;
(d) answer questions or provide explanations about the Products, terms or suitability;
(e) provide any form of advice, recommendation or opinion about the Products;
(f) assist Customers in completing or submitting applications for the Products;
(g) undertake any steps intended to bring about, arrange or conclude any agreement for a Product;
(h) offer incentives, rewards, or inducements contingent on a Customer applying for or entering into any agreement for a Product;
(i) undertake any other activity which would constitute credit broking or other regulated activity in relation to any Products.
2.8 You undertake to not do anything which will or is likely to damage the reputation and/or goodwill of Creditspring.
2.9 Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship. The Publisher acts solely as an independent contractor.
3. Fees & Payment
3.1 The Marketing Fee is payable only in accordance with the Affiliate Network Agreement, for click-outs to Creditspring’s website by Customers of the Publisher who have completed and/or fulfilled the Eligible Customer Actions.
3.2 Creditspring reserves the right to:
reject any Customer application for any reason; and/or
withhold the Marketing Fee where fraudulent, misleading, non-compliant, or incentivised traffic has been generated.
3.3 Payment will be made through the Network in accordance with the Network’s billing processes and as determined by the Affiliate Network Agreement.
3.4 Creditspring may amend the Marketing Fee by giving notice to the Publisher via the Network Interface or by direct email to the Publisher. Continued promotion of the Campaign by the Publisher constitutes acceptance of the amended Marketing Fee.
4. Confidentiality
4.1 The Publisher must keep all non‑public information it receives from, or accesses about Creditspring confidential and may not disclose it except: (i) if required by Regulatory Requirements; or (ii) to its employees, officers, representatives or advisers who need to know such information for the purposes of exercising its rights or carrying out its obligations under or in connection with these Terms (the actions or omissions of which the Publisher shall remain liable).
4.2 Confidential information includes all information concerning the business, affairs, technology, products, services, customers, clients or suppliers of Creditspring and its affiliates.
5. Intellectual Property
5.1 All Creditspring trade marks, logos, trade and company names, Content and other brand assets and intellectual property rights remain the exclusive and proprietary property of Creditspring and its licensors, as applicable.
5.2 The Publisher receives a revocable, limited, non‑exclusive, non‑transferable, non-sublicensable, royalty-free licence to use such assets solely for the Campaign.
5.3 All Content (including any proposed incentives for Customers, such as cashback, and all intended location(s) of placement of such Content) must be submitted to Creditspring for prior written approval before publication by the Publisher.
5.4 Creditspring may in its sole discretion instruct (directly via email or via the Network or the Network Interface) the Publisher to amend, move or remove any or all of the Content on and/or from the Publisher’s Website at any time. The Publisher must comply with such request promptly and in any event, within 7 business days of the date of the request (unless Creditspring specifies that such request must be fulfilled sooner, acting reasonably).
5.5 In addition to the foregoing, the Publisher must not at any time:
engage in paid search bidding on restricted keywords, brand names or misspellings without written approval;
use spam, unsolicited emails, or ad‑fraud practices;
generate artificial traffic to Creditspring’s website, such that Customer numbers are higher than they should be;
misrepresent Creditspring, its products or lending criteria;
use comparison claims or hypothetical loan outcomes not approved by Creditspring.
6. Warranties
6.1 The Publisher warrants and represents that:
it has full power to enter into these Terms; and
its contributions to the Content (to the extent the Publisher has created any or all of the Content) are original, lawful, and non‑infringing.
6.2 We and you warrant that all actions taken under these Terms and the Content are compliant with our own respective obligations in relation to the Regulatory Requirements.
7. Liability
7.1 The Publisher is fully responsible for operating the Publisher Website, its marketing practices, its authorisations, consents and licences (whether with the FCA or otherwise), participating in the Campaign and compliance with Regulatory Requirements.
7.2 Creditspring is not liable for any indirect or consequential losses, costs or expenses suffered or incurred by the Publisher.
7.3 Nothing in these Terms limits liability for personal injury, death, fraud or fraudulent misrepresentation.
7.4 We are responsible for all approved Content and materials Publisher promotes on Publisher Website (to the extent such Content and materials are published as approved by Creditspring – any amendments made without approval shall fall outside the scope of this clause).
8. Indemnity
The Publisher indemnifies and holds harmless Creditspring and its officers, employees, and agents from all losses, fines, claims, penalties, damages, and expenses arising from:
non-compliant, misleading, or unlawful Content (or unauthorised changes to Content that have not been approved by Creditspring, or are in breach of these Terms), or mis-use of Content;
breach of Regulatory Requirements;
use of unapproved promotional materials;
placement of approved or unapproved materials in a location on the Publisher’s Website (or elsewhere) that has not been approved by Creditspring.
9. Termination
9.1 Creditspring may terminate any or all Campaign(s) under the Creditspring Affiliate Programme at any time on written notice to the Publisher via the Network, or the Network Interface, or directly via email to the Publisher.
9.2 The Publisher may opt out of the Creditspring Affiliate Programme and the agreement under these Terms on at least 14 business days prior written notice to Creditspring directly via email, or the Network or the Network Interface.
9.3 Upon any termination of a Campaign(s) or a Publisher’s participation in the Creditspring Affiliate Programme, the Publisher must:
immediately remove all Content (relating to that Campaign or completely, depending on the circumstances of termination), from all locations on the Publisher Website (and elsewhere as agreed with Creditspring);
promptly cease all use of Creditspring intellectual property rights (including the Content, Creditspring’s name, logo and other intellectual property, as applicable);
promptly return or delete/destroy (at Creditspring’s sole option) all copies of all confidential information (including any personal data) supplied by, or received/accessed about Creditspring;
promptly cease all marketing activities (including promotion of the Content for the Campaign(s), as applicable) relating to Creditspring.
10. Changes to these Terms
10.1 Creditspring may update or amend these Terms from time to time by publishing a new version on the Network Interface. Creditspring will notify the Publisher at least 7 days in advance of updates via the Network Interface or directly via email (at Creditspring’s discretion).
10.2 The Publisher's continued participation in the Creditspring Affiliate Programme after the date of any such update to the Terms constitutes the Publisher’s acceptance to be bound by the updated terms.
10.3 If the Publisher does not agree with any proposed update to these Terms, the Publisher must notify Creditspring in writing immediately, and unless otherwise agreed with Creditspring, remove any Content from the Publisher’s Website promptly following such notice.
11. Governing Law & Jurisdiction
11.1 These Terms and any non‑contractual obligations arising out of or in connection with them shall be governed by the laws of England and Wales.
11.2 The English courts shall have exclusive jurisdiction.
Appendix 1: Promotional Guidelines
These guidelines are for information purposes only. All promotions and Content and the proposed hosting location must be approved by Creditspring prior to being published on the Publisher’s Website.
A. Financial Promotions Requirements
Creditspring will ensure all promotions:
where required, include a representative APR and exampleto be shown clearly and prominently as part of the approved Content.
do not guarantee acceptance or imply eligibility.
do not emphasise speed or ease of credit in a misleading way.
include all mandatory regulatory disclosures.
use only approved banners, copy, and imagery.
B. Example Representative APR Statement
Creditspring’s representative example is typically set out as follows :
“Representative Example: Total amount of credit £600. Membership Fee (Total cost of credit:) £120, payable in 12 monthly payments of £10. Interest rate 0% p.a (Fixed) Representative 83.1% APR.”
C. Prohibited Claims
The Publisher is solely authorised to share approved Content with its Customers. The Publisher must not provide any additional information or advice about our Products.
D. Use of Logos and Brand Assets
Only approved assets provided by Creditspring may be used. No alteration, resizing distortion, or colour changes may be made to assets used. If any amendments are required, the Publisher must seek prior written approval from Creditspring.
E. Search & Social Advertising Rules
Unless expressly approved in writing, the Publisher must not:
bid on brand keywords.
use Creditspring’s branding or intellectual property in social handles or display names.
direct link from PPC ads to loan application pages.
