USIMS Affiliate Program Terms
CURRENCY
Financial transactions covered by these Terms will be processed in USD. Currency conversions may occur if you or your partners use a different default currency in your account settings.
CHANGE NOTIFICATION PERIOD
These Terms may be changed or cancelled with 0 days’ notice to the media partner.
STAND DOWN POLICY
USIMS enforces a stand down policy to ensure partners have a fair opportunity to maintain their status as the conversion “winner.” The full policy is available in Awin’s Stand-Down Policy documentation.
REVERSAL POLICY
Reversal of performance advertising actions is determined by USIMS and governed by a maximum reversal percentage of 100%.
MEDIA PARTNER TRACKING PIXEL
USIMS does not allow media partners to fire additional tracking pixels when a consumer action is completed.
USIMS Affiliate Program Terms & Conditions
By joining the USIMS Affiliate Program, you confirm that you have:
- read and accepted these Terms
- read and accepted the USIMS website Terms & Conditions
- read and accepted the USIMS Privacy Policy
1. STANDARD TERMS
1.1. Affiliates will earn commission only if the End User completes a qualifying purchase within 30 days of clicking the affiliate link (cookie duration).
1.2. The default commission rate for new customer sales is 30% per qualifying purchase, unless otherwise agreed. USIMS reserves the right to change or remove commission rates at any time.
1.3. USIMS reserves the right to require sub-network affiliates to remove any public communication regarding offers or promotions that has not been approved.
2. ENGAGEMENT OF END USERS
2.1. The Affiliate agrees to refer End Users to USIMS for the purpose of purchasing eSIM services.
2.2. USIMS may appoint additional Affiliates at any time.
2.3. The Affiliate must not:
- 2.3.1. Represent themselves as USIMS or imply a false association beyond this affiliate relationship.
- 2.3.2. Alter or misrepresent the terms under which USIMS provides its services.
- 2.3.3. Engage in any activity that harms the reputation, credibility, or brand image of USIMS.
3. OBLIGATIONS OF THE AFFILIATE
By joining the program, the Affiliate agrees to:
3.1.
- 3.1.1. Cooperate with USIMS to properly implement tracking links and promotional assets.
- 3.1.2. Display links, banners, or promotional codes clearly and accurately.
- 3.1.3. Disclose affiliate relationships in compliance with global advertising guidelines (FTC or local equivalents).
- 3.1.4. Conduct business professionally and in alignment with these Terms.
- 3.1.5. Act in good faith toward USIMS.
- 3.1.6. Forward any customer complaints or service inquiries to USIMS immediately and not attempt to resolve them independently.
- 3.1.7. Notify USIMS in the event of a Change of Control.
- 3.1.8. Comply with all applicable laws, privacy regulations, and platform rules.
- 3.1.9. Comply with directives issued by regulatory bodies.
- 3.1.10. Provide USIMS with necessary information if requested.
- 3.1.11. Take responsibility for its employees, contractors, and representatives.
3.2. Prohibited Activities
Affiliates must not:
- 3.2.1. Use USIMS trademarks without explicit approval.
- 3.2.2. Use cookie stuffing or forced click techniques.
- 3.2.3. Offer unauthorized warranties or guarantees.
- 3.2.4. Delay required approvals or actions.
- 3.2.5. Bind or imply authority on behalf of USIMS.
- 3.2.6. Modify USIMS intellectual property.
- 3.2.7. Engage in deceptive or misleading promotions.
- 3.2.8. Bid on USIMS trademark terms on any search engine or paid search platform.
- 3.2.9. Use USIMS trademarks in ad copy or display URLs.
- 3.2.10. Create social media pages that impersonate USIMS.
- 3.2.11. Promote unapproved or fake coupons.
- 3.2.12. Use domains containing USIMS trademarks.
- 3.2.13. Attempt to illegally generate or manipulate commission.
- 3.2.14. Engage in any activity deemed inappropriate by USIMS.
Failure to comply may result in immediate removal from the program and reversal of commissions.
4. AFFILIATE FEES
4.1. USIMS may withhold commission and terminate the partnership immediately if:
- 4.1.1. Sales originate from prohibited sources
- 4.1.2. Fraudulent activity is detected
- 4.1.3. The affiliate fails to cease promotions when requested
4.2. USIMS is not required to pay commission for:
- 4.2.1. Sales not attributed as last-click
- 4.2.2. Sales tied to other USIMS programs
- 4.2.3. Sales not tracked properly
- 4.2.4. Suspected fraud
- 4.2.5. Affiliates with high cancellation or refund rates
4.3. Commissions are locked for payout after the standard Awin validation window.
4.4. USIMS may suspend payment if fraud is suspected.
4.5. Affiliates are responsible for handling their own tax obligations.
4.6. Attempted manipulation or fraudulent activity results in immediate termination and forfeiture of earnings.
4.7. USIMS reserves the right to verify affiliate information at any time.
5. CONFIDENTIALITY
5.1. Each party must keep all Confidential Information private and use it only for purposes related to these Terms.
5.2. Confidentiality obligations do not apply to publicly available information or data independently obtained.
5.3. Disclosure is permitted only when required by law or regulatory authorities.
6. TERMINATION
6.1. USIMS may terminate the affiliate partnership at any time, for any reason, with written notice.
6.2. Affiliates may terminate participation at any time via Awin.
6.3. No commissions will be paid for sales generated after termination.
6.4. USIMS may terminate immediately for:
- 6.4.1. Breach of a material term
- 6.4.2. Fake or misleading promotions
- 6.4.3. Repeated noncompliance
- 6.4.4. Change of Control
6.5. Upon termination, the Affiliate must cease all promotional activity and delete USIMS materials.
7. LIABILITIES AND INDEMNITIES
7.1. The Affiliate is responsible for all liabilities arising from its own actions.
7.2. The Affiliate must indemnify USIMS for any claims, losses, or damages caused by its conduct.
7.3. USIMS is not liable for indirect, incidental, or consequential damages.
7.4. Affiliates must ensure they are properly authorized entities able to enter this agreement.
8. RELATIONSHIP BETWEEN THE PARTIES
8.1. The Affiliate is an independent contractor. No employment, agency, or joint venture relationship is created.
8.2. Affiliates may not act on behalf of USIMS.
8.3. USIMS reserves the right to modify these Terms at any time.
