TERRA QUIRK AFFILIATE PROGRAMME TERMS AND CONDITIONS

1. PROGRAMME OVERVIEW

1.1 These Terms and Conditions ("Terms") govern your participation in the Terra Quirk Affiliate Programme ("Programme") operated by Terra Quirk ("Company," "we," "us," "our").

1.2 By applying to join the Programme, you ("Affiliate," "you," "your") agree to be bound by these Terms, our Branding Guidelines, and all applicable laws and regulations.

1.3 The Programme allows approved Affiliates to earn commissions by promoting Terra Quirk products through approved marketing channels.

2. ELIGIBILITY AND APPLICATION

2.1 Minimum Requirements:

  • Must be 18+ years of age or age of majority in your jurisdiction
  • Must maintain an active website, blog, or social media presence
  • Must demonstrate alignment with Terra Quirk's brand values of natural beauty, authenticity, and sustainability
  • Must comply with all applicable advertising and consumer protection laws

2.2 Prohibited Affiliates:

  • Websites promoting illegal activities, adult content, violence, or discrimination
  • Sites that misrepresent Terra Quirk products or make unauthorized medical claims
  • Competitors or businesses selling similar skincare products
  • Publishers engaging in spam, fraud, or deceptive practices

2.3 Application Process:

  • Applications are reviewed weekly on a rolling basis
  • Terra Quirk reserves the right to accept or reject any application at our sole discretion
  • Approval does not guarantee continued participation in the Programme

3. COMMISSION STRUCTURE AND PAYMENTS

3.1 Commission Rate:

  • Standard commission: 15% of sale value (excluding shipping and returns)
  • Commission calculated on completed transactions only
  • No commission paid on cancelled, returned, or fraudulent orders

3.2 Payment Terms:

  • Payments processed monthly by the 15th for previous month's qualified sales
  • Payments made via bank transfer or other approved methods
  • Affiliates responsible for any applicable taxes on commissions earned

3.3 Cookie Duration:

  • 30-day tracking cookie window from initial click
  • Last-click attribution model applies for commission allocation

4. AFFILIATE OBLIGATIONS

4.1 Content Standards:

  • All content must align with Terra Quirk's "Natural. Bold. Unapologetically you!" brand philosophy
  • Content must be authentic, honest, and reflect genuine product experience
  • No false, misleading, or exaggerated claims about product benefits

4.2 Prohibited Marketing Practices:

  • Bidding on Terra Quirk brand terms or trademarks in paid search
  • Using Terra Quirk trademarks in domain names or social media handles
  • Email spam or unsolicited communications
  • Creating fake reviews or testimonials
  • Price comparison that positions Terra Quirk as discount/budget option

4.3 Brand Compliance:

  • Must use approved marketing materials and branding guidelines
  • Tag @terraquirk and use #TerraQuirk hashtag in social media posts
  • Direct traffic to www.terraquirk.com using provided tracking links
  • Obtain written approval for any content deviating from brand guidelines

5. INTELLECTUAL PROPERTY

5.1 Terra Quirk IP:

  • Terra Quirk retains all rights to trademarks, logos, product images, and content
  • Limited license granted solely for Programme participation
  • No rights granted beyond scope of these Terms

5.2 Content Usage Rights:

  • Terra Quirk may reuse, republish, and distribute Affiliate-created content for promotional purposes
  • Terra Quirk will provide attribution when reposting Affiliate content
  • Affiliates retain ownership of original creative elements

5.3 Third-Party Rights:

  • Affiliates must obtain proper permissions for any third-party content used
  • Affiliates indemnify Terra Quirk against IP infringement claims

6. PROGRAMME MODIFICATIONS AND TERMINATION

6.1 Programme Changes:

  • Terra Quirk may modify commission rates, terms, or Programme structure with 30 days' notice
  • Continued participation constitutes acceptance of modified terms

6.2 Termination Rights:

  • Either party may terminate participation with 30 days' written notice
  • Terra Quirk may terminate immediately for breach of Terms
  • Upon termination, Affiliate must remove all Terra Quirk content and cease promotional activities

6.3 Effect of Termination:

  • Earned commissions for completed sales remain payable
  • All content usage rights terminate immediately
  • Confidentiality obligations survive termination

7. COMPLIANCE AND LEGAL REQUIREMENTS

7.1 Regulatory Compliance:

  • Affiliates must comply with FTC guidelines, GDPR, and applicable advertising laws
  • Proper disclosure required for all promotional content
  • No medical or therapeutic claims permitted

7.2 Data Protection:

  • Affiliates must handle customer data in compliance with applicable privacy laws
  • No sharing of customer information outside Programme scope
  • Affiliates responsible for their own privacy policy compliance

8. CONFIDENTIALITY

8.1 Confidential Information:

  • Commission rates, sales data, business strategies, and non-public product information
  • Information marked as confidential or reasonably considered confidential

8.2 Obligations:

  • Maintain confidentiality during and after Programme participation
  • Use confidential information solely for Programme purposes
  • No disclosure to third parties without written consent

9. INDEMNIFICATION AND LIABILITY

9.1 Affiliate Indemnification:

  • Affiliates indemnify Terra Quirk against claims arising from:
    • Breach of these Terms
    • Violation of applicable laws
    • IP infringement
    • False or misleading content

9.2 Limitation of Liability:

  • Terra Quirk's liability limited to unpaid commissions owed
  • No liability for indirect, incidental, or consequential damages
  • Affiliates participate at their own risk

10. GENERAL PROVISIONS

10.1 Independent Contractors:

  • Affiliates are independent contractors, not employees or partners
  • No authority to bind Terra Quirk or make commitments on our behalf

10.2 Governing Law:

  • These Terms governed by laws of [Jurisdiction]
  • Disputes resolved through binding arbitration or competent courts

10.3 Entire Agreement:

  • These Terms constitute complete agreement between parties
  • Supersedes all prior agreements or understandings
  • Modifications must be in writing and signed by Terra Quirk

10.4 Severability:

  • Invalid provisions do not affect validity of remaining Terms
  • Invalid provisions modified to achieve intended effect
