THIS IS A LEGAL AGREEMENT BETWEEN YOU AND VOTARY LTD. (DBA Votary.co.uk)
BY SUBMITTING THE ONLINE APPLICATION, YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION.
## 1\. Overview
This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in Votary.co.uk's Affiliate Program. This Agreement aims to allow HTML linking between your website and the Votary.co.uk website. Please note that throughout this Agreement, "we," "us," and "our" refer to Votary.co.uk, and "you," "your," and "yours" refer to the affiliate.
## 2\. Affiliate Obligations
2.1. To begin the enrollment process, you will complete and submit the online application at the awin.com server. The fact that we auto-approve applications does not restrict us from re-evaluating your application later. We may, at our sole discretion, reject your application. We may cancel your application if we determine that your site is unsuitable for our Program, including but not limited to if it:
2.1.1. Promotes sexually explicit materials
2.1.2. Promotes violence
2.1.3. Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
2.1.4. Promotes illegal activities
2.1.5. Infringes or assists others to infringe any copyright, trademark or other intellectual property rights
2.1.6. Includes "Votary" or variations or misspellings thereof in its domain name
2.1.7. Is otherwise unlawful, harmful, defamatory, obscene, or objectionable in our sole discretion
2.1.8. Contains software downloads that divert commission from other affiliates
2.2. As a member of the Votary.co.uk Affiliate Program, you will have access to the Affiliate Account Manager. You must use the HTML code we provide for banners, text links, or other affiliate links.
2.3. We reserve the right to monitor your site and require changes to comply with our guidelines.
2.4. You are responsible for maintaining and updating your site.
2.5. You must comply with intellectual property laws regarding materials on your site.
## 3\. Votary.co.uk Rights and Obligations
3.1. We reserve the right to monitor your site for compliance.
3.2. We reserve the right to terminate your participation immediately if you engage in fraud or abuse.
3.3. This Agreement begins upon acceptance of your application and continues until terminated.
## 4\. Termination
Either party may terminate this Agreement at any time, with or without cause, by giving written notice (mail, email, or fax).
## 5\. Modification
We may modify this Agreement at any time at our sole discretion. Continued participation constitutes acceptance of changes.
## 6\. Payment
Votary.co.uk uses awin.com to manage affiliate tracking and payments. By joining, you agree to Awin's payment terms.
## 7\. Access to Affiliate Account Interface
You will use Awin's secure interface to access reports and commission information.
## 8\. Promotion Restrictions
8.1. Certain types of promotion, including spamming, are prohibited.
8.2. Bidding on keywords like "Votary.co.uk," "Votary," and variations thereof is prohibited.
8.3. You must ensure all leads are genuine.
8.4. You may not use "Parasiteware™" or similar practices.
## 9\. Grant of Licenses
9.1. You are granted a non-exclusive, non-transferable, revocable license to use Votary.co.uk logos and materials solely to promote Votary.co.uk.
9.2. You must not misuse our proprietary materials.
## 10\. Disclaimer
Votary.co.uk makes no warranties regarding the service or website and is not liable for interruptions or errors.
## 11\. Representations and Warranties
You warrant that you have full legal authority to enter into this Agreement and that you own or have rights to the materials you use.
## 12\. Limitations of Liability
Votary.co.uk’s liability is limited to the total commissions paid to you under this Agreement.
## 13\. Indemnification
You agree to indemnify and hold harmless Votary.co.uk and its affiliates against any claims arising from your participation.
## 14\. Confidentiality
You must keep confidential information shared during the term of this Agreement secure and confidential.
## 15\. Miscellaneous
15.1. You are an independent contractor, not an employee or partner of Votary.co.uk.
15.2. Neither party may assign this Agreement without consent.
15.3. This Agreement is governed by the laws of England and Wales.
15.4. No amendment or waiver is valid unless in writing.
15.5. This is the entire agreement between the parties.
15.6. Headings are for reference only.
15.7. If any part of this Agreement is found unenforceable, the remainder will remain in effect.
