AFFILIATE AGREEMENT

This is a legal agreement between you and Votary Ltd. (DBA Votary.co.uk). By submitting the online application, you agree that you have read and understand the terms and conditions of this Agreement and that you agree to be legally responsible for each and every term and condition.
1. Overview
This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in Votary.co.uk's Affiliate Program. It allows HTML linking between your website and the Votary.co.uk website.
Throughout this Agreement:
"We," "us," and "our" refer to Votary.co.uk.
"You," "your," and "yours" refer to the affiliate.
2. Affiliate Obligations
2.1 Enrollment
To begin the enrollment process, you must complete and submit the online application via Awin.com. Although applications may be auto-approved, Votary.co.uk reserves the right to re-evaluate and reject any application at its sole discretion. Applications may be canceled if your site:
Promotes sexually explicit materials.
Promotes violence.
Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
Promotes illegal activities.
Infringes on any copyright, trademark, or intellectual property rights.
Includes "Votary" or variations/misspellings in its domain name.
Is otherwise unlawful, harmful, defamatory, obscene, or objectionable.
Contains software downloads that divert commission from other affiliates.
2.2 Affiliate Account Access
As a member, you will have access to the Affiliate Account Manager. You must use the provided HTML code for banners, text links, and other affiliate links.
2.3 Site Monitoring
Votary.co.uk reserves the right to monitor your site and require changes to comply with program guidelines.
2.4 Site Maintenance
You are responsible for maintaining and updating your site.
2.5 Intellectual Property Compliance
You must comply with intellectual property laws regarding any materials on your site.
3. Votary.co.uk Rights and Obligations
3.1 Monitoring
We reserve the right to monitor your site for compliance with this Agreement.
3.2 Termination for Fraud or Abuse
We may terminate your participation immediately if you engage in fraud or abuse.
3.3 Agreement Duration
This Agreement begins upon acceptance of your application and continues until terminated.
4. Termination
Either party may terminate this Agreement at any time, with or without cause, by providing written notice via mail, email, or fax.
5. Modification
We may modify this Agreement at any time at our sole discretion. Continued participation constitutes acceptance of the changes.
6. Payment
Votary.co.uk uses Awin.com to manage affiliate tracking and payments. By joining, you agree to Awin's payment terms.
7. Access to Affiliate Account Interface
You will use Awin's secure interface to access reports and commission information.
8. Promotion Restrictions
8.1 General Restrictions
Certain types of promotion, including spamming, are prohibited.
8.2 Pay-Per-Click (PPC)
Bidding on keywords such as "Votary.co.uk," "Votary," or similar variations is prohibited.
8.3 Lead Validity
All leads must be genuine and based on accurate information.
8.4 Prohibited Practices
Affiliates may not use Parasiteware™ or similar deceptive practices.
9. Grant of Licenses
9.1 License
You are granted a non-exclusive, non-transferable, revocable license to use Votary.co.uk logos and materials solely to promote Votary.co.uk.
9.2 Proper Use
You must not misuse our proprietary materials in any way.
10. Disclaimer
Votary.co.uk makes no warranties regarding the service, website, or products and is not liable for interruptions or errors.
11. Representations and Warranties
You warrant that:
You have full legal authority to enter into this Agreement.
You own or have rights to any materials used in promotion.
12. Limitations of Liability
Votary.co.uk’s liability is limited to the total commissions paid to you under this Agreement.
13. Indemnification
You agree to indemnify and hold harmless Votary.co.uk and its affiliates against any claims arising from your participation in the program.
14. Confidentiality
You must keep all confidential information shared during this Agreement secure and confidential.
15. Miscellaneous
Independent Contractor – You are not an employee or partner of Votary.co.uk.
Assignment – Neither party may assign this Agreement without consent.
Governing Law – This Agreement is governed by the laws of England and Wales.
Amendments/Waivers – No amendment or waiver is valid unless in writing.
Entire Agreement – This is the complete agreement between the parties.
Headings – Headings are for reference only.
Severability – If any part of this Agreement is found unenforceable, the remainder remains in effect.
