**1\. Introduction** Welcome to the Humax EV Charging Affiliate Program on the Awin platform. By joining our program, you agree to abide by the following Terms & Conditions. These terms govern the relationship between Humax EV Charging (the "Merchant") and you (the "Affiliate"). Please read them carefully.
**2\. Eligibility & Enrollment** 2.1. To participate, you must be registered as an affiliate on the Awin platform and comply with Awin's terms of service. 2.2. We reserve the right to approve or reject any affiliate application at our sole discretion. 2.3. Affiliates must provide accurate and complete information during registration and ensure ongoing compliance.
**3\. Affiliate Obligations** 3.1. Affiliates shall promote Humax EV Charging products and services in a lawful, ethical, and responsible manner. 3.2. Affiliates may not engage in deceptive marketing, misleading advertising, or spam tactics. 3.3. Affiliates must not bid on our brand name or related trademarks in search engines unless explicitly permitted. 3.4. Affiliates must not engage in cookie stuffing, ad hijacking, or any fraudulent activities. 3.5. Affiliates must comply with all applicable laws and regulations, including data protection and privacy laws.
**4\. Commission & Payment** 4.1. Affiliates earn commissions on qualifying sales as tracked by the Awin platform. 4.2. The commission structure, rates, and applicable conditions are detailed on our Awin program page. 4.3. Commissions will be validated and paid through Awin in accordance with their payment terms. 4.4. We reserve the right to withhold or cancel commissions for fraudulent, disputed, or refunded transactions.
**5\. Promotional Restrictions** 5.1. Affiliates may not create, distribute, or promote false claims regarding Humax EV Charging products or services. 5.2. Affiliates may not impersonate our brand, create misleading domain names, or engage in unethical SEO practices. 5.3. Affiliates must not use paid ads that directly compete with our own advertising efforts without approval.
**6\. Intellectual Property** 6.1. Affiliates may use our logos, banners, and promotional materials provided via Awin. 6.2. Any unauthorized modification, distribution, or use of our intellectual property is prohibited. 6.3. Affiliates must cease using our branding upon termination of this agreement.
**7\. Termination & Suspension** 7.1. Either party may terminate this agreement at any time with or without cause. 7.2. We reserve the right to suspend or terminate affiliates engaging in unethical practices or violating these terms. 7.3. Upon termination, outstanding commissions may be forfeited if they result from prohibited activities.
**8\. Liability & Indemnification** 8.1. We are not liable for any indirect, incidental, or consequential damages arising from your participation in the program. 8.2. Affiliates agree to indemnify and hold us harmless against any claims, damages, or liabilities resulting from their promotional activities.
**9\. Modifications & Updates** 9.1. We reserve the right to update or modify these terms at any time. 9.2. Affiliates will be notified of any material changes and continued participation constitutes acceptance of the new terms.
**10\. Governing Law** 10.1. These Terms & Conditions are governed by the laws of the UK. 10.2. Any disputes shall be resolved in the courts of UK.
