Affiliate Program AgreementThis Agreement governs your participation in the Affiliate Program provided by Nextpair. By signing up for the Program, you agree to comply with the terms outlined in this Agreement, as well as the ShareASale Terms of Use.1. Program Participation1.1 Eligibility: Affiliates must meet the minimum eligibility requirements set by Nextpair. Affiliates who do not meet these requirements may have their participation terminated.1.2 Application Process: To join the Program, potential affiliates must submit an application. Acceptance is at the sole discretion of Nextpair.2. Affiliate Responsibilities2.1 Marketing and Promotion: Affiliates agree to promote Nextpair and its products in a manner that is legal, ethical, and in compliance with applicable laws.2.2 Compliance with Laws: Affiliates must comply with all relevant advertising and marketing laws, including but not limited to, the CAN-SPAM Act, FTC regulations, and any other local laws or rules.2.3 Advertising Restrictions:No misleading advertising: Affiliates cannot make false or misleading claims about Nextpair's products.No email spamming: Affiliates must not engage in email marketing practices that violate laws, including sending unsolicited emails.No unauthorized use of Nextpair's trademarks: Affiliates cannot use Nextpair's trademarks or other intellectual property without prior written consent.No illegal traffic: Affiliates must refrain from using any unethical methods to drive traffic to Nextpair (e.g., click fraud, incentivized clicks).3. Prohibited ActivitiesThe following activities are strictly prohibited within the Affiliate Program:Cookie stuffing: Affiliates may not employ methods such as cookie stuffing to artificially inflate clicks or sales.Misleading or unauthorized marketing: Affiliates cannot misrepresent themselves or mislead potential customers about the nature of the products or services offered.Ad Fraud: Affiliates must not engage in ad fraud practices, including but not limited to false clicks, false impressions, or the generation of fake leads.Impersonation: Affiliates cannot impersonate any individual or entity, including Nextpair's employees, affiliates, or customers.4. Commission and Payment4.1 Commission Structure: Affiliates will earn a commission on sales made through their referral links, based on the commission structure provided by Nextpair.4.2 Payment Terms: Payments will be made in accordance with the terms outlined in the Program details. Payments may be delayed or withheld in the event of fraud or non-compliance.5. Termination5.1 Termination by Nextpair: Nextpair reserves the right to terminate an affiliate’s participation in the Program at any time, without notice, for any reason, including but not limited to violations of this Agreement.5.2 Termination by Affiliate: Affiliates may terminate their participation at any time by notifying Nextpair.6. Limitation of Liability6.1 No Warranty: Nextpair makes no warranty regarding the availability, quality, or performance of the Program.6.2 Limitation of Liability: Nextpair will not be liable for any damages arising out of or related to the Program, including indirect or consequential damages.7. IndemnificationAffiliates agree to indemnify and hold harmless Nextpair, its officers, directors, and employees from any and all claims, losses, or damages arising from their participation in the Program, including but not limited to violations of this Agreement or applicable laws.8. Miscellaneous8.1 Governing Law: This Agreement will be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.8.2 Severability: If any provision of this Agreement is found to be invalid, the remaining provisions will continue in full force and effect.8.3 Modification: Nextpair reserves the right to modify the terms of this Agreement at any time. Notice of such modifications will be provided to affiliates.AcknowledgmentBy participating in the Program, you acknowledge that you have read, understood, and agreed to the terms of this Agreement and the ShareASale Terms of Use.
