AFFILIATE TERMS OF SERVICE
1. Agreement to Terms:
Welcome to the Kindred Tales Affiliate Program! These Affiliate Program Terms and Conditions (the "Agreement") establish a legally binding agreement between you, whether personally or on behalf of an entity ("Affiliate," "you," or "your") and Kindred Tales LLC ("Company," "we," "us," or "our"), governing your participation in our affiliate program (the "Program"). By becoming an affiliate of Kindred Tales, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions outlined in this Agreement.
The purpose of this Agreement is to define the terms under which you, as an affiliate partner, may access and use our affiliate program and associated resources. This includes your rights, responsibilities, and obligations as an affiliate. Please carefully review and familiarize yourself with these terms before joining the Program.
Supplemental terms and conditions or documents that may be provided to you as part of the affiliate campaign invitation are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Affiliate Program Terms and Conditions. Any updates or changes will be communicated to you, and your continued participation in the Program after such changes constitutes your acceptance of the modified terms.
Please note that the information provided in the affiliate campaign materials is intended for affiliates who are eligible to participate based on the criteria outlined in the campaign invitation. If you do not meet these criteria or have any questions about your eligibility, please reach out to our dedicated Affiliate Care Team at heyaffiliates@kindredtales.net for clarification.
The Affiliate Program is intended for affiliates members who are at least 18 years old. Persons under the age of 18 are not permitted to participate in the Program.
2. Intellectual Property Rights for Affiliate Campaigns and Marketing Materials:
All affiliate campaigns, marketing materials, and content provided to you as part of the Program, including but not limited to text, images, graphics, logos, trademarks, and promotional assets (collectively, the "Affiliate Materials"), are the proprietary property of [Your Company Name] ("Company," "we," "us," or "our") or our licensors and are protected by copyright, trademark, and other intellectual property laws. The Affiliate Materials are made available to you solely for the purpose of promoting [Your Company Name] and its products/services as outlined in the specific affiliate campaign invitation.
By participating in the Program, you acknowledge and agree that:
You may use the Affiliate Materials provided to you only for the purpose of promoting Kindred Tales as an affiliate within the scope of the specific affiliate campaign you have joined.
You shall not modify, alter, reproduce, distribute, publicly display, create derivative works from, or otherwise exploit the Affiliate Materials without our express prior written consent.
Any unauthorized use of the Affiliate Materials may result in the termination of your participation in the Program and may also infringe upon our intellectual property rights.
While you are a participant in the Program, you are granted a limited, non-exclusive, non-transferable license to use the Affiliate Materials solely in accordance with the terms of this Agreement. This license terminates upon the termination of your participation in the Program or upon our written request.
We reserve all rights not expressly granted to you in and to the Affiliate Materials, the Program, and our intellectual property.
3. User Representations:
By registering as an affiliate, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Site through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).
4. User Registration:
You may be required to register with the Site. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
We reserve the right to require users to update their initially registered passwords as necessary to ensure the security of our site, its policies, and end-user data.
5. Commission:
Commission rates for referred sales or actions will be as outlined in the specific affiliate campaign invitation you received. Commissions are calculated based on the agreed-upon commission structure for each successful referral.
6. Cookie Window:
The cookie window duration for tracking referrals and attributing them to you will be as indicated in the individual affiliate campaign terms you were invited to join.
7. Commission Period: The commission period defines the timeframe during which referred customers must complete their purchase or desired action for you to be eligible for a commission. This period is specified in the affiliate campaign details provided to you or 30 days, whichever is greater to ensure no outstanding returns impact an affiliate payout.
8. Days Before Commission is Due: Commissions earned within a specified period will be due for payment to the Affiliate within [X] days from the end of that period. The exact number of days will be outlined in the specific affiliate campaign you were invited to participate in or 30 days, whichever is greater.
9. Minimum Payout Threshold: To receive commission payments, the earned commission must meet or exceed the minimum payout threshold specified in the affiliate campaign or $10, whichever is greater. Payments will not be processed if the accumulated commission does not reach this threshold.
10. Last Touch Attribution: Attribution rules for determining the affiliate entitled to a commission for a referral will follow the last touch attribution model as described in the individual affiliate campaign details. The last affiliate link clicked by the customer before making a purchase will be credited for the referral.
11. Promotion Guidelines: Affiliates must adhere to the promotional guidelines outlined in the specific affiliate campaign invitation. Any prohibited marketing methods, content restrictions, or trademark usage guidelines must be followed to maintain eligibility for commissions.
12. Termination and Disputes: We reserve the right to terminate your participation in the Program if you violate these terms, engage in fraudulent activity, or breach any applicable laws or regulations. Disputes arising from your participation in the Program will be resolved according to the dispute resolution process outlined in our general terms of service.
13. Changes to Terms: We may update or modify these terms, including commission rates, cookie window, and other program details. Changes will be communicated to you via the email address you provided or through your affiliate dashboard.
By participating in the Company's Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these terms and any additional terms provided in the specific affiliate campaign invitation.

14. Notice of Closure: Please note – this program operates with a 7 day closure notice period
