1. Overview
This Agreement contains the complete terms and conditions that apply to your participation in the Tea Drops Affiliate Program through AWIN. The purpose of this Agreement is to allow HTML linking between your website and the MyTeaDrop.com website.
Throughout this Agreement, “we,” “us,” and “our” refer to Tea Drops, and “you,” “your,” and “yours” refer to the affiliate.
2. Affiliate Obligations
2.1. To begin enrollment, you must complete and submit the online application through AWIN. We may accept or reject applications at our sole discretion. Grounds for rejection include, but are not limited to, sites that:
Promote sexually explicit materials
Promote violence
Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
Promote illegal activities
Infringe on intellectual property rights
Include “Tea Drops” or similar variations in the domain name
Are unlawful, harmful, threatening, defamatory, obscene, harassing, or otherwise objectionable
Contain software downloads that could divert commissions from other affiliates
2.2. You may not design your site in a way that implies you are Tea Drops or affiliated businesses.
2.3. As a member of the Affiliate Program, you will have access to the AWIN Affiliate Interface, where you may view program details, download creatives, and access tracking codes. You must use the HTML code provided for all links to ensure accurate tracking.
2.4. We reserve the right to review your site and placement of links. You must update your site regularly, and you are responsible for compliance with all intellectual property and applicable laws.
3. Tea Drops Rights and Obligations
3.1. We may monitor your site at any time to ensure compliance with this Agreement.
3.2. We reserve the right to terminate this Agreement immediately if you commit fraud or abuse the program. Fraudulent activity may result in commission forfeiture.
3.3. This Agreement begins upon acceptance of your application and continues until terminated.
4. Termination
Either party may terminate this Agreement at any time, with or without cause, by written notice (email is sufficient). The Agreement will terminate immediately if you breach any terms.
5. Modification
We may modify this Agreement at any time. You will be notified of changes via email. Continued participation constitutes acceptance of the new terms.
6. Payment
Tracking and payment are handled through AWIN. Please review AWIN’s payment terms and conditions.
7. Access to Affiliate Account
You will create login credentials for AWIN’s secure affiliate account interface, where you can access reports and commission details.
8. Promotion Restrictions
8.1 General Restrictions
Spamming (unsolicited commercial email, forum spamming, etc.) is prohibited.
Misrepresentation of your identity, domain, or contact information is prohibited.
You may not represent yourself as Tea Drops.
8.2 Paid Search (PPC) Policy
Affiliates may not bid on Tea Drops brand terms, brand + coupon terms, or close variations/misspellings. Prohibited keywords include (but are not limited to):
“Tea Drops”
“TeaDrops”
“MyTeaDrop”
“MyTeaDrop.com”
Misspellings or typos of the above terms
Rules:
No bidding on our brand name (alone or combined with coupon/promo/deal/discount terms).
No use of our brand name in ad copy, display URLs, or extensions.
Non-branded keywords (e.g., “organic tea gift set,” “loose leaf tea,” “herbal tea sampler”) are allowed.
Affiliates must add Tea Drops brand terms and misspellings as negative keywords in all PPC campaigns.
Enforcement:
Violations will result in immediate commission reversal and may lead to permanent removal from the Tea Drops Affiliate Program.
8.3 Other Restrictions
No “Parasiteware™,” adware, toolbars, or pop-ups that overwrite cookies.
No traffic hijacking or misleading redirects.
No unauthorized use of Tea Drops creatives.
9. Grant of Licenses
We grant you a non-exclusive, non-transferable, revocable license to use our banners, logos, and creatives as provided in the AWIN platform for the purpose of promoting Tea Drops. All rights remain with Tea Drops.
10. Disclaimer
Tea Drops makes no warranties regarding the program or website availability. We are not liable for interruptions, errors, or indirect damages, including lost revenue or goodwill.
11. Representations and Warranties
You represent and warrant that you have the authority to enter into this Agreement, that your participation does not infringe third-party rights, and that your site and conduct comply with all applicable laws.
12. Limitations of Liability
Our total liability to you shall not exceed the total commissions paid under this Agreement.
13. Indemnification
You agree to indemnify and hold harmless Tea Drops and its officers, employees, and affiliates from claims or damages arising from your participation in the program.
14. Confidentiality
Any confidential information shared under this Agreement shall remain the property of the disclosing party and must not be disclosed without written consent.
15. Miscellaneous
You are an independent contractor, not an employee or agent of Tea Drops.
This Agreement is governed by the laws of the State of California.
This Agreement represents the entire understanding between the parties.
