Needone affiliate program service agreement

1. Overview and acceptance of terms
Purpose: To protect the interests of Needone, its publishers, and affiliates, and to maintain operational order for the Needone affiliate program.
Free service: The affiliate services provided via https://www.needonelife.com/ (the “Service”) are free to join and use.
Consent: By entering the Affiliate Center or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.
Modifications: We may update these terms at any time by posting a revised Agreement on https://www.needonelife.com/. . The changes take effect upon posting, and we will make commercially reasonable efforts to notify you. Your continued use constitutes acceptance; if unacceptable, your sole remedy is to terminate participation.
Termination: Acceptance into the program is at our sole discretion. We may terminate this Agreement and/or your participation at any time, for any reason.
2. Definitions
Advertiser: Needone, the advertiser participating in the affiliate network and publishing promotional information.
Affiliate: Any company or individual that participates to earn compensation for qualifying transactions.
Relationship of parties: Needone and affiliates are independent entities. This Agreement does not create a partnership, joint venture, agency, franchise, sales representative, or employment relationship. You have no authority to make or accept offers or representations on our behalf and must not state or imply otherwise.
3. Program description and enrollment
Commission basis: We pay commissions on validated sales attributable to you, excluding freight, taxes, insurance, service charges, and other non-product costs. Commission rates vary by affiliate type; see program terms or contact us for details.
Tracking: Sales attribution is determined via Needone’s tracking system and qualifying links, which identify transactions originating from your properties.
Eligibility: Websites, blogs, or other platforms may apply. Acceptance is at our sole discretion.
Ineligible properties: We do not accept properties that:
Illegal or harmful: Promote illegal activities; violence; hate; discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
Adult or restricted: Promote sexually explicit content; tobacco; gambling/lottery.
Deceptive or abusive: Promote pyramid/“ponzi” schemes; contain defamatory, fraudulent, or harassing material (as determined in our sole judgment).
4. Prohibited activities
Unauthorized brand use: Using Needone trademarks or licensed materials in any advertisement not created or provided by Needone, or in any way that suggests Needone created, sponsored, or endorsed such materials without prior written approval.
Misleading communications: Sending emails or other electronic communications (including headers, subjects, return addresses, or content) that suggest or imply Needone sent, sponsored, or induced the message.
Trademark misuse: Using Needone trademarks, variations, or misspellings in meta tags, hidden text, source code, domain names, or subdomains.
Site interference: Attempting to modify, alter, or interfere with Needone’s website or tracking in any way.
Fraudulent activity: Creating false trading, causing transaction abnormalities, or otherwise generating non-genuine activity.
Paid search restrictions: Bidding on trademark keywords or domains, including but not limited to “Needone,” “Needonelife,” “Needonelife.com,” or variations/misspellings.
Traffic hijacking/technical abuse: Employing software, downloads, redirects, or any technology intended to intercept or redirect traffic or referral fees to or from any website contrary to program rules or law.
5. Participant responsibilities and indemnity
Fraud prevention: Use effective measures to detect and prevent unusual or fraudulent activity. Needone may determine and declare such activity invalid, and no referral fees will be paid on it.
Content standards: Ensure your content is not libelous or otherwise illegal. Remove Needone licensed materials and trademarks immediately if any objectionable content appears on your site or a third-party site you manage.
Notification duties: Promptly notify Needone and/or the affiliate network of objectionable content occurrences, malfunctioning qualifying links, or other participation issues.
Compliance: Maintain accurate implementation of qualifying links and adhere to all program policies and applicable laws.
Indemnification: You will indemnify and hold Needone harmless from claims, damages, and expenses (including attorneys’ fees) related to the development, operation, maintenance, and contents of your site(s) and your program participation.
6. Enforcement and legal terms
Consequences of violations: Violations may result in (a) immediate termination, (b) withholding of referral fees, and (c) legal action for recovery of actual, statutory, or punitive damages. Needone reserves all rights of legal prosecution.
Governing law and jurisdiction: This Agreement will be construed in accordance with the laws of Needone’s place of registration, without regard to conflict-of-law rules. Venue and jurisdiction shall be as provided by such governing law.
Effective date: This Agreement is effective upon publication and applies throughout your participation in the program.
