1. Introduction
This Affiliate Agreement ("Agreement") is entered into by and between Pure Collagen, hereinafter referred to as "Company," and the affiliate, hereinafter referred to as "Affiliate," who agrees to promote Pure Collagen products in exchange for a commission on referred sales. By joining the Pure Collagen Affiliate Program through ShareASale, Affiliate agrees to the terms outlined in this Agreement.
2. Affiliate Enrollment
To become an Affiliate, you must register for the Pure Collagen Affiliate Program through ShareASale. The Company reserves the right to accept or reject any Affiliate application at its sole discretion.
3. Affiliate Responsibilities
The Affiliate agrees to promote and market Pure Collagen products using approved promotional materials provided by the Company.
Affiliate shall not engage in misleading or unethical marketing practices, including but not limited to false advertising, spamming, or any other illegal activities.
Affiliate is responsible for ensuring that their promotional content complies with all applicable laws, including but not limited to FTC disclosure requirements for affiliate marketing.
Pure Collagen products must not be promoted in any context that could harm the Company's reputation, including sites containing explicit content, hate speech, or illegal activities.
4. Commission Structure
Affiliates will earn a 20% - 25% commission on each sale of Pure Collagen products referred via the Affiliate’s unique tracking link provided by ShareASale.
Commissions are only payable on completed sales that are not refunded, canceled, or disputed.
All sales must be tracked through ShareASale using the unique Affiliate link provided. The Company is not responsible for untracked or incorrectly tracked sales.
Commission payouts will be processed according to the ShareASale payment schedule.
5. Payment Terms
Commissions will be paid through the ShareASale platform in accordance with their payment terms and conditions.
The Company reserves the right to adjust or withhold commission payments in the case of fraudulent, misleading, or illegal activity.
6. Affiliate Restrictions
Affiliates may not bid on Pure Collagen brand-related keywords in any pay-per-click advertising platforms (e.g., Google Ads).
Affiliates must not impersonate Pure Collagen or claim to be the official representative of the Company in any capacity.
Affiliates must not use promotional methods that involve illegal activity or create confusion about their affiliation with Pure Collagen.
7. Term and Termination
This Agreement will commence upon the Company’s acceptance of the Affiliate into the program and will continue until terminated by either party.
The Company reserves the right to terminate this Agreement or suspend an Affiliate’s participation in the program at any time, with or without cause.
Upon termination, the Affiliate must immediately remove all promotional materials related to Pure Collagen from their platforms.
8. Intellectual Property
Affiliates may use Pure Collagen’s logos, banners, and other marketing materials for the sole purpose of promoting the Company’s products, provided they comply with the guidelines provided by the Company.
All intellectual property rights to the marketing materials, product names, and other proprietary content remain the property of Pure Collagen.
9. Confidentiality
Affiliates may not disclose any confidential or proprietary information related to Pure Collagen, its products, or this affiliate program without prior written consent from the Company.
10. Limitation of Liability
The Company is not liable for any direct, indirect, incidental, or consequential damages resulting from the Affiliate’s participation in the program. The Affiliate agrees to indemnify and hold the Company harmless from any claims, damages, or expenses arising from their participation in the program.
11. Modification of Terms
The Company reserves the right to modify any terms of this Agreement at any time. Affiliates will be notified of any significant changes via ShareASale or email, and continued participation in the program constitutes acceptance of the new terms.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Pure Collagen operates.
By joining the Pure Collagen Affiliate Program, you agree to the terms and conditions set forth in this Agreement.
