Program AgreementDefinitions PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY. BY ACCESSING OR USING THIS AFFILIATE PROGRAM, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS DESCRIBED HEREIN AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THE SHARE A SALE AFFILIATE PROGRAM.These terms and conditions of use ("Program Agreement") apply exclusively to your access to, and use of, the Share a Sale affiliate program (collectively, "Affiliate Program") by Dovetail Workwear and its parent and affiliated companies, including Portland Product Werks LLC ("PPW" or "We"). These Affiliate Terms do not alter in any way the terms or conditions of any other agreement you may have with PPW for products, services or otherwise. If you are using the Affiliate program on behalf of any entity, you represent and warrant that you are authorized to accept these Site Terms on such entity's behalf, and that such entity agrees to indemnify you and PPW for violations of these Affiliate Program Terms.PPW reserves the right to change or modify any of the terms and conditions contained in the Site Terms or any policy or guideline of the Affiliate Program, at any time and in its sole discretion. PPW will notify you when the Affiliate Program Terms have been changed by email or by posting the revised Affiliate Program Terms on Share A Sale and posting a notice about such changes on Share A Sale. Any changes or modification will be effective immediately upon posting of the revisions on Share A Sale and shall apply to all use of the Affiliate Program and all acts or omissions occurring after the effective date of the revised Affiliate Program Terms. You waive any right you may have to receive specific notice of such changes or modifications. Your continued use of the Affiliate Program Terms following the posting of changes or modifications will confirm your acceptance of such changes or modifications. Therefore, you should frequently review theAffiliate Program Terms and applicable policies to understand the terms and conditions that apply to your use of the Affiliate Program. If you do not agree to the amended terms, your Affiliate Program access will terminate and any further use will be unauthorized, so you must stop using the Affiliate Program.Nature of the partnership Independent Contractor. Professional shall be acting as an independent contractor to PPW and nothing in this Agreement shall be deemed to create a relationship of employer-employee, principal-agent, partner, or a joint venture between Professional or its employees and agents and PPW. Professional's personnel shall be employees, agents, or subcontractors of Professional, not of PPW. Upon request, Professional shall provide PPW with satisfactory proof of independent contractor status (including, without limitation, applicable business licenses). Neither party has any authority to bind the other to any contract or agreement without the other's written permission. Non-exclusivity clause Professional shall be free to devote all of Professional's time and skill not devoted to the Services called for by this Agreement in any manner and to any enterprises not prohibited by this Agreement that Professional deems advisable.Email ContactWe reserve the right to send e-mail to you for the purposes of informing you of applicable changes or additions to the Service or related products and services. Changes to the ServiceWe reserve the right to change, modify, add or remove portions of this Agreement at any time and may add to, change, suspend or discontinue any aspect of the Service at any time. In the event of any material change, we’ll notify you via e-mail, newsletter or at least 30 days prior to any such changes taking effect, at which time you may either agree to such changes or withdraw from the Service. CookiesDovetail Workwear operates a 30 day-cookie policyPrivacy PolicyDovetail Workwear will respect the privacy of its users and will not disclose personal information to third parties without the express permission of you and Your Company. If you have any questions please contact partners@Dovetail Workwear.com Program Application and AcceptanceTo apply to the program, the applicant must be an approved Share a Sale affiliate and utilize SkimLinks tracking. In most cases, affiliates will be notified if they have been accepted or rejected within 3 business days.The affiliate agreement is finalized when the affiliate agrees to the Program Agreement, submits their application, and is accepted by PPW.Program Enrollment After receiving your application, we will review your Website and notify you of your acceptance or rejection into our Program. Please allow up to 72 hours (Mon-Fri) for your application to be approved. We reserve the right to reject any application; however we encourage you to contact us if you feel we have made an incorrect decision. Please include all websites that you use in your profile as that will help us make a better decision.How the Affiliate Program Works The following agreement is summarized as follows:Upon acceptance into the Program, links will be made available to you through the Affiliate Window interface. You agree that you will only use linking code obtained from Affiliate Window without manipulation. Also, please ensure that all domains where you use our link are listed in your affiliate network profile.You hereby agree that your Website will not in any way copy, resemble, or mirror the look and feel of our Website. You will also not use any means to create the impression that your Website is our Website or any part of our Website including, without limitation, framing of our Website in any manner. Cookie stuffing, pop-ups, and false or misleading links are strictly prohibited. In addition, wherever possible, you will not attempt to mask the referring url information (i.e. the page from where the click is originating). Using redirects to bounce a click off of a domain where the click did not originate in order to give the appearance that it came from that domain is expressly prohibited and is a direct violation of the program. This does not include using "out" redirects from the same domain where the affiliate link is placed.You place our site links and banners anywhere on your site as you see fit, or within non-spam emails.Adult, Hate, or other related sites are not allowedIf you are creating product links, please be sure to take these from the product feed. Links taken from other sources may result in commissions being declined as they are identified as coming from a different channel. You CANNOT take content directly from Dovetail Workwear which is not present on the product feed or on the Offer section. Any page containing our links, banners, or codes must be written in English.You may place banners or links within your newsletters, in content of your website, on social media, or within other web related content.NOT ALLOWED: Any placement of creative in a "Desktop" advertising scheme. This includes any and all 3rd party advertising platforms that use a desktop application to display ads in any form.NOT ALLOWED: Any display of a merchant window that isn't the result of a direct click by the end-user. Failure to abide by these rules could mean the suspension of your collaboration with a complete forfeit of commissionsActivitiesPay Per Click search activityAffiliates ARE NOT PERMITTED to carry out any PPC search activity sending traffic to Dovetail Workwear.com directly. If an affiliate is found running PPC activity, this may result in them being removed from the program. Any affiliate found running PPC Activity will see their participation terminated immediately and any related commissions voided.Affiliates also must not send traffic through automatic redirects on a website page.Affiliates generating traffic to their own sites must also abide by the following rules.a. Using the Dovetail Workwear brand term in the sub folder of the display URL (eg www.affiliate.com/Dovetail Workwear) – NOT ALLOWEDb. Using the Dovetail Workwear brand term in the sub domain of the display URL (eg www.Dovetail Workwear.affiliate.com) – NOT ALLOWEDc. Using the Dovetail Workwear brand in the ad title – NOT ALLOWEDd. Bid on the brand term “Dovetail Workwear” – NOT ALLOWEDe. Advertise as the brand- NOT ALLOWEDf. Show adverts on competitors’ brands – NOT ALLOWEDPublishers are not allowed to do any form of advertising as the Dovetail Workwear brand. Discount code / voucher code websitesPublishers must not display made-up / invented discount codes on their site(s) or display discount codes that were intended for use in other channels or for other online publishers. If you are found doing this, your participation in the Dovetail Workwear program will be terminated immediately and commissions voided.Under no circumstances are publishers allowed to surreptitiously use i-frames to set cookies onto a user’s computer.Discount code and deals publishers are accepted in the program as long as they do not promote discount codes for Dovetail Workwear.CreativeAffiliates may not alter any of the creative made available through the Affiliate interface.Affiliates are also requested not to hardcode banners into their sites, so updates made to those available through Affiliate ShareaSale.com may take immediate effect. If your site requires that banners are hardcoded, please contact the account management team to obtain permission before putting this in place. This will allow us to contact you whenever updates are necessary.Commission and payment An affiliate becomes eligible for commission when their application is approved and the affiliate’s link is posted in public where it can be clicked and viewed. The commission rate is 10% of the sale total. In order for an affiliate to earn a commission, a user must click on the affiliate’s link and make a purchase on DovetailWorkwear.com within 30 days.The affiliate commission will be pre-approved after the order has been placed and confirmed by Dovetail Workwear and their supplier. We're able to track all transactions generated from your site, and operate a 30-day payment window. Brand promotion terms The word mark dovetail/dovetail workwear presented in any manner as well as the official dovetail logo are intellectual property of Portland Product Werks.User must state ‘Dovetail Workwear’ in full when name is used. Do not refer to the brand as just Dovetail. Affiliates must review brand guidelines, provided in Dovetail Workwear’s profile, prior to publishing content.13: Legal stipulations Fraud is a serious offense, and will be treated as such. Fraud includes but is not limited to any action that intentionally attempts to create sales, leads, or click-throughs using robots, frames, iframes, scripts, or manually "refreshing" of pages, for the sole purpose of creating commissions. ANY ATTEMPTED FRAUD OR FRAUD WILL RESULT IN MEMBERSHIP TERMINATION AND VOIDED COMMISSIONS.
