TERMS & CONDITIONS OF PARTICIPATING IN EBLOFFICIAL'S AFFILIATE PROGRAM
Before you get started with our Affiliate Program, carefully go through the following terms and conditions. As an EBLOfficial Affiliate, we require strict compliance with these rules. Further, affiliates will be responsible for ensuring adherence to these terms by their employees, agents or contractors who may be directly or indirectly involved in the affiliate program.
1.Prohibited Sites/Verbiage
1)Sites that promote sexually explicit material or violence.
2)Sites that promote discrimination based on race, sex, religion, national origin, or physical disability.
3)Sites that promote illegal activities.
4)Sites or verbiage making medical claims in regards to our products/services (ie. the curing or recession of an ailment)
2.Spam
Affiliate agrees to not utilize SPAM in promoting The Company. This action will result in the immediate termination of Affiliate account with a cancellation of any pending commissions. Affiliate will also be in violation of The Company’s Affiliate Agreement and subject to legal action and be held liable for any financial loss incurred by The Company. Any service interruptions to The Company’s website as a result of Affiliates spamming will be billed to Affiliate at 500 U.S. dollars per hour until service is restored.
For the purpose of this agreement SPAM is defined as emailing ANYONE, in bulk or by single mailing, about The Company, who has not specifically requested the information directly from Affiliate. The ONLY exceptions to this are:
1)Mailing to APPROPRIATE OPT-IN mailing lists where the source does the mailing on Affiliate's behalf. However, use extreme caution when choosing an opt-in mailing list company! Using anything but the most reputable sources could generate spam complaints against Affiliate resulting in suspension or termination.
2)You may include information on The Company in email Acknowledgement Messages for orders and inquiries that you receive so long as it is stated upfront that you will be sending them an acknowledgement. The Company also considers ANY type of advertisement about The Company posted to a Newsgroup or Chat Room to be spam.
3.Website Limitations:
You or Your participating website(s) may not:
1)Infringe on our or any other person's or entity's intellectual property, publicity, privacy or other rights. Also infringement of any third party's copyrights, trademarks, proprietary rights will be lead to termination of the affiliate contract.
2)Violate any law, rule or regulation.
3)Contain any content that is threatening, harassing, defamatory, obscene, harmful to minors, or contains nudity, pornography or sexually explicit materials.
4)Contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information.
5)Contain software or use technology that attempts to intercept, divert or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website.
6)Publish any content, image or advertise any material from EBLOfficial or related products without consulting us or sharing your marketing strategy with us.
4.Links & Electronic Data:
By joining our affiliate network program, you agree to the following:
1)You will only use Linking code that our affiliate interface will provide you without any manipulation.
2)All domains in your network must use your affiliate link and must be part of your affiliate network and listed on your affiliate profile.
3)Your website must not in any event try to mirror the look or feel of our own website or any of its sections. Any electronic data you want to use on your website for promotions or advertisements will be provided to you by us.
4)Any attempt to mask the referral URL information, cookie-stuffing, pop-ups, false or misleading links are strictly prohibited.
5)If it is found that you are using redirects to bounce a click off a URL or domain in order to make it appear that the click originated from there when it did not is strictly prohibited and will be treated as a violation of agreed terms.
6)Under no circumstance, will redirecting of links to hide original referral URL information will be allowed except when you are using “out” redirects from the domains where the affiliate link is placed. We maintain the right to nullify your past commissions, reset your commission to 0% and pursue legal action in case any of these conditions are violated.
5.PPC Policy & Guidelines:
As part of the EBL Affiliate Marketing Program, you must abide by the following PPC policy we have:
1)Bidding on any of our trademarked terms, including any variations or misspellings thereof for search or content-based networks on Google, MSN, Yahoo or any other network is strictly prohibited.
2)Keyword variations including synonyms, singular and plural forms, possible misspellings, and phrases containing our brand name EBL or EBLOfficial in any way.
3)You must not use our trademarked terms in your ad title, ad copy, display name or as the display URL.
4)Linking directly to our website from any Pay Per Click ad or using redirects that yield the same result is prohibited. Shoppers must be directed to an actual page on your website.
5)Affiliates are strictly prohibited to bid higher than the Merchant for any search term in position 1-5 in any pay per click advertising program.
6)If your PPC campaigns are automated, then we suggest that you add our trademarked terms as negative keywords. We have a strict no tolerance policy on PPC trademark bidding and you will immediately forfeit all commission for a minimum of the past 30 days and your commission will be reduced to 0% without warning. There will be no discussion about the decision to change your affiliate status in this regard.
Trademarked & Prohibited Terms (including but not limited to): EBL, EBLOfficial, www.eblofficial.com, EBL batteries, EBL rechargeable batteries, EBL sale, EBL discounts, EBL coupon, EBL AA batteries, EBL AAA batteries, EBL 18650 batteries, EBL USB rechargeable batteries, EBL Li-ion batteries, EBL cr123a batteries, EBL battery charger, EBL 18650 battery charger, EBL AA battery charger or any terms including EBL.
Please note that using the designer labels and the brands we sell in combination with trademarked terms is also prohibited.
6.Using Merchant-Related Domain Names:
We do not allow affiliates to use Merchant name or related terms in URLs or while registering domain names or utilize any of the Merchant's registered domains. These are inclusive of the trademarked terms mentioned earlier but are not limited to them. Affiliates also have to abide by the policy of not purchasing, using or getting into a contract with a third party to exploit any of the Merchant's names and domains. Using misspelled Merchant's identity is also prohibited whether in metatags or elsewhere. We also prohibit usage of our domain names, misspelled trademarked names, terminology as part of the domain or a sub-domain for your website. 7.Our Responsibilities
We will be responsible for providing all information necessary to allow you to make appropriate Links from your site to our site. We will be solely responsible for processing every order placed by a customer following a special Link from your site, for tracking the volume and amount of sales generated by your site, and for providing information to Affiliate Sites regarding sales statistics. We will be responsible for order entry, payment processing, shipping, cancellations, returns, and related customer service.
8.Your Responsibilities
You are solely responsible for ensuring that reviews, descriptions, and articles on your site comply with applicable copyright, FTC disclosure and other laws. You must have express permission to use another party’s copyrighted or other proprietary material. We are not responsible for violations.
