This agreement “hereinafter, Agreement” is entered into beginning the first date any creative is publicly used by the Affiliate by and between the "Affiliate" and Anna Capretto as the director of NOM Maternity (the "Company") with address in 2615 NW University Village Pl, Seattle WA 98105. Together, hereinafter referred to as “Parties”.
PROJECT INTENT
NOM Maternity requires that all use of NOM Maternity creative remain the sole and exclusive right of the Company. All campaigns will be focused on authentic and quality creative assets for use in marketing, social media and general sales of NOM Maternity goods and services.
PROJECT DESCRIPTION
By using NOM Maternity creative and participating in our affiliate program, the Affiliate agrees to the following:
Creative Assets:
• Any copy posted in addition to NOM Maternity creative will be copied from approved text or in accordance with copy guidelines.
• The Company reserves the right to terminate any affiliate partnership at their discretion.
• Any posts to social media will include appropriate FTC guidelines.
Publications must include:
• Keyword #nommaternity and/or #nomcollection
DURATION
The contract will have a duration lasting as long as NOM Maternity creative is being used by the Affiliate, which the collaborator will adjust to the times and deadlines defined by NOM Maternity.
INCENTIVES
The ambassador will receive:
• Please see current incentives based on creative at the time of use.
LEGAL OBLIGATIONS AND DOCUMENTATION
The ambassador will follow FTC guidelines.
• Advertising should be truthful and not misleading
• Ambassador must “clearly disclose any material connection” (make it clear that the post is a sponsored ad using #ad #paid or #sponsored, and include a disclosure statement in the post copy) when posting to social.
CONFIDETIALITY
The Affiliate will keep the most absolute confidentiality regarding the performance of the contracted services, the result thereof, as well as any information, creative and property related to NOM Maternity.
TERMINATION OF CONTRACT
Valid causes of termination of the contract will be all those that are expressly included in the regulations applicable to it, highlighting the following:
• Failure by the ambassador to provide exclusive professional services for the Company as outlined above.
• Removal of Company creative by the Affiliate.
• The Affiliate has shared personal information of the Company.
