-Affiliate will not bid on the Oclean brand name, variations of the brand name, search terms or phrases containing the brand name, any common misspellings or confusingly similar names on any pay-for-placement search engines and their content networks, including but not limited to Google, Yahoo, Bing, and Ask.
-Affiliate will not bid on Oclean brand terms combined with any other terms, including, but not limited to, “coupons”, “offers”, or “discounts”.
-Affiliate will not use Oclean in the display URL for paid search ads. Affiliate will not mask its URL with any Oclean display URL.
-Affiliate will not direct link to the Oclean website in pay-per-click (“PPC”) campaigns. All PPC links must direct visitors to the Affiliate website.
-Affiliate will not utilize, advertise or otherwise promote any Oclean promotional codes, offers, or coupons not obtained through Impact Radius. Excluded sources include but are not limited to: Oclean direct-to-consumer email campaigns, catalogs, paid search ads, in-store coupons, social media, user-generated content, and other Oclean Affiliates.
-Ad copies must not be a duplication of any ongoing Oclean paid search campaign.
-Affiliate will not use “official site” or the registered/trademarked ® symbol in search copy ads when referring to Oclean.
-Affiliate may not use the Oclean name, misspellings, or any variation thereof, directly or indirectly in the Affiliate's domain or sub-domain.
-Affiliate must comply with the Oclean privacy policy. To view our complete privacy policy, click here.
-Affiliate shall notify Oclean in advance if the Affiliate is domiciled in a state that has adopted nexus tax laws, which specifically impose the collection of taxes from consumers on sales by online retailers, including, but not limited to, those referred by Affiliate, even if those retailers have no physical presence in the state (“Nexus Tax Laws”).
-Affiliate shall defend, indemnify and hold Oclean and its shareholders, directors, officers, employees, subcontractors and agents harmless against all claims, suits, costs, damages, liabilities, expenses (including court costs and reasonable attorneys’ fees), settlements and judgments incurred, claimed or sustained to the extent arising from Affiliate’s violation of applicable law and/or any act or omission of Affiliate that would cause Oclean to be subject to Nexus Tax Laws.
-By participating in the Oclean Affiliate Program, Affiliate agrees to the terms and conditions, rules, regulations, policies, and procedures of the program, as may be enforced and changed at any time without notice. Oclean reserves the right to terminate or suspend participation of any Affiliate in the Oclean Affiliate Program at its sole discretion. Oclean reserves the right to reverse or suspend commissions on sales obtained or generated in violation to these terms. Oclean reserves the right to offset against amounts owing or otherwise disqualify Affiliates who have violated any of the terms and conditions of this program. Oclean further reserves the right to change or terminate this program, its terms and conditions, or any portion of the program at any time at its sole discretion without prior written notice.
