These DYU Affiliate Program Terms and Conditions (“Terms”) govern your participation in the DYU Affiliate Program.
1. Agreement to Terms Before joining or applying, you must agree to these Terms. By participating, or clicking "agree", "accept" or "continue", you acknowledge and accept these Terms and DYU policies. You represent that:
You are at least 18 years old;
You are authorized to represent your company if applying on its behalf. If you do not consent, you may not participate.
2. Definitions (a) "DYU", "we", "us" = DYU Inc. and affiliates
(b) "you", "your" = Affiliate participant
(c) "our website" = www.us.dyucycle.com and DYU properties
(d) "your website" = Any website you operate to promote DYU
(e) "commission" = Earnings from approved sales
(f) "DYU Affiliate Program" = Program operated via ShareASale
(g) "DYU Product" = DYU subscription/photo/video sharing product
(h) "ShareASale" = Third-party program provider
(i) "ShareASale Interface" = Affiliate dashboard
(j) "Prospective Customer" = Visitor exposed to your DYU promotion
3. Enrollment
Apply via ShareASale with all requested info
DYU will review and may accept or reject
Keep contact details and website info up to date
Notices sent to your account email are considered delivered
4. Website Requirements Your website must not:
Infringe on IP or privacy rights
Violate laws
Host offensive/explicit content
Contain malware
Target children under 13
Manipulate internet traffic or redirect unfairly
Must disclose data practices clearly (e.g. cookies, ads)
5. Linking to DYU
Use only ShareASale-provided links
Don’t alter links or mimic DYU site design
No cookie stuffing, fake pop-ups, masked URLs, or misleading offers
All domains used must be listed in your profile
Improper use can result in termination and forfeited commissions
6. Earning Commissions
You earn commissions only for valid DYU Product purchases via links
Terms of commission (rates, eligible products) are listed on ShareASale
DYU may adjust these at any time
7. Payment Terms
All payments handled by ShareASale
DYU is not responsible for payment processing errors
You are responsible for taxes, costs, and compliance
8. DYU Materials Use
Limited right to use provided DYU logos/materials via ShareASale
Must not alter or claim ownership of DYU assets
Cannot use DYU branding in your domain/subdomain
9. Advertising & Publicity
Written content (emails, etc.) referencing DYU must be pre-approved
Comply with CAN-SPAM and CASL when using email
Strict rules for PPC ads:
No bidding on DYU brand or variations
No using DYU in ad content or display URL
No direct linking or position hijacking
10. FTC Disclosures
Must clearly disclose affiliate relationship near links
Disclosures must be:
Close to link or claim
Visible without scrolling
Not in pop-ups
11. Social Media & Third-Party Sites
Can post links on your social accounts
Cannot comment with links on DYU's social accounts
Cannot use DYU links in paid ads
12. International Rules
Must follow applicable international data/privacy laws (e.g., EU directives)
13. Chargebacks & Adjustments
Commissions can be reduced for returns, disputes, fraud
Updates shown on ShareASale within 34 days of sale
14. Fraud Policy
Must cooperate with DYU inquiries about suspicious traffic
Violations may result in immediate termination and loss of commission
15. Termination
Either party may terminate at any time
Upon termination:
Remove all DYU materials and links
You won’t earn new commissions
You must inform your audience links are no longer valid
16. Affiliate Obligations
You are an independent contractor, not DYU’s agent
Cannot misrepresent, spam, resell links, or engage in deceptive practices
Must comply with laws and DYU policies
17. Indemnification You will indemnify DYU for damages caused by:
Misleading claims
Illegal or unethical behavior
Website content
Breach of Terms
18. Disclaimer
DYU makes no warranties (explicit or implied)
Not liable for technical issues, downtime, or lost profits
19. Liability Limits
DYU’s maximum liability to you is $100
20. Changes to Terms
DYU can change Terms at any time with notice (email, website, etc.)
Continued participation = acceptance of updates
21. Dispute Resolution
California law applies
All disputes will be resolved via arbitration in Santa Clara, CA
No class actions allowed
22. IP & Feedback
DYU retains all rights to materials and tools
Feedback you provide can be used freely by DYU
23. Miscellaneous
Terms are non-transferable without DYU’s written consent
These Terms are the full agreement between you and DYU
If a clause is invalid, the rest still applies
