Thank you for considering the BriteCo affiliate program. Our affiliates are very important to us. This agreement is designed with you in mind, as well as protecting you, BriteCo and our customers. If you have any questions, please contact us at affiliates@brite.co.BriteCo Affiliate AgreementThis agreement describes the terms and conditions for participation in the BriteCo affiliate program. In this agreement, the term "Affiliate" refers to you (the applicant). In this agreement, “BriteCo” refers to BriteCo Inc., a Delaware Corporation, with whom you are entering this agreement. By applying to the BriteCo affiliate program you are confirming that you have read the agreement and agree to the terms and conditions.Affiliate ProgramsThere are two types of Affiliate programs with BriteCo: one-time and recurring.Program FeesBriteCo will accurately track Qualified Transactions and provide Affiliate with online reporting to track Qualified Transactions.The “Program Fee” for Qualified Transactions can be viewed in the portal and is per completed application. A completed application occurs when a customer has answered all of the underwriting questions.PaymentPayments are made on a monthly basis and will take place within 30 days following the last day of the month. Payments will generally be paid out via ACH.Usage and ObligationsAffiliates are permitted to use the BriteCo brand and marketing resources available in the Affiliates section of the BriteCo application. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright or any other rights to these materials.The Affiliate will never imply that they are acting on behalf of BriteCo and will never advertise BriteCo products directly. The Affiliate will never bid for advertisements that compete with BriteCo.The Affiliate will never represent themselves, BriteCo or their relationship with BriteCo in a false or misleading way.The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing BriteCo.Term and TerminationEither party has the right to terminate the agreement immediately without prior notice.If the Affiliate terminates the agreement, no further paid from BriteCo will be paid for any future customer transactions.If BriteCo chooses to terminate the agreement, any balance will be paid to the affiliate within 60 days of termination.IndemnityEach party shall indemnify the other party and its officers, directors, Related Entities, employees, representatives, agents, successors, and permitted assigns, against all liabilities, costs, expenses, damages and losses, penalties and reasonable legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by the other party arising out of or in connection with:I. any breach of the representations or warranties contained in the Agreement;II. any breach or negligent performance or non-performance of this Agreement; andIII. any claim made against the other party by a customer introduced to BriteCo by Affiliate to the extent that such claim arises out of the breach (including of the representations or warranties contained in this Agreement), negligent performance or failure or delay in performance of this Agreement by the breaching party.Governing LawThis Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Delaware, without regard to its conflict of laws rules.ArbitrationAll claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of Delaware. An award of arbitration may be confirmed in a court of competent jurisdiction.ModificationWe may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Affiliate Program rules.
