These Terms & Conditions ("Agreement") govern the use of image and video content provided
by Yellow Box Corporation ("Company") to its authorized customers ("You"). By accessing,
downloading, or using these digital provided by Yellow Box, You agree to abide by the following
terms set forth below:
1. Ownership and Copyright:
All Content provided by Yellow Box is protected by copyright laws and is the intellectual
property of Yellow Box or its licensors.
2. License and Permissions:
The Company hereby grants You a limited, non-exclusive, non-transferable, revocable
license to use the provided image and video files ("Content") solely for Your business
purposes.
3. Permitted Use:
You may use the Content for purposes related to your business, such as incorporating it
into marketing materials, advertisements, website content, social media posts, or other
promotional materials.
4. Restrictions on Use:
You agree to the following restrictions:
a. No Modification: You may not alter, modify, edit, or create derivative works of the
Content, except for resizing or cropping as necessary for the platform on which
they are used.
b. No Commercial Licensing: You may not sell, sublicense, or otherwise transfer the
Content to any third party for commercial purposes, including paid advertising,
without prior written consent from the Company.
c. No Use for Paid Advertising: The Content may not be used in any paid
advertising campaigns, including social media ads, Google Ads, or sponsored
posts, without express written permission from the Company.d. Brand Integrity: You must ensure that the use of the Content reflects positively on
the Yellow Box brand and products and must not use the Content in a manner
that could harm the Company’s reputation or interests.
5. No Transfer of Rights:
This Agreement does not transfer any ownership or intellectual property rights in the
Content to You. All rights not expressly granted to You herein are reserved by Yellow
Box.
6. T ermination of License:
The Company reserves the right to revoke or terminate this license at any time, for any
reason, including but not limited to breach of these T erms & Conditions or misuse of the
Content. Upon termination, You must immediately cease all use of the Content and
remove them from all websites, social media, and other marketing materials.
7. Agreement of Liability:
Yellow Box makes no representations or warranties regarding the accuracy,
completeness, or fitness for a particular purpose of the Content. The Content is provided
"as is.

8. Indemnification:
You agree to indemnify and hold Yellow Box harmless from and against any claims,
damages, liabilities, costs, and expenses arising out of Your use of the Content in
violation of this Agreement.
9. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of
California, without regard to its conflict of law principles.
10. Amendments
The Company reserves the right to update or amend these T erms & Conditions at any
time. Continued use of the Content after such amendments constitutes acceptance of
the revised terms.11. Miscellaneous
a. No Waiver: The failure of the Company to enforce any provision of these T erms &
Conditions shall not constitute a waiver of that provision or any other provision.
b. Severability: If any provision of these T erms & Conditions is found to be invalid or
unenforceable by a court of competent jurisdiction, the remaining provisions shall
remain in full force and effect.
By accessing, downloading, or using the Content provided by the Company for your business
purposes, You acknowledge that You have read and understood this Agreement and agree to
be bound by its terms and conditions. Failure to comply with these terms may result in legal
action by the Company.
