1. Overview
This Affiliate Agreement (the “Agreement”) contains the complete terms and conditions for your participation in the Lil Helper Affiliate Program (the “Program”). By applying through Awin or submitting an affiliate application, you agree to be bound by this Agreement.
Throughout this Agreement:
“Lil Helper,” “we,” “our,” or “us” refers to Lil Helper Inc.
“You,” “your,” or “Affiliate” refers to the individual or entity participating in the Program.
2. Affiliate Requirements and Conduct
2.1 Application Approval
We reserve the right to accept or reject applications at our sole discretion. Rejection may occur if your content includes, but is not limited to:
Sexually explicit or adult material
Violence or hate speech
Discriminatory or unlawful activity
Infringing or pirated content
Domains using “Lil Helper” or similar terms
Sites designed to mimic our brand
Sites using cookie stuffing or link hijacking
You may reapply at any time if previously rejected.
2.2 Link Usage
To earn commissions, you must use Awin-approved tracking links and promotional materials provided by Lil Helper. Altering code or generating your own tracking links is not permitted.
2.3 Website Maintenance
You are responsible for keeping your promotional content accurate and up to date. We may review and request changes to your placement or marketing at any time.
2.4 Compliance
You must comply with all applicable intellectual property laws. Use of third-party materials without permission is strictly prohibited.
3. Our Rights & Obligations
We may monitor your site or promotional efforts at any time to ensure compliance.
We reserve the right to terminate your participation for any form of abuse or fraud.
This agreement begins upon your acceptance and continues until terminated by either party.
4. Termination
Either party may terminate this Agreement at any time with written notice (email acceptable). Immediate termination will occur for violations of this Agreement, particularly involving fraud, spam, or brand misuse.
5. Modifications
We may update this Agreement at any time. You will be notified via email. Continued participation after updates implies acceptance.
6. Promotion Guidelines
6.1 Prohibited Tactics
You may not engage in:
Spamming or unsolicited email
Misleading ad placements
Impersonation of Lil Helper
Paid search bidding on trademarked terms (e.g., “lilhelper,” “lilhelper.ca”)
Violations may result in immediate termination and forfeiture of commissions.
6.2 Permitted Use
You may promote Lil Helper on your own website, email newsletters (opt-in only), and approved social channels.
You must always clearly represent yourself as an independent affiliate, not as Lil Helper or a representative of our brand.
7. Software and Tracking Interference
You agree not to use any software or browser extensions that:
Overwrite cookies
Redirect links
Auto-load our website
Hijack sessions or inject pop-ups
Interfere with our website content
8. License and Branding
We grant you a non-exclusive, revocable license to use our logos, trademarks, and promotional assets while you are a participant in good standing.
You may not:
Alter branding assets
Use assets in any misleading or disparaging context
9. Disclaimer
Lil Helper makes no express or implied warranties, including merchantability or fitness for a particular purpose. We are not liable for any service interruptions or losses resulting from affiliate participation.
10. Limitation of Liability
Our liability is limited to the total amount of commissions paid to you during your participation. We are not liable for indirect, incidental, or consequential damages.
11. Indemnification
You agree to indemnify and hold harmless Lil Helper from any claims, damages, or legal expenses arising from:
Infringement of intellectual property
Breach of this Agreement
Misuse of promotional materials or misleading content
12. Confidentiality
Any non-public information exchanged between us must remain confidential unless written permission is granted to share it.
13. Legal & Miscellaneous
You act as an independent contractor. No agency, partnership, or employment relationship is created by this Agreement.
This Agreement is governed by the laws of Ontario, Canada.
If any part of this Agreement is found to be unenforceable, the remaining terms will remain in effect.
14. Entire Agreement
This document represents the full and binding agreement between you and Lil Helper Inc. It supersedes any prior communications or representations.
