Effective Date: 18 January 2021

This Affiliate Agreement (“Agreement”) is entered into by and between 101Blockchains Ltd (hereinafter referred to as “the Company”) and you (“Affiliate”). This Agreement sets forth the complete terms and conditions governing your participation in the Company’s Affiliate Program and the establishment of links from your website to 101blockchains.com.

To participate, you must submit a complete Affiliate Program application. The Company will review your application and notify you of acceptance or rejection within 1–2 business days.

The Company reserves the right, at its sole discretion, to reject any application if a site is deemed unsuitable for any reason. Rejected applicants may reapply at any time.

Affiliates may not operate websites that:

Promote sexually explicit material or violence

Promote discrimination based on race, sex, religion, nationality, or disability

Promote illegal activities

Affiliates must not use spam to promote the Company. Any violation will result in immediate termination of the affiliate account and cancellation of pending commissions. The Affiliate may also be subject to legal action and held liable for damages.

Spam is defined as: emailing any person (bulk or individual) who has not explicitly requested information from the Affiliate.

Exceptions:

Emails sent via reputable opt-in mailing lists where the source sends emails on the Affiliate’s behalf

Order confirmation or inquiry acknowledgment emails (if disclosed upfront)

Posting advertisements about the Company in newsgroups, forums, or chat rooms is also considered spam.

Service interruptions caused by spam activities will be billed to the Affiliate at USD 500 per hour until restoration.

The Company will provide approved banners and links (“Links”) for use on your website. These Links:

Identify you as an Affiliate

Direct users to the Company’s website

Allow users to purchase Company products

Affiliates must use only Company-provided creative materials and replace them when updated.

Affiliates are strictly prohibited from bidding on the Company’s trademarks or brand terms, including:

101blockchains training

101blockchains courses

Violations may result in immediate removal from the program without notice.

The Company will:

Provide all necessary linking materials

Track sales and commissions

Process orders, payments, cancellations, and refunds

Handle customer service

Affiliates agree to:

Display links appropriately

Promote only Company-approved offers

Comply fully with this Agreement

Unauthorized use of promotions may result in termination.

Commission rate: 20%

Cookie duration: 60 days

Commissions apply only to completed and paid sales

Taxes, shipping, fraud, and chargebacks are excluded

Commission rates may change at the Company’s discretion

Payments are made according to ShareASale’s payout policy.

Affiliates will receive login access to view real-time sales and commission reports.

Affiliates are responsible for ensuring that all content on their site complies with copyright and intellectual property laws.

Customers referred by Affiliates are considered Company customers. The Company controls pricing, policies, and availability, which may change at any time.

Affiliates may not publish Company-related materials without prior written approval.

Affiliates are granted a non-exclusive, non-transferable, revocable license to use Company trademarks solely for affiliate promotion purposes. Unauthorized modification or misuse is prohibited.

Affiliates are solely responsible for their website’s content, operation, and compliance. Affiliates agree to indemnify the Company against all related claims.

This Agreement begins upon acceptance and may be terminated at any time by either party. Commissions earned prior to termination remain payable unless orders are canceled.

The Company may modify this Agreement at any time. Continued participation constitutes acceptance of changes.

The parties are independent contractors. This Agreement does not create any partnership, agency, or employment relationship.

The Company provides no guarantees regarding uninterrupted service or earnings. All warranties are disclaimed to the maximum extent permitted by law.

You represent that you have full authority to enter this Agreement and that it does not violate any existing obligations.

Both parties agree to keep confidential all non-public information exchanged under this Agreement.

The Company’s liability shall not exceed total commissions paid to the Affiliate.

The Affiliate agrees to indemnify and hold harmless the Company from any claims arising from the Affiliate’s actions or website.

By participating, you confirm that you have read and understood this Agreement and are not relying on external representations.

This Agreement is governed by the laws of the State of Israel, and any disputes shall be resolved in the appropriate courts located therein.
