1. Enrollment
To enroll, you must complete and submit the affiliate application form.
We reserve the right to accept or reject any application at our sole discretion, with or without reason.
Approval does not imply that we have reviewed or endorsed your site, brand, or business practices.
2. Affiliate Responsibilities
Compliance: You must comply with all applicable laws, including FTC endorsement guidelines, advertising regulations, and data protection laws.
Content Standards: You may not publish content that is misleading, offensive, discriminatory, defamatory, or harmful to our reputation.
Brand Use: Use of our trademarks, logos, or other brand assets must comply with our brand guidelines and may not be altered without written permission.
Prohibited Channels: You may not run paid search ads using our brand name, misrepresent yourself as us, or engage in cookie-stuffing, spam, or fraudulent activities.
3. Our Responsibilities
We will provide tracking links, promotional materials, and access to affiliate reporting.
We will track qualifying purchases made through your referral links and pay commissions in accordance with Section 4.
4. Commissions & Payments
Commission Rate: Affiliates earn [10%] on qualifying net sales (excluding taxes, shipping, returns, chargebacks, and discounts).
Returns/Refunds: Commissions for refunded or canceled orders will be deducted from future payments.
Disputes: Any commission disputes must be reported within [30] days of the transaction date. We reserve sole right to approve or deny commissions at our discretion. Commissions for sales to existing customers, wholesale customers, or UTM tracking links to coupon code sites will not be awarded and will be declined by Le Maé.
5. Term & Termination
This Agreement will begin upon our acceptance of your application and continue until terminated by either party.
You may terminate at any time by providing written notice.
We may terminate immediately and without notice if you breach these Terms, engage in fraudulent activity, or act in a manner harmful to our reputation.
6. Intellectual Property
We retain all rights, title, and interest in our trademarks, content, and other intellectual property.
You are granted a limited, revocable, non-exclusive license to use our provided assets solely for participation in the Program.
7. Limitation of Liability
We are not liable for indirect, incidental, or consequential damages arising in connection with the Program.
Our aggregate liability will not exceed the total commissions paid to you under this Agreement.
8. Independent Contractor Relationship
Nothing in this Agreement creates any partnership, joint venture, agency, or employment relationship. Affiliates act as independent contractors.
9. Confidentiality
You may not disclose any non-public information we share with you, including commission rates, marketing strategies, or customer data.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of law principles.
11. Modifications
We may modify these Terms at any time. Affiliates will be notified of material changes via email or Program dashboard. Continued participation constitutes acceptance of updated Terms.
By participating in the Affiliate Program, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
