1. Overview
This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in Oakywood's Affiliate Program. The purpose of this Agreement is to allow HTML linking between your website and the oakywood.shop website.
Throughout this Agreement, "we," "us," and "our" refer to oakywood.shop, and "you," "your," and "yours" refer to the affiliate.
2. Affiliate Obligations
2.1. Enrollment
To begin the enrollment process, you will complete and submit the online application at Awin.com.
Auto-approval does not guarantee permanent acceptance; we may re-evaluate or reject your application.
We may cancel your application if your site is unsuitable, including if it:
2.1.1. Promotes sexually explicit materials
2.1.2. Promotes violence
2.1.3. Promotes discrimination (race, sex, religion, nationality, disability, sexual orientation, age)
2.1.4. Promotes illegal activities
2.1.5. Infringes on copyright, trademark, or law
2.1.6. Includes “Oakywood” or variations in its domain name
2.1.7. Is unlawful, harmful, threatening, defamatory, obscene, harassing, or objectionable
2.1.8. Contains software that diverts commissions
2.1.9. Resembles Oakywood.shop in a misleading way
2.2. Affiliate Access
You will have access to the Affiliate Account Manager to view program details, newsletters, links, creatives, coupons, and deals.
You must use the provided HTML code to track visits properly.
2.3. Placement Review
We may review your link placements and require changes.
2.4. Site Maintenance
You are responsible for keeping your site updated.
2.5. Legal Compliance
You are solely responsible for using copyrighted material legally.
3. Oakywood.shop Rights and Obligations
3.1. Monitoring
We may monitor your site and require changes.
3.2. Termination for Fraud
We may terminate your participation immediately if fraud or abuse is detected.
3.3. Agreement Duration
This Agreement begins upon acceptance and continues until terminated.
4. Termination
Either party may terminate this Agreement at any time, with or without cause, by written notice (mail, email, fax). Immediate termination occurs if you breach the Agreement.
5. Modification
We may modify terms at our discretion. You will be notified by email. Continued participation indicates acceptance.
6. Payment
Payments and tracking are handled by Awin.com. Review their payment terms.
7. Access to Affiliate Account Interface
You will create a password to access Awin's secure interface to view reports and commission calculations.
8. Promotion Restrictions
8.1. General Rules
You may promote your site but must not spam or misrepresent affiliation.
Prohibited practices include:
Spamming/UCE
Misleading identity/domain/email concealment
Unapproved unsolicited postings
8.2. PPC Restrictions
Bidding on Oakywood-related trademarks or variations is prohibited.
8.3. Lead Forms
You may enter prospects’ information only if real and valid.
8.4. Software Restrictions
You may not use interstitials, parasiteware, pop-ups/unders, or similar tools to manipulate tracking or redirect traffic.
9. Grant of Licenses
9.1. Rights Granted
Non-exclusive, revocable right to use provided logos, trademarks, and links.
9.2. Limitations
No disparaging, misleading, or obscene use.
Each party retains rights to its proprietary materials.
10. Disclaimer
No warranties are provided regarding services, uptime, or products.
We are not liable for interruptions or errors.
11. Representations and Warranties
You represent and warrant that:
11.1. This Agreement is valid and binding.
11.2. You have full authority to enter the Agreement.
11.3. You have sufficient rights in materials you use.
12. Limitations of Liability
We are not liable for indirect, incidental, or consequential damages.
Maximum liability is limited to total commission fees paid.
13. Indemnification
You agree to indemnify Oakywood.shop and affiliates against claims, losses, damages, costs, or legal fees arising from:
Trademark infringement
Misrepresentation or breach of Agreement
Claims related to your site’s content
14. Confidentiality
Confidential information remains the property of the disclosing party and may not be disclosed without written consent.
15. Miscellaneous
15.1. You are an independent contractor, not an employee or partner.
15.2. Rights/obligations cannot be assigned except in case of business transfer.
15.3. Governed by New York law.
15.4. Amendments require written, signed agreement.
15.5. This is the entire agreement between parties.
15.6. Headings are for convenience only.
15.7. Invalid provisions will be modified or removed without affecting the rest.
