Affiliate Agreement
This agreement describes the terms and conditions for participation in the American Vinegar Works affiliate program. In this agreement, the term "Affiliate" refers to you (the applicant). In this agreement, American Vinegar Works refers to American Vinegar Works, LLC, with whom you are entering this agreement. By applying to our affiliate program you are confirming that you have read the agreement and agree to the terms and conditions.
Enrollment
We may decline your application if we determine for any reason that your website and/or social media accounts are unsuitable for our program.
Unsuitable websites/accounts include, but are not limited to, those that include violence or hate toward any persons or groups; promote illegal activities; promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; or contain, in our judgment, material that is explicit, defamatory, fraudulent, or harassing to us or any third party and/or violate intellectual property rights of americanvinegarworks.com, or our suppliers. In addition, we may exclude applicants who primarily serve a non-US based audience.
Obligations
Affiliates are permitted to use the American Vinegar Works brand and marketing resources provided by American Vinegar Works via the ShareaSale platform on the affiliate’s owned and operated websites and/or social media channels. Logos and other marketing assets cannot be modified. The affiliate does not gain any trademark, copyright or any other rights to these materials.
The affiliate will not bid on our brand name or brand name plus terms (these include: American Vinegar Works, American Vinegar, American Vinegar Works LLC, Great Vinegar, www.americanvinegarworks.com, www.greatvinegar.com; or any misspellings of these terms).
The affiliate will never represent themselves, American Vinegar Works or their relationship with American Vinegar Works in a false or misleading way.
The affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing American Vinegar Works.
Commissions
Commissions will be via the ShareaSale platform. Payments will only be sent for transactions that have been successfully completed. Transactions that result in chargebacks or refunds will not be paid out.
Discounts and Coupons
Affiliates may not coupon or discount American Vinegar Works products, with the exception of coupons or discounts specifically provided through the American Vinegar Works ShareaSale program. Any violations of the terms surrounding links, coupons, refunds, credits or discounts shall constitute a material breach of this agreement, and may result in your termination from the affiliate program or the withholding of commission fees.
FTC Compliance
We require all affiliates to comply with applicable laws, regulations and guidelines concerning advertising and marketing, including the Federal Trade Commission (FTC) Endorsement Guides, which require that material connections between advertisers and endorsers be disclosed. This means that all affiliate website/social media content that provide an endorsement or assessment of American Vinegar Works must prominently disclose the fact that you receive compensation for referred customers.
Termination of the Agreement
Either party has the right to terminate the agreement immediately without prior notice. Upon termination, all American Vinegar Works related content and links shall be promptly removed from your website and or/social media. In the event overpayment is made by us, you agree to promptly remit such excess payment upon notification by us. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid.
Modification
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Affiliate Program rules.
