Walkee Paws Affiliate Marketing Program Agreement
This Affiliate Marketing Program Agreement (the "Agreement") outlines the terms and conditions governing your participation in the Walkee Paws Affiliate Marketing Program (the "Program"). Please read this Agreement carefully. By participating in the Program, you ("Affiliate," "you," or "your") agree that you have read, understand, and accept all the terms and conditions set forth herein with LX2 Creative LLC dba Walkee Paws ("Walkee Paws," "we," "us," or "our").
If you are entering into this Agreement on behalf of a business or other legal entity, you represent and warrant that you are authorized to bind such entity to this Agreement. If you do not agree to these terms, you may not participate in the Program.
1. Participation
To participate, you must submit an application through ShareASale and accept the terms of this Agreement. We will review your application and notify you of your acceptance or rejection. Acceptance is at our sole discretion; however, we encourage you to contact us if you believe a decision was made in error. Please ensure all websites used for promotion are included in your profile for consideration. If accepted, you will be eligible to earn affiliate commissions and receive discounts for the duration of your participation, subject to continued compliance with this Agreement.
2. Website Guidelines
Your website(s) (“Your Website”) may not:
Infringe on any intellectual property, privacy, publicity, or other rights of Walkee Paws or third parties.
Violate any applicable law, rule, or regulation.
Include threatening, harassing, defamatory, obscene, harmful, pornographic, or sexually explicit content.
Contain malicious software or code intended to damage, intercept, or expropriate data or systems.
Use any technology to misdirect or divert traffic or affiliate commissions from another site.
Mislead customers regarding your relationship with Walkee Paws or the nature of our products.
3. Linking to WalkeePaws.com
Once approved, you may access affiliate links via ShareASale. By doing so, you agree to:
Use only ShareASale-provided tracking links without alteration.
List all domains using affiliate links in your ShareASale profile.
Refrain from promoting our products on platforms you do not own (e.g., Amazon, eBay, Google Shopping).
Not mimic, frame, or replicate the look or functionality of the Walkee Paws website.
Avoid deceptive tactics such as cookie stuffing, pop-ups, masked URLs, or misleading redirects.
Not use your affiliate links to purchase products for personal use.
4. Pay-Per-Click (PPC) Advertising Guidelines
If you engage in PPC advertising, you must adhere to the following rules:
Do not bid on Walkee Paws Trademarks or misspellings thereof on any ad platform.
Do not use our Trademarks in combination with other keywords (e.g., “Walkee Paws discount”).
Do not use our Trademarks in your ad copy, title, display URL, or destination URL.
All clicks must lead to a valid page on Your Website, not directly to WalkeePaws.com.
Avoid appearing above Walkee Paws in search engine results for our branded terms.
Add our Trademarks as negative keywords in automated campaigns.
Violation of PPC guidelines will result in immediate termination from the Program.
5. Trademarks
You are granted a limited, non-exclusive, revocable license to use Walkee Paws’ trademarks solely in connection with your participation in the Program. You may not:
Imply any official relationship or endorsement by Walkee Paws.
Damage or tarnish the brand or goodwill associated with our Trademarks.
All promotional uses of our Trademarks must be pre-approved in writing. Upon termination, all rights to use our Trademarks will be revoked. "Trademarks" include but are not limited to "Walkee Paws," "WalkeePaws.com," our logos, and all other product identifiers designated by Walkee Paws.
6. Coupon Guidelines
If promoting coupon codes, you may only advertise codes provided directly through the Program or listed on the Walkee Paws website. Coupon listings must include the full offer, expiration date, and code.
7. Domain Restrictions
You may not use any of our Trademarks as part of your domain or subdomain. (e.g., walkeepaws.yoursite.com or walkeepaws-discounts.com are prohibited.)
8. Promotional Materials
Upon approval, you will receive a non-transferable license to use Walkee Paws-approved promotional content, including banners, links, and graphics. You may not:
Modify Promotional Materials without prior written approval.
Use Promotional Materials for any purpose other than linking to WalkeePaws.com.
Assign, resell, lease, or license your participation or run sub-affiliate programs.
9. Reversals & Communication
Walkee Paws reserves the right to reverse commissions due to cancellations, returns, fraud, or violations of this Agreement.
If requested, you must respond to inquiries about questionable traffic or conversions within 72 hours. Failure to cooperate may result in suspension or termination.
Violations include, but are not limited to:
Providing vague, false, or misleading responses.
Failing to substantiate traffic sources.
Delayed or non-response to communication.
10. Intellectual Property
All intellectual property related to Promotional Materials and Trademarks remains the sole property of Walkee Paws. You acquire no ownership or rights beyond those explicitly granted herein.
11. Independent Contractor
You are an independent contractor, not an employee, agent, or partner of Walkee Paws. You may not represent yourself as such or bind Walkee Paws to any obligations.
12. Non-Circumvention
You agree not to circumvent or bypass Nicole Ellen, LLC by directly soliciting or engaging clients of Nicole Ellen for affiliate marketing services. Any violation may result in immediate termination from the Program.
13. Affiliate Commissions
You will earn a commission on Eligible Purchases—sales made through your affiliate link by a third-party customer located in the U.S. Commissions are defined and managed through ShareASale. Walkee Paws may adjust commission rates at its discretion.
We reserve the right to deduct or withhold amounts owed to you for breaches of this Agreement or other obligations.
14. Tax Responsibility
You are responsible for complying with all applicable tax laws, including Nexus and Affiliate Tax laws. Walkee Paws does not provide legal or tax advice regarding affiliate taxation.
15. Disclaimers
Walkee Paws provides the Program and all associated materials “as is.” We make no guarantees of performance, sales, or results. Our liability under this Agreement shall not exceed the total commissions paid to you.
We disclaim all warranties—express, implied, or statutory—including those of merchantability, fitness for a particular purpose, and non-infringement.
16. Indemnification
You agree to indemnify, defend, and hold harmless Walkee Paws against any claims, damages, or liabilities arising from your participation in the Program, misuse of Trademarks, or breach of this Agreement.
17. Confidentiality
Any non-public information disclosed during the course of this Program shall be considered confidential. You may not disclose or use such information without our written consent, except where required by law.
18. Termination
Either party may terminate this Agreement at any time, with or without cause. Upon termination, you must:
Cease using all affiliate links, Trademarks, and Promotional Materials.
Remove all references to Walkee Paws from Your Website.
Only commissions earned from Eligible Purchases made prior to termination will be payable.
We reserve the right to discontinue the Program at any time.
19. Modifications
We may update this Agreement at our discretion. Continued participation after changes are posted constitutes acceptance of the revised terms. If you do not agree to a modification, you must terminate participation.
20. Legal Compliance
You agree to comply with all relevant laws, including:
CAN-SPAM Act
FTC Act Section 5
FTC disclosure rules for endorsements
You must clearly disclose all affiliate relationships and any compensation received in accordance with FTC guidelines.
21. General Provisions
a. Severability: If any provision is deemed invalid or unenforceable, the remainder will remain in effect.
b. Assignment: You may not assign this Agreement without our written consent.
c. No Waiver: Our failure to enforce any provision does not waive our right to do so later.
d. Governing Agreement: In the event of a conflict with the ShareASale agreement, this Agreement shall prevail.
e. Entire Agreement: This Agreement constitutes the full agreement between the parties regarding the Program.
