This Affiliate Marketing Program Agreement (the "Agreement") contains the terms and conditions that apply to your participation in the BOMME SPORT Affiliate Marketing Program (the "Program"). Please read this Agreement carefully. By clicking "I accept" or by participating in the Program, you represent that you ("Affiliate" or "you" or "your") have read, fully understand, and agree to the terms of this Agreement with BOMME SPORT LLC, doing business as BOMME SPORT, bommesport.com.com (“BOMME SPORT” or "we" or "us" or "our") in the State of California, USA. In addition, if this Agreement is being executed on behalf of a legal entity, you represent and warrant that you are authorized to legally bind that entity to this Agreement. If you do not agree to these terms, do not participate in the Program.
Enrollment — In order to apply for enrollment into this Program, you must first sign up as an affiliate of Awin.com, Inc., ("Awin.com") and you must agree to Awin.com's Affiliate Service Agreement (the "Awin.com Agreement"), the terms of which are hereby incorporated by reference. You may apply to participate in the Program by providing all the information required by Awin.com in connection with becoming an Awin.com affiliate and by accepting the terms of this Agreement. After receiving your application, we will review your website and notify you of your acceptance or rejection into our Program. We reserve the right to accept or reject your application in our sole discretion; however, we encourage you to contact us if you feel we have made an incorrect decision. Including all of the websites that you use in your profile will help us make a better decision. If your application is accepted, you may obtain such discounts and affiliate commissions as are offered pursuant to this Program for so long as this Agreement is not terminated.
Website Restrictions — Your participating website(s) ("Your Website") may not infringe on our or anyone else's intellectual property, publicity, privacy, or other rights; violate any law, rule, or regulation; contain any content that is threatening, harassing, defamatory, obscene, harmful to minors, or contain nudity, pornography, or sexually explicit materials; contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, interfere with, surreptitiously intercept, or expropriate any system, data, or personal information; contain software or use technology that attempts to intercept, divert, or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website; mislead customers as to the products or services available on Your Website or on the BOMME SPORT website, located at www.bommesport.com (the "BOMME SPORT Site").
Linking to Our Website — Upon acceptance into the Program, links will be made available to you through the Awin.com affiliate website. Your acceptance in our Program means you agree to abide by the following: you will only use linking code obtained from the Awin.com affiliate website without manipulation; all domains that use your affiliate link must be listed in your affiliate profile on the Awin.com affiliate website; affiliates may not advertise our products on websites that they do not own, including, for instance, Google Product Search, Amazon, eBay, or any comparison shopping engines such as Shopzilla or Pricegabber; Your Website will not in any way copy, resemble, or mirror the look and feel of the BOMME SPORT Site, nor use any means to create the impression that Your Website is the BOMME SPORT Site or any part of it, including, without limitation, framing; you may not engage in cookie stuffing or include pop-ups, false or misleading links on Your Website; you may not mask referring URL information; you may not use redirects to disguise the domain origin; you may not create links that lead customers to destinations not suggested by the starting site; you may not use affiliate tracking links that also contain tracking for other referral programs; and you may not use your affiliate links to claim commissions for your own purchases on bommesport.com.com.
Pay-Per-Click Guidelines — If you are enrolled in this Program and participate in PPC advertising, you must adhere to our PPC guidelines.
Trademarks — Upon acceptance into the Program, BOMME SPORT grants you a limited, non-exclusive, revocable, royalty-free right to use the Trademarks solely in connection with your participation, provided you do not suggest sponsorship or other connection beyond your participation, or harm the Trademarks or their goodwill. All uses must be pre-approved by BOMME SPORT. You will not acquire any rights in the Trademarks except as expressly provided, and your right to use them terminates immediately upon breach.
Coupon Guidelines — You may only advertise coupon codes provided through the Program or displayed on the BOMME SPORT Site. Coupons must be displayed in full with expiration dates and codes. You may not post workarounds, use technology to hide codes and trigger affiliate clicks, advertise coupons obtained from non-affiliate sources, or misrepresent offers as exclusive when they are not. If your website ranks on the first page of Google for BOMME SPORT + coupon-related terms and your conversion rate exceeds 25%, you may receive a reduced commission rate.
Domain Names — Use of any BOMME SPORT Trademarks as part of your domain or sub-domain is prohibited.
Advertising & Publicity — Upon acceptance, you are granted a nonexclusive, nontransferable license to use approved Promotional Materials for linking to the BOMME SPORT Site. You may not alter materials without consent, promote to non-U.S. customers, or create unauthorized written materials about the Program.
Reversal & Communication Policy — BOMME SPORT reserves the right to reverse orders for cancellations, duplicates, returns, disputed charges, or violations. Failure to respond to inquiries, being intentionally vague, or inability to substantiate traffic sources may result in commission reversal or suspension.
Intellectual Property — BOMME SPORT retains all rights to Promotional Materials and Trademarks. No ownership rights are granted.
Relationship of Parties — You are an independent contractor, not an employee or agent.
Affiliate Commissions — You will earn commissions on Eligible Purchases (completed U.S. customer purchases through your affiliate link). Rates are posted in your Awin.com account and may change. Payments are fulfilled by Awin.com. BOMME SPORT may withhold amounts owed by you.
Disclaimer — Participation is at your own risk. BOMME SPORT is not liable for indirect, incidental, or consequential damages. All products and materials are provided “as is” without warranties.
Indemnification — You will indemnify BOMME SPORT against claims arising from your participation or misuse of Trademarks and Promotional Materials.
Confidentiality — Non-public information learned through participation must remain confidential unless disclosure is legally required.
Termination — Either party may terminate at any time. Upon termination, all licenses end and all Promotional Materials must be removed. Commissions are only paid for Eligible Purchases prior to termination.
Compliance with Laws — You must comply with all applicable laws, including CAN-SPAM, FTC Act, and FTC endorsement rules, and must clearly disclose affiliate relationships.
Modification — BOMME SPORT may modify terms at any time. Continued participation constitutes acceptance.
Governing Law; Jurisdiction — Governed by California law. Jurisdiction is in Orange County, California.
Social Media — You may promote on your own social channels but not on BOMME SPORT’s official pages.
Operations Outside U.S. — Comply with local laws in other countries.
FTC Disclosure Requirements — Include required affiliate disclosures where applicable.
General — This Agreement is binding, nonassignable without consent, and constitutes the entire agreement between parties.
