ACoBS.org Affiliate Program Agreement
This Affiliate Program Agreement ("Agreement") sets forth the terms and conditions for participation in the TransparentRx Affiliate Program, operated by FiduciaryRx, LLC ("Company"). By applying to or participating in the TransparentRx Affiliate Program, you ("Affiliate") agree to the terms of this Agreement.
1. Program Participation: You are granted a non-exclusive, revocable right to market TransparentRx products using approved links and creative assets provided by the Company through our affiliate platform, ShareASale. You may not modify marketing materials without written approval.
2. Commissions: Affiliates earn a 20% commission on each qualified, paid registration generated through their unique affiliate link. The commission is based on net sales (excluding refunds, chargebacks, and fraudulent transactions). ShareASale processes payments and is subject to its terms and payment thresholds.
3. Affiliate Conduct and Compliance: You agree to: • Follow all applicable federal, state, and international laws, including but not limited to the CAN-SPAM Act of 2003 and other anti-spam and marketing laws. • Only use ethical, white-hat marketing practices. • Avoid any activity that may harm the TransparentRx brand or reputation. • Accurately represent PBIA® and avoid misleading claims or deceptive practices. The Company reserves the right to review, reject, or terminate any affiliate that violates this Agreement or operates in a way that undermines program integrity.
4. Prohibited Promotion Methods: The following activities are prohibited: • Use of coupon, rebate, or deal sites • Use of paid search ads that bid on PBIA®, TransparentRx, or related branded terms • Misleading redirects, iframe cloaking, or false impersonation • Unauthorized use of the TransparentRx name or logo in domain names or social handlesViolating any of the above may result in forfeiture of commissions and immediate removal from the program.
5. Disclaimers: The Company makes no express or implied warranties regarding the TransparentRx Affiliate Program, including but not limited to fitness for a particular purpose, merchantability, or non-infringement. We do not guarantee uninterrupted access to marketing tools, tracking, or website uptime. Use of the program is at your own risk.
6. Limitation of Liability: The Company shall not be liable for any indirect, incidental, special, or consequential damages (including lost profits, lost data, or business interruption) arising out of this Agreement or participation in the affiliate program, even if the Company has been advised of the possibility of such damages. Your sole remedy is to discontinue use of the program.
7. Termination: This Agreement is effective upon your acceptance and continues until terminated. Either party may terminate participation at any time, with or without cause, by providing written notice. The Company may withhold commissions for violations of this Agreement.
8. Relationship of the Parties: You are an independent contractor. Nothing in this Agreement creates a joint venture, agency, franchise, or employment relationship between you and the Company. You do not have the authority to make or accept offers or commitments on our behalf.
9. Modifications: We reserve the right to update or modify this Agreement at any time. Continued participation after such changes constitutes your consent to the modified terms and conditions. If you agree to these terms, continue your application via Awin. If you disagree, please do not participate in the program.
