These Affiliate Terms & Conditions (“Terms”) govern participation in the Joy Organics Affiliate Program (the “Program”), administered through Awin.

By applying to or participating in the Program, you agree to comply with these Terms and all applicable laws and regulations.

Affiliates are independent contractors and are not employees, agents, partners, or representatives of Joy Organics.

Nothing in these Terms creates any partnership, joint venture, or agency relationship.

3.1 Applications must be submitted through Awin. Joy Organics reserves the right to approve or reject any application at its sole discretion.

3.2 Affiliates may be removed at any time if their content, traffic sources, or promotional methods are inconsistent with the Joy Organics brand.

3.3 Prohibited content includes, but is not limited to:

• Sexually explicit material
• Violence or hate speech
• Discriminatory or offensive content
• Illegal activities
• Intellectual property violations
• Misleading or deceptive content
• Websites designed to impersonate or resemble Joy Organics

3.4 Affiliates may not:

• Use “Joy Organics” or variations in domain names, handles, or paid ads
• Misrepresent themselves as the brand
• Use software or tactics that overwrite cookies or divert commissions

4.1 FTC Compliance
Affiliates must clearly and conspicuously disclose their relationship with Joy Organics in all promotional content.
Examples:

• “This post contains affiliate links”
• “I may earn a commission if you purchase”

4.2 FDA & CBD Compliance
Affiliates may NOT:

• Make medical or health claims
• State or imply products diagnose, treat, cure, or prevent any disease
• Reference medical conditions (including anxiety disorders, chronic pain, inflammation, etc.)
• Compare products to prescription drugs

4.3 Permitted Language (Examples)

• Supports overall wellness
• Helps promote relaxation
• Supports balance and recovery
• Helps maintain a sense of calm

4.4 Misleading Claims Prohibited

• No guaranteed results
• No exaggerated performance claims
• No “before and after” claims implying medical outcomes

Failure to comply with this section may result in immediate termination and forfeiture of commissions.

5.1 Affiliates must use official tracking links provided through Awin.

5.2 Affiliates are responsible for maintaining their own platforms and ensuring all content remains compliant.

5.3 Affiliates must have rights to all content they publish (images, text, video, etc.).

5.4 Joy Organics reserves the right to request edits or removal of any content at any time.

6.1 Email & Messaging

• No unsolicited email (spam)
• Must comply with CAN-SPAM and applicable laws
• Must include opt-out mechanisms

6.2 Paid Advertising (PPC Restrictions)
Affiliates may NOT bid on:

• “Joy Organics”
• “JoyOrganics”
• Any branded terms or misspellings
• Product names or branded search terms

Violations may result in immediate removal.

6.3 Software & Traffic Restrictions
Affiliates may NOT use:

• Adware, spyware, or parasiteware
• Cookie stuffing or forced clicks
• Pop-ups or pop-unders that overwrite tracking
• Toolbar injections or deceptive redirects

6.4 Affiliates must accurately represent themselves as independent from Joy Organics.

7.1 Joy Organics grants affiliates a limited, non-exclusive, revocable license to use approved brand assets solely for Program participation.

7.2 Affiliates may not:

• Modify logos or branding
• Create misleading brand representations
• Use assets outside approved contexts

7.3 All goodwill associated with Joy Organics branding remains the exclusive property of Joy Organics.

8.1 Joy Organics reserves the right to monitor affiliate activity at any time.

8.2 Affiliates must promptly comply with any requested changes.

8.3 Joy Organics may:

• Reverse commissions
• Suspend accounts
• Terminate participation

for any violation of these Terms.

Either party may terminate this Agreement at any time, with or without cause.

Violations of compliance, fraud, or brand misuse may result in immediate termination and forfeiture of unpaid commissions.

All tracking, reporting, and payments are managed through Awin.

Affiliates are subject to Awin’s payment terms and policies.

Joy Organics reserves the right to update these Terms at any time.

Continued participation constitutes acceptance of any changes.

Joy Organics makes no guarantees regarding:

• Earnings or performance
• Program availability
• Website functionality

All services are provided “as is” without warranties of any kind.

Joy Organics shall not be liable for:

• Indirect or consequential damages
• Loss of revenue or profits

Total liability shall not exceed commissions paid to the affiliate.

Affiliates agree to indemnify and hold harmless Joy Organics from any claims arising from:

• Affiliate content
• Misrepresentation
• Violation of laws or third-party rights

All non-public business, financial, or operational information must be kept confidential and not disclosed without written consent.

This Agreement shall be governed by the laws of the State of Colorado.

These Terms constitute the full agreement and supersede all prior agreements.
