Effective Date: May 14, 2026

This Affiliate Program Agreement (“Agreement”) governs participation in the ASYSTEM Affiliate Program (“Program”) operated by 271 Lake Davis Holdings LLC, a Delaware limited liability company (“ASYSTEM,” “Company,” “we,” “our,” or “us”), with principal corporate offices located at 433 Plaza Real, Suite 275, Boca Raton, Florida 33432.

This Agreement applies to all websites, social media accounts, applications, advertising placements, content channels, digital properties, and promotional activities used in connection with the Program, including but not limited to www.asystem.com (“Website”).

By applying to, participating in, or continuing participation in the Program, you (“Affiliate,” “Partner,” “Publisher,” “you,” or “your”) acknowledge that you have read, understood, and agreed to comply with this Agreement, all applicable Program policies, and all applicable laws and regulations.

Participation in the Program is subject to approval by ASYSTEM. We reserve the right to approve, reject, suspend, restrict, or terminate any affiliate application or account at any time and for any reason in our sole discretion.

Affiliates must:

• Be at least eighteen (18) years of age;
• Be legally capable of entering into binding agreements;
• Maintain professional, functional, and brand-safe digital properties;
• Comply with all applicable advertising, marketing, privacy, disclosure, and consumer protection laws.

Affiliate approval applies only to the approved promotional properties disclosed during application. Additional websites, domains, social accounts, or promotional channels may require separate review and approval.

Approved affiliates may promote ASYSTEM products using authorized affiliate links, creatives, and promotional materials provided through the affiliate platform or approved directly by ASYSTEM.

Affiliates may not:

• Misrepresent themselves as ASYSTEM;
• Imply employment, ownership, or agency authority;
• Modify affiliate tracking links;
• Mask referral sources;
• Use deceptive redirects, forced clicks, cookie stuffing, or unauthorized tracking methods;
• Engage in fraudulent, misleading, unlawful, or non-compliant advertising practices.

Affiliate commissions are not guaranteed and are subject to validation, reconciliation, approval, fraud review, attribution review, customer status review, returns, cancellations, payment verification, and compliance with this Agreement.

ASYSTEM reserves the right to:

• Adjust, reverse, decline, reduce, withhold, or deny commissions;
• Determine commission eligibility;
• Review attribution overlap;
• Exclude transactions deemed non-incremental or non-compliant.

Transactions may be deemed ineligible for commission where:

• Existing customer activity is identified;
• Subscription renewals or repeat customer activity is identified;
• Attribution overlap exists;
• Unauthorized coupon codes are used;
• Traffic quality is determined to be low-value or non-incremental;
• Trademark bidding or prohibited advertising methods are identified;
• Fraudulent, duplicate, canceled, refunded, or disputed transactions occur.

Affiliate commissions are calculated excluding taxes, shipping charges, processing fees, gift services, and other non-product charges unless otherwise expressly stated by ASYSTEM.

ASYSTEM utilizes internal analytics, third-party attribution platforms, cross-channel attribution methodologies, and operational review processes to evaluate affiliate transaction eligibility and incremental acquisition value.

ASYSTEM reserves the right to de-duplicate affiliate commissions against:

• Paid search;
• Paid social;
• Email marketing;
• Direct partnerships;
• Influencer campaigns;
• Other affiliate networks;
• Internal marketing channels;
• Existing customer activity.

Transactions associated with attribution interception, browser extensions, cashback activity, coupon interception, toolbar traffic, or other low-incrementality traffic sources may be reduced, reversed, or denied.

Commission payments are subject to the payment timelines and processing procedures established by the affiliate network/platform.

ASYSTEM reserves the right to:

• Extend validation periods;
• Delay payment review;
• Hold commissions during investigations;
• Reverse commissions for compliance or operational reasons.

Minimum payout thresholds and payment processing procedures are governed by the affiliate network/platform.

Affiliates may not:

• Bid on ASYSTEM trademarks, brand names, branded variations, or misspellings;
• Use ASYSTEM trademarks in paid search ads, display URLs, metadata, or ad copy;
• Direct-link paid advertisements to ASYSTEM websites;
• Use ASYSTEM trademarks in domain names, subdomains, or social handles;
• Compete with ASYSTEM branded search campaigns.

Restricted terms include but are not limited to:

ASYSTEM, ASYSTEM wellness, ASYSTEM supplements, ASYSTEM review, ASYSTEM coupon, ASYSTEM promo code, ASYSTEM for men, and related variations or misspellings.

Any paid search activity requires prior written approval from ASYSTEM.

Affiliates may promote approved affiliate links through their own approved social media channels and content platforms.

Affiliates may not:

• Post affiliate links on ASYSTEM-owned social channels;
• Impersonate ASYSTEM;
• Use misleading endorsements or testimonials;
• Make false, deceptive, unsubstantiated, prohibited, or non-compliant health, wellness, supplement, therapeutic, recovery, hormone, TRT-equivalency, disease-treatment, or medical claims;
• Misrepresent ASYSTEM products as pharmaceutical, prescription, or FDA-approved treatments where not expressly authorized by ASYSTEM;
• Make claims regarding ASYSTEM products that have not been expressly authorized or substantiated by ASYSTEM, including claims related to diagnosis, treatment, prevention, cure, prescription equivalency, guaranteed outcomes, or disease-related benefits.

All influencer and affiliate promotions must comply with FTC endorsement and disclosure guidelines.

Affiliates and influencers promoting ASYSTEM products through social media platforms may be required by ASYSTEM to tag, mention, or otherwise identify ASYSTEM’s official social media accounts in promotional content on platforms where ASYSTEM maintains an active official presence, including but not limited to Instagram and Facebook/Meta.

If Affiliate promotes ASYSTEM on platforms where ASYSTEM does not currently maintain an official social media account or active brand presence, including but not limited to TikTok, X/Twitter, LinkedIn, YouTube, podcasts, blogs, newsletters, or other digital channels, Affiliate shall provide copies, links, screenshots, or reasonable access to such promotional content upon request or by emailing partnerships@asystem.com.

ASYSTEM reserves the right to require proper brand tagging, campaign hashtags, affiliate disclosures, and promotional identifiers as part of approved campaign participation, creator collaborations, or influencer initiatives.

Failure to comply with applicable tagging, disclosure, campaign, or content submission requirements may result in commission reversal, campaign removal, suspension, or termination from the Program.

Affiliates may only advertise:

• Coupon codes;
• Promotions;
• Discounts;
• Offers;

expressly authorized by ASYSTEM.

Unauthorized coupon codes, leaked promotions, expired offers, scraped discounts, or misleading promotional claims are prohibited.

ASYSTEM reserves the right to deny commissions associated with:

• Unauthorized promotions;
• Promotional misuse;
• Coupon interception;
• Low-incrementality coupon activity.

Affiliates may not promote ASYSTEM through:

• Adult or sexually explicit content;
• Illegal or unlawful activity;
• Hate speech or discriminatory content;
• Malware, spyware, adware, browser extensions, or intrusive software;
• Forced clicks or cookie stuffing;
• Misleading claims or deceptive advertising;
• Incentivized traffic without written approval;
• Non-compliant supplement or health marketing;
• Misleading, fabricated, or mass-generated AI content designed primarily for search manipulation, deceptive promotional activity, or low-quality content generation.

Affiliates are responsible for complying with:

• FTC endorsement guidelines;
• CAN-SPAM requirements;
• Consumer protection laws;
• Privacy laws;
• Advertising regulations;
• Platform-specific advertising policies;
• All applicable FDA, FTC, supplement, wellness, and OTC advertising regulations and guidance.

Required affiliate disclosures must be:

• Clear;
• Conspicuous;
• Properly displayed;
• Presented near promotional claims or affiliate links.

ASYSTEM retains all ownership rights in:

• Trademarks;
• Logos;
• Brand assets;
• Product images;
• Marketing materials;
• Creative assets;
• Website content.

Affiliates receive a limited, revocable, non-transferable license to use approved ASYSTEM materials solely in connection with approved Program participation and in compliance with this Agreement.

ASYSTEM may revoke use permissions at any time and for any reason in its sole discretion.

Affiliate grants ASYSTEM and its affiliates, successors, licensees, agents, and marketing partners a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, edit, adapt, publish, translate, distribute, display, repost, create derivative works from, and otherwise utilize any ASYSTEM-related content created, published, submitted, or shared by Affiliate in connection with the Program, including but not limited to photographs, videos, testimonials, social media posts, usernames, likeness, voice, image, comments, reviews, and promotional materials, in any media format or marketing channel now known or later developed, including organic marketing, paid advertising, promotional campaigns, websites, social media, email marketing, retail materials, and other commercial purposes, without further notice, approval, or compensation unless otherwise agreed in writing.

Affiliate represents and warrants that they possess all rights, permissions, licenses, and consents necessary to grant the foregoing rights to ASYSTEM and that such content does not infringe upon the rights of any third party.

Sub-affiliate networks must:

• Obtain prior approval;
• Fully disclose traffic sources;
• Ensure all sub-affiliates comply with this Agreement.

ASYSTEM reserves the right to reject or reverse transactions originating from undisclosed or non-compliant sub-affiliate activity.

This Agreement remains in effect until terminated by either party.

ASYSTEM may suspend or terminate participation immediately and without notice for:

• Program violations;
• Fraud concerns;
• Compliance issues;
• Brand safety concerns;
• Low-quality traffic;
• Non-incremental activity;
• Any conduct deemed harmful to ASYSTEM.

Upon termination, affiliates must immediately cease use of all ASYSTEM intellectual property and promotional materials.

The Program, Website, products, services, affiliate platform, and all related materials are provided “as is” and “as available” without warranties of any kind, express or implied.

ASYSTEM makes no guarantees regarding:

• Affiliate earnings;
• Conversion rates;
• Traffic levels;
• Program availability;
• Tracking functionality.

To the fullest extent permitted by law, ASYSTEM shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from participation in the Program.

ASYSTEM’s aggregate liability under this Agreement shall not exceed the total commissions paid to Affiliate during the twelve (12) months preceding the claim.

Affiliate agrees to defend, indemnify, and hold harmless ASYSTEM and its officers, directors, employees, affiliates, successors, agents, licensors, and partners from any claims, liabilities, damages, losses, costs, or expenses arising from:

• Affiliate promotional activity;
• Affiliate content;
• Violations of this Agreement;
• Violations of law;
• Third-party claims.

This Agreement shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

Any disputes arising under this Agreement shall be resolved through binding arbitration in the State of Florida, except where prohibited by applicable law.

Affiliate agrees that any disputes shall be brought solely on an individual basis and not as part of any class action, collective action, representative proceeding, or similar action.

ASYSTEM reserves the right to modify this Agreement, Program policies, commission structures, attribution methodologies, promotional restrictions, participation requirements, and eligibility criteria at any time.

Continued participation in the Program following any modification constitutes acceptance of the revised Agreement.
