ASYSTEM Affiliate Program Agreement

This Affiliate Program Agreement (“Agreement”) governs participation in the ASYSTEM Affiliate Program (“Program”) operated by 271 Lake Davis Holdings LLC, a Delaware limited liability company (“ASYSTEM,” “Company,” “we,” “our,” or “us”), with principal corporate offices located at 433 Plaza Real, Suite 275, Boca Raton, Florida 33432.
This Agreement applies to all websites, social media accounts, applications, advertising placements, content channels, digital properties, and promotional activities used in connection with the Program, including but not limited to www.asystem.com (“Website”).
By applying to, participating in, or continuing participation in the Program, you (“Affiliate,” “Partner,” “Publisher,” “you,” or “your”) acknowledge that you have read, understood, and agreed to comply with this Agreement, all applicable Program policies, and all applicable laws and regulations.
PROGRAM STANDARDS & BRAND POSITIONING
ASYSTEM is a premium wellness and performance-focused brand centered around science-forward product positioning, wellness optimization, recovery, focus, and elevated lifestyle integration.
Affiliates and partners are expected to represent the ASYSTEM brand professionally, accurately, and in alignment with the Company’s positioning, values, and compliance standards.
Approved promotional themes may include:
• Wellness routines and lifestyle optimization
• Recovery, focus, and productivity support
• Ingredient transparency and product education
• Healthy habits and performance-oriented living
• Premium wellness and self-care positioning
COMPLIANCE REQUIREMENTS
All affiliates, publishers, creators, and promotional partners are solely responsible for ensuring that all promotional activity complies with:
• Federal Trade Commission (“FTC”) advertising and endorsement guidelines
• Food and Drug Administration (“FDA”) regulations and applicable dietary supplement advertising requirements
• Federal, state, local, and international advertising laws and regulations
• Applicable platform policies and community guidelines
• Truth-in-advertising standards and disclosure requirements
Affiliates must clearly and conspicuously disclose affiliate relationships, sponsored content, gifted products, paid partnerships, and other material relationships as required by applicable law and FTC guidance.
PROHIBITED CLAIMS & RESTRICTED CONTENT
Affiliates and partners may NOT:
• Make disease treatment, cure, mitigation, prevention, or diagnosis claims
• Represent ASYSTEM products as drugs, pharmaceuticals, or medical treatments
• State or imply guaranteed outcomes or medically certain results
• Make false, misleading, deceptive, or unsubstantiated health or performance claims
• Misrepresent product ingredients, certifications, testing, or functionality
• Claim ASYSTEM products replace medical advice, treatment, or prescription medication
• Engage in misleading advertising, spam, forced clicks, cookie stuffing, or deceptive promotional tactics
• Use fear-based, unsafe, or non-compliant health marketing practices
Examples of prohibited language include but are not limited to:
• “Cures anxiety”
• “Treats ADHD”
• “Eliminates depression”
• “Guaranteed weight loss”
• “Medical-grade treatment”
• “Clinically proven cure”
• “FDA approved”
ASYSTEM reserves the right to request removal or modification of any content deemed non-compliant, misleading, inappropriate, or inconsistent with Company standards.
PAID ADVERTISING & TRADEMARK RESTRICTIONS
Without prior written approval from ASYSTEM, affiliates may not:
• Bid on ASYSTEM branded keywords, trademarks, or misspellings in paid search advertising
• Use ASYSTEM trademarks within paid advertisements or display URLs
• Direct-link paid advertisements to ASYSTEM-owned websites
• Create unauthorized landing pages, websites, domains, or social media accounts impersonating ASYSTEM
• Use misleading promotional funnels, false scarcity tactics, or deceptive pricing claims
All ASYSTEM trademarks, logos, product imagery, creative assets, and intellectual property remain the sole property of ASYSTEM and may only be used in connection with approved promotional activity.
CONTENT QUALITY EXPECTATIONS
ASYSTEM values:
• High-quality and authentic content
• Honest product experiences and educational positioning
• Professional presentation and audience trust
• Alignment with premium wellness and lifestyle positioning
Affiliates are expected to maintain professional and brand-safe environments across all promotional channels.
PROGRAM MODIFICATIONS & TERMINATION
ASYSTEM reserves the right, at its sole discretion, to:
• Approve or reject any application
• Modify commission structures or Program terms
• Request edits or removal of promotional content
• Suspend, terminate, or remove affiliates from the Program at any time for violations of this Agreement or for conduct deemed inconsistent with ASYSTEM brand standards
