Affiliate represents and warrants that:
(a) Affiliate's statements will reflect Affiliate's honest views and experience with the Products/Services;
(b) Affiliate has a positive impression of Merchant’s products and will promptly notify Merchant if Affiliate's opinion of the Products/Services changes from that which Affiliate has expressed to Merchant to date;
(c) Any works created by Affiliate for Merchant shall be original works of Affiliate and not the property of any third party;
(d) Affiliate has the right and authority to enter into this agreement without violating the rights of any third party; and
(e) Affiliate will comply with all applicable laws, regulations, orders and ordinances, and FTC guidance in rendering the services provided for herein.
Merchant shall have the right, at their option, to terminate this agreement immediately in the event that:
(a) Affiliate materially breaches the terms of this agreement or any of the warranties or representations made herein; or
(b) Affiliate commits any act or does anything that is or shall be an offense involving moral turpitude under Federal, state or local laws, or which brings Affiliate, Merchant or Merchant into public disrepute, contempt, scandal, or ridicule, or which insults or offends the community or any substantial organized group thereof, or which might tend to injure the success of Merchant or any of Merchant's products or services.
Merchant's decision on all matters arising under this paragraph shall be conclusive.
