OverviewThis is the complete list of Terms and Conditions for the Weblium Affiliate Program. The purpose of enrolling in the Affiliate Program is to allow you to make affiliate commissions for the sales of our subscriptions originating from your promotional activities in the manner set forth herein.1. Obligations of the Parties1.1 Affiliate shall have the opportunity to promote Weblium and its services in accordance with the terms of this Agreement.1.2 Affiliate shall promote and market Weblium services using only promotional materials supplied or approved by Weblium. Promotional materials (emails, landers, ads, social media posts, banners, coupons) must be consistent with Weblium’s branding and shall not be false or misleading.1.3 Affiliate shall direct potential purchasers of Weblium programs to the dedicated links provided by Weblium via ShareASale.1.4 The Affiliate agrees to conduct itself in compliance with all applicable laws, rules and regulations, including, without limitation, CAN-SPAM.1.5 Affiliate obligates not to disclose any confidential information, provided by Weblium in terms of this collaboration.1.6 Weblium, or sub-processors of Weblium (such as the External Affiliate Platform) obligates to monitor and record the Transactions between the End User and Weblium via the Partner (“Tracking”). The External Affiliate Platform provides the Partner with an overview of their Transactions and calculates the commission to be awarded for the transactions made within a 120-cookie window. The Tracking by Weblium as carried out by the External Affiliate Platform is binding and solely authoritative when it comes to determining whether a transaction has been concluded and the corresponding calculation of the commission.2. Compensation2.1 Weblium will pay commissions from the sale of Products as follows:35% default commission on the first payment (applies to both monthly and annual subscription plans);40% commission for making more than 30 sales per month*;50% commission for making more than 70 sales per month*.*Please note that the new rate will be applied to every next sale made over the set target for each month.2.2 All the commissions are calculated from affiliate net revenue, which means the revenues left after subtracting expenses and refunds. These are determined by Weblium, at Weblium’s sole discretion, and are deducted from affiliate payment amounts.2.3 Commissions will be tracked via dedicated unique links provided by Weblium. Each affiliate is required to use the link provided in ShareASale, in order to enable proper tracking. Commissions cannot be paid if the affiliate fails to use the correct link as it is not possible to track a lead then.2.4 Commissions will be paid within 30 days after the completion of any promoted launch – including the end of the 14-day money-back guarantee as well as the completion of any payment plans (if applicable).3. Independent Contractors3.1 The parties shall be and remain independent contractors. Nothing in this Agreement shall constitute any party, inter alia, the general or special agent, legal representative, subsidiary, joint venturer, partner, employee or servant of the others for any purpose, nor shall anything in this Agreement cause the employees of any party to be employees of the others. Affiliates shall not represent themselves to be agents or representatives of Weblium. 3.2 Under no circumstances shall Weblium be liable for any direct, indirect, incidental, special, punitive, exemplary or consequential damages related to affiliates’ activities.4. Termination4.1 Upon fourteen (14) days prior written notice, either party may terminate this Agreement.4.2 Weblium may terminate this agreement immediately, for cause, which shall include but not be limited to:Conduct by Affiliate which detracts from the good reputation of Weblium and Weblium’s Product.Affiliate’s breach of the terms of this Agreement.Affiliate’s website promotes sexually explicit materials.Affiliate’s website promotes violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation.Redirect pages, domain forwarding, doorways.5. Prohibition on coupon codes and other activities5.1 Affiliate shall not use, procure, bid on, or otherwise arrange for a Sponsored Link which uses or includes any of the Weblium Marks.5.2 Any branded keywords, including "weblium.com", “weblium”, “weblium.sites” or variations or misspellings of these words (or these words+search term), are prohibited to use for contextual advertising purposes.5.3 Affiliates can promote only the special sales offers placed by Weblium on ShareASale.5.4 Affiliates can’t place discounts or coupons that are not related to the affiliate program and are not listed in the ShareASale database.5.5 Affiliate and Referral programs bonuses cannot be combined, therefore leads acquired via the Referral program are not counted as Affiliate leads. 5.6 Affiliates shall not receive commission for bundle payments because they already include a discount in their price. 6. Final Provisions - 6.1 These Terms determine and form the basis for all deliveries, services, offers and contracts between Weblium and the Partner, without exception. Conflicting terms and conditions of the Partner are therefore invalid, unless their validity is expressly and in written form agreed to between Weblium and the Partner. 6.2 Via submitting the completed application form, the Affiliate is fully accepting these Terms of Service to conclude a contract for the participation in the Weblium Affiliate Program, which is subject to these Terms. 6.3 Weblium reserves the right to change any or all provisions of these Terms at any time and at our sole discretion, by posting an amendment notice, amended Agreement or amended Terms on the Weblium Affiliate Application Platform, or the External Affiliate Platform or by notifying the Partner of the corresponding change by sending an in platform notification or an email to the Partner's main email address, provided and saved in the Partner's account at the time of sending said email. Any such changes, except any increases in the standard commission rates of the Weblium Affiliate Program, will take effect on the named date, but not earlier than five (5) calendar days after the date on which the notice is made.
