IncNow Affiliate Agreement (“Agreement”):
This Agreement is between you and Agents and Corporations, Inc. (d/b/a IncNow), a Delaware public benefit corporation. Submitting the AWIN online application, you agree and to the terms and conditions of this Agreement.
The purpose of this Agreement is to allow you as an affiliate to post HTML that links your affiliate website to the IncNow website. Throughout the Agreement, “us,” “our,” and “we” will refer to IncNow, and “you,” “your,” “yours,” and “their” refer to the affiliate.
To become an affiliate, you first complete the online application on AWIN.com server and submit it. We reserve the right to select who we want to be a part of our affiliate program and may reject your application at our discretion. We will only accept affiliates that are based in the United States. Affiliates must have a United States resident’s name and phone number as the contact and the affiliate may not be based outside the United States. Your affiliate status may be canceled at any time in the sole and absolute discretion of us, including but not limited to, if your website promotes any of the following: sexually explicit materials, violence, discrimination based on a protected status, illegal activities, content that infringes or help others infringe on copyright, trademark or other intellectual property rights or other violations of law.
We reserve the right at any time to review your performance in our Affiliate Program and terminate you from the program at our discretion. You are responsible for your own site and to follow any applicable intellectual property and other copyright laws. You must have permission to use any copyrighted material that is not your own and we are not responsible if you use another person’s copyrighted material.
We reserve the right to end this Agreement with or without cause and with or without notice of termination. You also may end this Agreement at any time with or without cause and the merchant must be notified of your termination. If there is any breach of this Agreement by you, this Agreement will be terminated. Upon termination, you must immediately remove any reference to IncNow on all websites you own or control (collectively “your website”). Termination shall also discontinue payments to the affiliate. Any liabilities or obligations that arose prior to termination shall survive termination.
For advertising our brand, the technique called “spamming” in any form including, but not limited to, text, calls, email, and link spamming is prohibited. This technique would damage our brand. You may not send our brand out to third parties in any promotions distributed beyond visitors to your website. You may not use techniques to optimize on search engines for our brand term, such that prospective customers locate your site in the top 10 search result for IncNow or promote it in any way that a prospective customer may be confused as to your site being owned or controlled by our site.
Any breach of this Agreement causing damages to IncNow shall be indemnified by you as the affiliate or former affiliate. You submit to the jurisdiction of Delaware for choice of law (both substantive and procedural) and choice of forum.
Payment of commissions to Affiliate is administered by AWIN.com. You must represent yourself and your website as independent from us.
Non-business information related websites and coupon sites are prohibited. Marketing on competitor comparison websites is prohibited. You may not promote privacy, anonymous or shelf company formation. You may not use the Delaware Secretary of State seal or suggest IncNow is the State of Delaware. You cannot suggest IncNow will provide legal, tax, or financial advice. With any statements about IncNow or pricing, you must say the IncNow Terms of Use shall govern located at IncNow.com/terms-of-use
