QE Home Affiliate Marketing Program Agreement. 

This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in the QE Home Affiliate Program (“the Program”). 

The purpose of this Agreement is to allow HTML linking between your web site and the QE Home website. Please note that throughout this Agreement, “we,” “us,” and “our” refer to QE HOME, and “you,” “your,” and “yours” refer to the affiliate.

BY SUBMITTING THE ONLINE APPLICATION YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION. 

1.Enrollment - You may apply to participate in our Program by providing all the information required by Shareasale.com in connection with becoming a Shareasale.com affiliate and by accepting the terms of this Agreement. After receiving your application, we will review your website and notify you of your acceptance or rejection into our Program. We reserve the right to accept or reject your application in our sole discretion; however we encourage you to contact us if you feel we have made an incorrect decision. Including all of the websites that you use in your profile will help us make a better decision. If your application is accepted, you may obtain affiliate commissions as are offered pursuant to this Program for as long as this Agreement is not terminated. 

By participating in the Program you agree to abide by the terms of this Agreement. If we reject your application, you are welcome to re-apply to the Program at any time. If we accept your application and your site is thereafter determined (in our sole discretion) to be unsuitable for the Program, we may terminate this Agreement and your participation in the Program at any time. This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in QE Home Affiliate Program. 

2.Affiliate Obligations - Your participating website(s) ("Your Website") may not: -Infringe on our or any anyone else's intellectual property, publicity, privacy or other rights. -Violate any law, rule or regulation. -Contain any content that is threatening, harassing, defamatory, obscene, harmful to minors, or contain sexually explicit materials. -Contain any viruses, Trojan horses, worms, or other computer programming routines that are intended to damage, interfere with, surreptitiously intercept or expropriate any system, data, or personal information. Contain software or use technology that attempts to intercept, divert or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website. 

3.Linking to QE Home Website - Upon acceptance to our Program, you will be able to review program details. Here you’ll also have access to previously-published newsletters, download HTML code (that provides for links to web pages within QE Home web site) and banner creatives, browse and get tracking codes for our coupons and deals. In order for us to accurately keep track of all guest visits from your site to ours, you must use the HTML code that we provide for each banner, text link, or other affiliate link we provide you with.Your acceptance in our Program means you agree to abide by the following: 

• You will only use linking code obtained from Shareasale.com affiliate website without manipulation. All domains that use your affiliate link must be listed in your profile on Shareasale.com affiliate website. 
• You may not bid on any of our company names, brands, or trademarked terms including any variations or misspellings thereof for search or content based campaigns on Google, MSN, Yahoo, Facebook, Instagram or any other network which incorporates advertising by keyword bidding.
• You may not advertise our products on websites that they do not own, including, for instance, Google Product Search, Amazon, eBay or any comparison shopping engines
• Your Website will not in any way copy, resemble, or mirror the look and feel of QE Home Website. You will also not use any means to create the impression that Your Website is the QE Home Website or any part of the QE Home Website including, without limitation, framing the QE Home Website in any manner. 
• You may not engage in cookie stuffing or include pop-ups, false or misleading links on Your Website. In addition, wherever possible, you will not attempt to mask the referring URL information (i.e. the page from where the click is originating). 
• You may not use redirects to bounce a click off of a domain from which the click did not originate in order to give the appearance that it came from that domain.
• You may not create any links that lead the customer to a destination site that is not clearly suggested by the content of the starting site.
• You may not create affiliate tracking links that also contain a tracking link for other referral programs ("Other Referral Programs"). Affiliates are permitted to participate in either the Program or Other Referral Programs but individual links must be specific and exclusive to one of the programs. By participating in this Program, you agree not to claim commission or credit from both the Program and from our Other Referral Programs for the same user. 
• You may not use your affiliate links to claim commissions for your own purchases.
• You shall accurately represent all QE Home prices on your websites. 
• You will earn affiliate fees only with respect to activity on our site occurring directly through Tracking Links. We will not be liable to you with respect to any failure by you to use Tracking Links, including to the extent that such failure results in any reduction of amounts that would otherwise have been paid to you pursuant to this Agreement.

4.QE Home Rights - We have the right to monitor your site at any time to determine if you are following the terms and conditions of this Agreement. We may notify you of any changes to your site that we feel should be made, or to make sure that your links to our web site are appropriate and to notify you of any changes that we feel should be made. If you do not make the changes to your site that we feel are necessary, we reserve the right to terminate your participation in the Program.QE Home reserves the right to terminate this Agreement and your participation in QE Home Affiliate Program immediately and without notice to you should you commit fraud in your use of the Program or should you abuse the Program in any way. If such fraud or abuse is detected, QE Home shall not be liable to you for any commissions for such fraudulent sales.

5.Termination - Either you or we may end this Agreement AT ANY TIME, with or without cause, by giving the other party written notice. Written notice can be in the form of mail, email or fax. In addition, this Agreement will terminate immediately upon any breach of this Agreement by you.

6.Advertising & Publicity - Upon acceptance, you are granted a nonexclusive, nontransferable license (the "License") to use certain banner advertisements, button links, text links, and/or other graphic or textual material (the "Promotional Materials") for display and use on Your Website. The term of the License shall expire upon the expiration or termination of this Agreement. We make Promotional Materials available to you to display and use on Your Website provided that the manner of display complies with the following requirements: 

• You may only use the Promotional Materials to promote the QE Home brand (and the products available thereon), and for linking to QE Home Website.
• You shall not alter, add to, subtract from, or otherwise modify the Promotional Materials as they are prepared by QE Home and without consent from QE Home.
• If you wish to alter or otherwise modify the Promotional Materials, you must contact us and obtain written consent from QE Home for such alteration of modification. 
• You shall not create, publish, distribute, or print any materials that make reference to our Program. 
• You are free to promote your own web sites, but naturally any promotion that mentions QE Home’s brand could be perceived by the public or the press as a joint effort. You should know that certain forms of advertising are always prohibited by us. For example, advertising commonly referred to as “spamming” is unacceptable to us and could cause damage to our name. Other generally prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name, or your return email address

7.Payment & Reversal Policy - QE Home takes pride in its very low reversal rate, which we attribute to open communication with our affiliates. However, we reserve the right to reverse orders due to order cancellations, duplicate tracking, returns, disputed charges, and Program violations as outlined in this Agreement. 

8.Affiliate Commission - Upon acceptance into the Program, you will be eligible to receive an affiliate commission for the successful completion of Eligible Purchases. An eligible purchase occurs when a customer clicks-through the link (supplied by QE Home) to our QE Home Website and successfully completes a purchase for which QE Home receives and retains payment. To be an Eligible Purchase, the sale must be completed by a customer that is physically located in the United States or Canada. QE Home reserves the right to modify the Commission rate from time to time, in its sole discretion. QE Home is only responsible for authorizing Commission payments and Shareasale.com will be solely responsible for fulfilling and transferring all Commission payments in accordance with the Shareasale.com Agreement. 

9.Disclaimer - You acknowledge that you have not relied on any warranties related to the Program other than the express statements in this Agreement. Under no circumstances shall we be liable to you under these terms, under any contract, negligence, tort, strict liability or other legal or equitable theory, for any indirect, punitive, incidental, consequential, special or exemplary damages related to the Program (including, without limitation, loss of revenue or goodwill or profits or lost business and including costs associated with the procurement of substitute goods or services), even if advised of the possibility of such damages. In no event shall our liability to you or any third party arising out of or related to the Program or this Agreement, whether based in contract, negligence, strict liability, tort or other legal or equitable theory, exceed the total commission fees paid to you under this Agreement. We do not warrant or guarantee any results of participation in the Program. All products, programs and promotional materials hereunder are provided "as is" without any warranty whatsoever. You recognize that these disclaimers are an important part of the basis of this Agreement, without which we would not have entered into this Agreement. We disclaim all warranties, express, implied, or statutory (to the extent permitted by law), regarding the products, programs and promotional materials, including, but not limited to, any warranties of merchantability, fitness for a particular purpose, title, and non-infringement. No representation or other affirmation of fact, including, without limitation, statements regarding capacity, suitability for use, or performance of the products, programs and promotional materials shall be deemed a warranty for any purpose or give rise to any liability of QE Home | Quilts Etc.

10.Indemnification - You hereby agree to indemnify and hold harmless QE Home | Quilts Etc., and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) (any or all of the foregoing hereinafter referred to as “Losses”) insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that our use of the affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your site, including, without limitation, content therein not attributable to us.

11.Confidentiality - All confidential information, including, but not limited to, any business, technical, financial, and customer information, disclosed by one party to the other during negotiation or the effective term of this Agreement which is marked “Confidential,” will remain the sole property of the disclosing party, and each party will keep in confidence and not use or disclose such proprietary information of the other party without express written permission of the disclosing party.

12.Modification - We may modify these terms and conditions at any time, at our sole discretion. If you disagree with any modification, your only recourse is to terminate this Agreement. You agree that, if you continue to participate in the Program following a posted modification, your continued participation constitutes binding acceptance of the modified term.

13. FTC Disclosure - As an affiliate for QE Home, you are required to use FTC disclosures whenever you post an affiliate link.
