This Affiliate Program Agreement (“Agreement”) is between you (“Affiliate,” “you”) and Cosplay Shopper, LLC (“CosplayShopper,” “we,” “us,” “our”). By applying to and participating in our Affiliate Program, you agree to the following terms and conditions.
1. Definitions
For purposes of this Agreement:
Affiliate Program – The marketing partnership program described in this Agreement.
Affiliate Link – A unique tracking link provided to you to promote CosplayShopper products.
Affiliate Lead – A customer prospect who clicks an Affiliate Link and completes a purchase on CosplayShopper.com.
Commission – The monetary amount earned by the Affiliate for each eligible sale as outlined in our Program Policies.
CosplayShopper Products – Any cosplay costumes, wigs, accessories, or related items sold on CosplayShopper.com.
Customer Transaction – A confirmed purchase from an Affiliate Lead that meets the eligibility criteria in this Agreement.
Program Policies – Rules and guidelines published on our Affiliate Program page, which we may update from time to time.
2. Non-Exclusivity
Participation in our Affiliate Program is non-exclusive. You may promote other products, and we may work with other affiliates.
3. Affiliate Acceptance
Your application will be reviewed. We may reject or request additional information before approval. If accepted, you must complete any enrollment requirements (such as setting up payment information) within thirty (30) days.
4. Customer Transactions & Commission Eligibility
You will earn a Commission for each eligible Customer Transaction generated through your Affiliate Link.
Commissions apply to the initial purchase only; subsequent purchases by the same customer will not earn additional Commission unless otherwise stated.
Orders canceled, refunded, or disputed are not eligible for Commission.
Self-purchases through your own Affiliate Link are prohibited.
5. Commission & Payment
Commissions are paid [monthly/quarterly] via [PayPal/bank transfer] once your account balance reaches a minimum of [$X].
You are responsible for providing accurate payment details and any necessary tax documentation.
All commissions are paid in USD.
You are responsible for any applicable taxes or bank fees.
6. Marketing Guidelines
You may promote CosplayShopper products via blogs, websites, social media, email newsletters, and approved advertising methods. However, you may not:
Use misleading or deceptive marketing tactics.
Bid on CosplayShopper-branded keywords in search ads without written permission.
Use spam or unsolicited emails.
Misrepresent your relationship with CosplayShopper.
7. Intellectual Property
We grant you a limited, non-exclusive, revocable license to use our trademarks, logos, and promotional materials solely for promoting CosplayShopper Products as part of the Affiliate Program.
You may not alter, sell, or misuse our intellectual property.
8. Confidentiality
You agree to keep any non-public information we provide (such as promotional strategies or sales data) confidential.
9. Term & Termination
This Agreement continues until terminated by either party.
Either party may terminate with 15 days’ written notice.
We may terminate immediately for violation of program rules or unethical behavior.
Upon termination, you must remove all Affiliate Links and cease using our trademarks.
10. Representations & Warranties
You represent that:
You have the legal right to participate in this Program.
Your marketing will comply with all applicable laws and regulations.
You will disclose your affiliate relationship clearly in accordance with FTC guidelines.
11. Indemnification
You will indemnify and hold harmless CosplayShopper from any claims, damages, or expenses arising from your participation in the Affiliate Program.
12. Disclaimer & Limitation of Liability
CosplayShopper makes no guarantees about your potential earnings. We are not liable for indirect, incidental, or consequential damages. Our total liability will not exceed the total commissions paid to you in the 12 months prior to a claim.
13. Governing Law
This Agreement is governed by the laws of [State], without regard to conflict of law principles. Disputes shall be resolved in the courts of [City, State].
14. Entire Agreement
This Agreement, along with the Program Policies, constitutes the entire understanding between you and CosplayShopper.
By applying to and participating in the CosplayShopper Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
