LOOMY AFFILIATE PROGRAM TERMS OF AGREEMENT Please read our affiliate terms of agreement carefully before you apply to our program or start advertising on behalf of Loomy. Definitions: As used in the following Affiliate Terms of Agreement, “we”, “us”, or “our” refers to Loomy and its website. “You” or “your” refers to the Affiliate. The “Program” refers to the Loomy Affiliate Program. Enrollment in the Loomy Affiliate Program: After receiving your application, we will review your channels (website, social accounts) and notify you of your acceptance or rejection into our Program. We reserve the right to reject any application at our sole discretion if we feel your site is unsuitable for our program. However, we encourage you to contact us to explain your marketing intentions if you feel we have made an incorrect decision. Unsuitable sites may include, but are not limited to, sites that: • Contain content that is not appropriate or relevant to Loomy and its products • Are primarily a link or banner farm that contains little to no content • Promote sexually explicit materials, discrimination, illegal activities, violence, or anything similar • Do not comply with the Loomy Affiliate Agreement By participating in the Program you agree that you will not engage in any such activities. If we reject your application, you are welcome to re-apply to the Program at any time. You should also note that if we accept your application and your site is thereafter determined (in our sole discretion) to be unsuitable for the Program, we may terminate this Agreement (your program contract). Linking to our Website: Once you have been notified that your site has been accepted into the Program, you may only use tracking links made available to you through our Program. Links to our site placed on your site pursuant to this Agreement and which properly utilize such tracking link formats are referred to as “Tracking Links.” Your acceptance in our program means you will agree to and abide by the following: 1. You agree that you will only use tracking links obtained from the affiliate interface without manipulation. 2. All domains that use your affiliate link must be listed in your affiliate profile. 3. You hereby agree that your Website channel(s) will not in any way copy, resemble, or mirror the look and feel of our Website. You will also not use any means to create the impression that your channel(s) are our Website or social channel, or any part of our Website or social channel including, without limitation, framing of our Website in any manner. The above includes creating banners or advertisements that mimic Loomyhome.com search, display, or social ads in any manner. 4. Purchasing advertisements that direct users to your channel(s) and that could be considered as competing with Loomy's ads is strictly prohibited. 5. Cookie stuffing, pop-ups, false or misleading links are strictly prohibited. In addition, wherever possible, you will not attempt to mask the referring URL information (i.e. the page from where the click is originating). 6. Using redirects to bounce a click off of a domain from which the click did not originate in order to give the appearance that it came from that domain is expressly prohibited and is a direct violation of the program terms. 7. Affiliate links may only be placed on channels that you own and manage. Submitting affiliate links to social sharing sites such as Pinterest, Reddit.com, Digg.com, StumbleUpon.com, etc. is prohibited. We do allow affiliates to place links on their own Facebook page or Twitter feed - but be mindful of affiliate best practices in marking your posts as sponsored. You will earn referral fees only with respect to activity on our site occurring directly through Tracking Links. We will not be liable to you with respect to any failure by you to use Tracking Links, including to the extent that such failure may result in any reduction of amounts that would otherwise be paid to you pursuant to this Agreement. Cookie Duration: Loomy's Affiliate Program has a 30-day cookie duration. Last Referrer in the Click Stream Sales: In the majority of cases, you will receive a full commission on these types of sales. At Loomy we value all partners that drive new customers to our stores. Affiliates that drive consistent last referrer traffic to our stores and do not advertise coupons will receive a full commission. Commission Structure: As of 6/1/2019, a commission structure based on a flat 10% fee delivered to the affiliate with the final click before the first add to cart in an order is in effect. Affiliates will earn commission on the initial order after the affiliate link is clicked. If items were added to the cart before the affiliate link is clicked, affiliates will only be paid commission on the items added to the cart after the affiliate link is clicked. Note that Affiliates will not earn commission on separate additional orders that occur after the first order during the 30-day window. Under this system, every affiliate type earns the same commission regardless of product SKU or category. Instead of looking back from the order time, however, we look back from the initial add to cart event to find the last affiliate click. That last affiliate click before add to cart is given 10% of the total order revenue. You will receive a commission for sales to Loomy. Deal Guidelines: You can promote the deals we provide in the ShareASale deals database. If you are a deal site or similar site that promotes deals, these are the only deals that you are allowed to promote. You must display the price of the deal. Modification: We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion. Notification will be given upon Program Agreement modification.
