Affiliate Terms and Conditions
As an authorized affiliate ("Affiliate") of Holden Enterprises, Inc. ("Holden"), you agree to abide by the terms and conditions set forth in this Agreement. Please read the entire Agreement carefully before registering and promoting as an Affiliate.By participating in the Holden Affiliate Program ("Program"), you agree to legally promote our website and earn commission on valid purchases made by customers you refer. Your participation signifies your acceptance of these terms and conditions.
1. Approval or Rejection of Application
Holden reserves the right to approve or reject any Affiliate application at its sole discretion. You have no legal recourse if your application is rejected.
2. Commissions
Commissions will be paid monthly at a fixed rate. Payments are made for successfully completed transactions only. Holden reserves the right to void transactions that result in chargebacks, refunds, or are deemed fraudulent. Commissions will not be paid on such transactions.
3. Termination
Holden may suspend or terminate your Affiliate account for:
- Inappropriate or misleading advertisements
- Spamming
- Promoting illegal activities
- Failing to disclose the affiliate relationship when required by law
- Fraudulent or self-referral activity- Use of spyware, adware, malware, toolbars, or stealth software
- Cybersquatting or typo squatting
- Violations of intellectual property rights
- Any other activities Holden deems unsuitable
4. Prohibited Website Content
Affiliates may not promote or host content that is unlawful, harmful, threatening, defamatory, obscene, harassing, or discriminatory. This includes sexually explicit content, hate speech, and any other objectionable material.
5. Coupons and Promotional Codes
- Use only coupons and codes provided via Awin or the Holden program manager.
- Remove expired codes promptly.
- Do not mislead users with text or graphics implying unauthorized deals.
- No pop-ups or hidden actions that set affiliate cookies without user consent.
- Do not use "Click for Deal" messaging if no deal exists.
6. Fraudulent Activity
Fraud includes:
- Bot or fake credit card purchases
- Repeated transactions from the same IP address
- Mismatched billing information
Holden reserves the right to suspend affiliates and cancel commissions for suspected fraud.
7. Notice of Term Changes
If fraudulent activity or sudden traffic spikes occur, Holden may:
- Contact the affiliate for explanation within 24 hours
- Suspend commissions until an explanation is provided
For other changes, Holden will provide 24 hours notice before adjusting commissions.
8. Paid Search Policies & Trademark Terms
- Do not bid on Holden trademarks or similar variations.
- Do not use Holden trademarks in display URLs.
- Do not direct link or imply affiliation using official site claims.
- All use of trademarks must be authorized in writing.
9. Use of Promotional Links
Affiliates are granted a limited, revocable license to use Holden promotional links:
- Links must not be modified or used to promote third-party services
- Affiliates must comply with Holden branding policies
- Holden reserves the right to revoke link usage at any time
10. Use of Logos and Trademarks
Affiliates may use Holden-approved logos and creatives from Awin or Holden directly. No unauthorized use or modification is permitted.
11. Non-Commissionable Items
Gift cards, taxes, and shipping fees are not commissionable.
12. Liability
Holden is not responsible for lost revenue due to tracking errors, site downtime, or technical issues. No warranties are made regarding uninterrupted or error-free performance of the Program.
13. Agreement Term
This Agreement begins upon acceptance and continues until terminated by either party. Holden may modify this Agreement at any time. Continued participation constitutes acceptance of changes.
14. Marketing Permissions
Affiliates grant Holden the right to:
- Use their promotions on Holden’s website and in advertising
- Repurpose product-related images or videos
- Retain usage rights of media for historical or promotional purposes
15. Indemnification
Affiliates agree to indemnify Holden and its affiliates from any claims, liabilities, or damages arising from affiliate misconduct, negligence, or breach of this Agreement.
16. Electronic Signatures
By applying to the Holden Affiliate Program, you create an electronic signature that signifies your acceptance of this Agreement and has the same legal effect as a handwritten signature.
