Ohlolly reserves the right to dissolve and expire any affiliate in our program for any reason deemed appropriate by the affiliate management team. Ohlolly Affiliate Program affiliate partners will be terminated immediately if one or more of the following is found. 1. If the affiliate creates a site that copies, resembles the look and feel of, or creates the impression that the Affiliate Site is the Ohlolly web site. 2. Operate or utilize a web site or email link to web sites that contain or promote any of these types of content: libelous, defamatory, obscene, pornographic, abusive, violent, bigoted, hate-oriented, illegal, cracking, hacking or warez, or that offer any illegal goods or services. 3. Engage in cyber-squatting or typo-squatting of the Ohlolly domain or any trademark or other brand terms associated with Ohlolly. 4. Offers rebates, coupons, gift certificates, or incentives or points or other rewards to end-users who submit orders through Ohlolly Affiliate Program links without our permission. 5. Purchasing or bidding for placement of keywords that are not allowable search terms as designated by Ohlolly Affiliate Program or any variation or misspelling thereof of the brand name Ohlolly or Ohlolly trademarks all brand and trademark terms are off limits in all search engines. 6. Making any representations regarding the relationship with Ohlolly, or using any trademark of Ohlolly without written consent outside of the materials supplied for you through the ShareASale network. 7. Taking any action that could reasonably cause any customer confusion as to Ohlolly relationship with your site or company such as making a false claim of employment or any other false claims concerning your relationship with Ohlolly outside of the affiliate programs agreements. 8. Not adhering to current SPAM-ACT compliancy laws in emails. 9. Defaming or slandering Ohlolly by name or any employees name or representatives as such, image, products or any other defamatory statement either electronically, in print, web or media, or on blogs or forums. 9. Employing any technology to read, intercept, record, redirect, interpret, or fill in the contents of any electronic form or other materials that we serve to customers who click through links to the Ohlolly web site. 10. Altering the content of any advertisement that Ohlolly Affiliate Program provides, or creating advertisements with links to the Ohlolly web site not authorized by Ohlolly. 11. Issuing any press release, announcement, or promotional material that uses the Ohlolly name or trademarks without Ohlolly’s direct approval upon issuance of an exact copy of media to be used. 12. Making any warranty or representation concerning Ohlolly products or services except those expressly stated by Ohlolly Affiliate Program in advertisements and on the Ohlolly web site. Ohlolly is not responsible for any third-party fees charged by PayPal, bank or other financial institute used to receive Affiliate Commission Fees. Taxes: It is your, the Affiliate’s, responsibility to provide Ohlolly with accurate tax and payment information that is necessary to issue a Commission Fee to You. If Ohlolly does not receive the necessary tax or payment information within 30 days of a Qualified Purchase which would otherwise trigger Commission Fees, the applicable commissions shall not accrue and no Commission Fees will be owed with respect to such Qualified Purchase. Each Affiliate is required to submit a W8/W9 tax form. You are responsible for the payment of all taxes related to the commissions you receive under this Agreement. In compliance with U.S. tax laws, Ohlolly will issue a Form 1099 to Affiliates whose earnings meet or exceed the applicable threshold. You are responsible for informing Ohlolly about changes to postal and e-mail addresses, as well as any changes to your name, email address, contact information, tax identification number, or other personal information that will impact Ohlolly’s ability to issue a valid Commission payment. Any address changes must be made in the Affiliate profile in the Affiliate Console at least 15 business days prior to the end of the calendar month in order for Commission Fees for that month to be sent to the revised address.
