AFFILIATE AGREEMENT
1. Overview This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in the Pelvic Clock Affiliate Program. The purpose of this Agreement is to allow HTML linking between your website and Flect LLC’s website, pelvicclock.com. Throughout this Agreement, "we", "us", and "our" refer to Flect LLC, and "you", "your", and "yours" refer to the affiliate.
2. Affiliate Obligations
2.1. To begin the enrollment process, you will complete and submit the online application at ShareASale.com. Auto-approval does not guarantee permanent acceptance. We may reject or cancel your application at our sole discretion, particularly if your site:
Promotes sexually explicit materials
Promotes violence
Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
Promotes illegal activities
Infringes on copyright, trademark, or other intellectual property rights
Uses "PELVICCLOCK" or its variations/misspellings in the domain name
Is unlawful, harmful, threatening, defamatory, obscene, harassing, or otherwise objectionable
Contains software that diverts commissions from other affiliates
Mimics or implies affiliation with Flect LLC or pelvicclock.com
2.2. As a program member, you will access your Affiliate Account Manager to review program details and access approved HTML code and creatives. You must use the provided HTML code to ensure accurate tracking.
2.3. Flect LLC reserves the right to review your link placement and require changes for compliance.
2.4. You are responsible for maintaining and updating your site. We may monitor it for relevance and recommend improvements.
2.5. You must comply with all applicable intellectual property laws. You are solely responsible for unauthorized use of third-party content.
3. Flect LLC Rights and Obligations
3.1. We may monitor your site at any time for compliance. Failure to make necessary changes may result in termination.
3.2. We may terminate this Agreement immediately without notice if fraud or abuse is suspected. No commission will be paid for fraudulent sales.
3.3. This Agreement begins upon acceptance of your application and continues until terminated.
4. Termination Either party may terminate this Agreement at any time, with or without cause, by written notice (email, mail, or fax). Breach of the Agreement results in immediate termination.
5. Modification We may modify this Agreement at our discretion. You will be notified by email. Continued participation implies acceptance of changes.
6. Payment Payments and tracking are managed by ShareASale.com. Refer to their terms and conditions.
7. Access to Affiliate Account Interface You will create a ShareASale login to access your affiliate dashboard and reports.
8. Promotion Restrictions
8.1. You may promote your site, but any mention of Pelvic Clock must avoid misleading affiliations. Spamming and misleading promotions are prohibited.
8.2. Bidding on trademarked keywords (e.g., Pelvic Clock or variations) without redirecting to your site first is prohibited and may result in removal without notice.
8.3. You may enter lead info only if the data is accurate and the lead is legitimate.
8.4. You may not use Parasiteware™, deceptive tools, pop-ups, or browser tools that interfere with tracking or user experience.
9. Grant of Licenses
9.1. We grant you a non-exclusive, revocable license to use our logos and trademarks in accordance with this Agreement.
9.2. Each party agrees not to misuse the other’s intellectual property. All rights remain with the respective owner.
10. Disclaimer Flect LLC provides no warranties, express or implied. We are not liable for interruptions or errors on our site.
11. Representations and Warranties You warrant that:
This Agreement is valid and enforceable
You have the authority to enter it
You hold the rights to grant us licenses under this Agreement
12. Limitations of Liability We are not liable for indirect or consequential damages. Our total liability shall not exceed the total commissions paid to you.
13. Indemnification You agree to indemnify and hold harmless Flect LLC and its affiliates against any claims arising from your site or your breach of this Agreement.
14. Confidentiality Confidential information shared during this Agreement must remain confidential and not be disclosed without written consent.
15. Miscellaneous
15.1. You are an independent contractor. This Agreement does not create a joint venture or employment relationship.
15.2. Neither party may assign this Agreement without full transfer of business or assets.
15.3. This Agreement is governed by New York State law.
15.4. Amendments require written consent from both parties.
15.5. This Agreement supersedes all prior agreements.
15.6. Section headings are for convenience only.
15.7. Invalid provisions will be limited or removed without affecting the remainder of the Agreement.
